Przedmiotem zamówienia jest dostawa 5 sztuk Kotłów Filharmonicznych, misy (korpusy) w stylu
berlińskim w rozmiarach 81-74-66-62-58cm na potrzeby Orkiestry Symfonicznej Narodowego Forum
Muzyki z uwzględnieniem wymagań szczegółowych Zamawiającego.
The subject of the order is the purchase and delivery of 5 pieces of Philharmonic Timpani, Berlin
style bowls sizes 81-74-66-62-58cm for the purposes of NFM Symphony Orchestra, taking into
account the specific requirements of the ordering party.

5 skrzyń lotniczych, każda z dodatkową półką w środku na przechowywanie zapasowych
naciągów oraz wysuwaną rampą pozwalającą na bezpieczne i swobodne pakowanie. Każda
rampa musi być wyposażona w jedno kółko w celu swobodnego wsuwania i wysuwania

VII TERMS AND CONDITIONS OF PARTICIPATION IN THE PROCEEDINGS, AND
DESCRIPTION OF THE EVALUATION OF FULFILLING THE CONDITIONS
By "Contractor" means a natural person, legal person or other entity without legal personality, who
applies for the public procurement, submitted an offer or entered into an agreement on public
procurement (Art. 2 pt. 11) of the PPA.
Contractors may jointly apply for public procurement (eg. A partnership, syndicate) - Art. 23 Public
Procurement ACT. In this case, the Contractor are jointly and severally liable for implementation of
the contract (Art. 141 of the PPA).
To participate in the proceeding, may apply contractors which:
1. Meet the conditions for participation in the proceedings in accordance to the art. 22 § 1 of the
PPA.
2. In terms of being entitled to perform specific activities or actions Contractor must have the
authority required to perform the contract: The purchaser does not impose specific
requirements for compliance to this condition. The contractor will meet this condition by
submitting a statement about fulfilling conditions for participation in the proceedings in
accordance with art. 22 § 1 of the PPA.
3. May prove that in the last three years realized at least five delivery of timpani, of which at
least half of them was made in the style of Berlin during the last three years before the
commencement of the procurement procedure, and if the period of activity is shorter - in this
period that their type and the value of each delivery is at least EUR 40,000.00 gross per share.
In the case of the necessity to establish the value of the delivery expressed in a currency other
than the Euro, the Purchaser will determine this value based on current average rates of
foreign currencies in gold specified in the table Polish National Bank (Table No. 151 / A /
NBP / 2015 dated 2015-08 -06) - 4.1798 zł.
4. Technical potential: The Purchaser does not set specific requirements for compliance with this
condition. The contractor will meet this requirement by submitting a statement about fulfilling
conditions for participation in the proceedings in accordance with art. 22 § 1 of the PPA.
5. Team able to execute a contract: The Purchaser does not set specific requirements for
compliance with this condition. The contractor will meet this requirement by submitting a
statement about fulfilling conditions for participation in the proceedings in accordance with
art. 22 § 1 of the PPA.
6. Terms of economic and financial situation: have the insurance policy, in case of lack of the
insurance policy any other document confirming that the contractor is insured in business
activity for an amount not less than 500 000,00 euros.
Method for evaluating fulfillment of the conditions of participate in the proceedings:
For confirmation of compliance with the abovementioned conditions, Contractor joining offer
statement and the documents referred to in Chapter VIII. Evaluation of meeting the required
conditions shall be made according to the format: is fulfilling - is not fulfilling based on information
contained in the documents and statements submitted by the Contractor.
The contents of attached documents must show clearly that w / in terms of the Contractor met.
VIII STATEMENTS AND DOCUMENTS NECESSARY IN THE PROCEEDINGS.
The Contractor will attach the following documents, proving the fulfillment of conditions for
participation in the tender procedure:
In the original:
1. Statement according to the Art. 22 paragraph. 1 of the PPA - (Appendix No. 3).
2. The entities list of to the same capital group or a statement that Contractor do not belong to the
capital group (according to the formula in Appendix No 5).
3. The experiences list -according to the VII.3 of specification and the formula in Appendix No
6.
4. Offer Appendix No.4
In the original or form of copies certified by the contractor "as a true"
5. The official registration document from the relevant register or current certificate of entry in
the business register, if separate regulations require an entry in the register or register of
business activity, dated not earlier than six months before the deadline for submission of
offers.
6. The insurance policy, in case of lack of the insurance policy any other document confirming
that the contractor is insured in business activity for an amount not less than 500 000,00
EURO. In a situation where the fact of payment of contributions is not clear from the wording
of the policy, the contractor should be attached to policies other document confirming the
discharge of the relevant contributions (eg. Bank statement, bill, etc.).
7. As regards the condition set in VII, points 1, 2, 4 and 5 the Contractor shall submit a statement
of compliance with conditions, referred to in Art. 22 paragraph. 1 of the Public Procurement
Law Act. The fulfillment of this condition shall be made on the principle fulfill /not fulfill
CONTRACTORS WITH HEADQUARTERS OR PLACE OF RESIDENCE OUTSIDE THE
REPUBLIC OF POLISH
1. If the Contractor has its seat or place of residence outside Polish territory, instead of the document
referred to Chapter VIII, Section 5 above (a current copy of the register) - a document or documents
from the country in which he has his habitual residence, confirming that company is not in a
liquidation or bankruptcy process and has not been prohibited from competing for public contracts.
2. The document referred to in paragraph 1 above, it should be dated no earlier than 6 months before
the deadline for submission of tenders.
3. If in the Country where the contractor have a seat or a place of residence the documents from the
paragraph 1 above are not issued , document shall be replaced by a statement made before: a notary, a
competent judicial or administrative in the country where the Contractor has its seat or place of
residence.
1. Documents written in a foreign language must be submitted together with their
translation into Polish.
2. In the event of doubt as to the content of the document submitted by the Contractor
established or domiciled outside the territory of the Polish Republic, the Employer may
request the competent authorities of the place of residence of the person or the country in
which the Contractor has its registered office or place of residence in order to obtain the
necessary information concerning the submitted document.
XII CRITERIA, THEIR MEANING AND THE METHOD OF EVALUATION OF OFFERS
1. Offers will be evaluated according to the following criteria:
1.1. Price – up to 95% of the score
1.2. Warranty – up to 5% of the score
2. Description of the method of assessment of the offer :
I criterion "Price" - the tender with the lowest price for the realization of the whole subject will
receive 95 points, and the remaining tenders will be awarded proportionally smaller number of points,
approximated to two decimal places, calculated according to the formula:
Wc = (Cmin / Cb) x 95, wherein:
Wc - point value in the ‘Price’ criterion
Cmin - the lowest price among the not rejected offers
Cb - the price of the studied offer
II criterion "Warranty" – an offer with an extended warranty with respect to the minimum
requirements set out in the specification of services - Appendix 1 to the description of the subject of
the contract, will receive for each subsequent year above the basic warranty - 1 point, but not more
than 5 points in total in the “warranty” criterion .
3. The best among the bids which were not rejected will be considered the bid with the highest
score for all of the above criteria. The Purchaser assumes that 1 point = 1%
4. The Purchaser will award the contract to the Contractor whose bid meets all the
requirements set out in the Public Procurement Act and in the Terms of Reference and was
rated as the best, i.e. received the highest number of points on the basis of the adopted
evaluation criteria (Art. 91 paragraph. 1 of the PPA) - for each task separately.

§1
Niniejsza umowa zostaje zawarta w wyniku przeprowadzonego postępowania o udzielenie
zamówienia publicznego na „Dostawę kotłów filharmonicznych dla Narodowego Forum Muzyki”
ZP/PN/18/2015/NFM w trybie przetargu nieograniczonego, zorganizowanego zgodnie z ustawą z dn.
29 stycznia 2004 r. Prawo zamówień publicznych (tekst jednolity Dz. U. z 2013 r., poz. 907), o
następującej treści:
This contract results from the public procurement procedure ‘Delivery of timpani for National Forum
of Music’ ZP/PN/182015/NFM carried out through open tender, in accordance with the Act of 29
January 2004 Public Procurement Law (text as in the Journal of Laws from 2013, item 907), and the
Parties agree as follows:
§2
1. NFM zamawia, a Wykonawca zobowiązuje się do dostarczenia 5 sztuk Kotłów Filharmonicznych,
misy (korpusy) w stylu berlińskim w rozmiarach 81-74-66-62-58 cm wraz z akcesoriami, zgodnie
ze specyfikacją usług stanowiącą załącznik nr 1 do SIWZ (załącznik nr 2 do umowy) oraz zgodnie
z ofertą Wykonawcy stanowiącą załącznik nr 1 do umowy. The NFM shall order and the Performer
shall deliver 5 Philharmonic Timpani, the bowls in the Berlin style, with the sizes 81-74-66-62-58
cm with accessories, in accordance with the specification of services being Appendix 1 to SIWZ
[Specification of Important Terms of Procurement] (Appendix No,2 to the contract) and in
accordance with the Performer’s offer being Appendix 1 to the contract.
2. Do obowiązków Wykonawcy należy również, w ramach kwoty wynagrodzenia, o której mowa w §
4 ust. 2 dostawa własnym transportem i na własne ryzyko instrumentów oraz akcesoriów do
siedziby NFM lub innego miejsca we Wrocławiu wskazanego w trybie roboczym przez NFM wraz
z wniesieniem, ustawieniem i uruchomieniem instrumentów we wskazanej sali, oraz poniesienie
wszelkich kosztów, opłat, itp., niezbędnych do prawidłowego wykonania umowy oraz dokonanie
niezbędnych przeglądów i serwis w okresie gwarancji. The obligations of the Performer include, as
part of the fee mentioned in § 4.2, the delivery by Performer’s own transport and at the Performer’s
own risk, of the instruments and accessories to the NFM seat or another location in Wrocław
indicated in due course by the NFM, including the unloading, setup and launch of the instruments
in the indicated hall as well as covering all costs, fees etc. necessary for the correct execution of
this contract as well as necessary inspections and servicing in the guarantee period.
3. Strony w dniu odbioru Przedmiotu Umowy sporządzą protokół zdawczo-odbiorczy podpisany
przez upoważnionych przedstawicieli Wykonawcy i NFM. The parties on the date of delivery of
the subject of this contract shall write a delivery protocol signed by authorized representatives of
the Performer and the NFM.
4. W przypadku stwierdzenia wad NFM ma prawo odmówić odbioru przedmiotu umowy wskazując
Wykonawcy wady w formie pisemnej. Wykonawca w takim przypadku usunie wady w terminie 14
dni lub wedle wyboru Zamawiającego dostarczy instrument/instrumenty wolny od wad, w terminie
30 dni od dnia zgłoszenia wad. In the case wen any faults are found by the NFM, the NFM has the
right to decline the delivery of the subject of the contract, pointing out in writing all the faults to the
Performer.
§3
1. Wykonawca dostarczy instrumenty wraz z akcesoriami w terminie do dnia ...…..2015 r. The
Performer shall deliver the instruments and accessories by …….. 2015.
2. Wraz z instrumentami Wykonawca przekaże NFM wszelkie dokumenty potrzebne do korzystania z
przedmiotu umowy, w tym w szczególności dokumenty gwarancyjne, instrukcje, opisy i inne
posiadane przez niego informacje w wersji dwujęzycznej (polskiej oraz angielskiej). With the
instruments, the Performer shall deliver to the NFM all necessary documents enabling the NFM to
use the subject of this contract, and in particular the guarantee, the manual, the descriptions and
other information possessed by the Performer in a bilingual version (in Polish and in English).
§4
Strony ustalają, że obowiązującą ich formą wynagrodzenia, zgodnie ze specyfikacją istotnych
warunków zamówienia oraz wybraną w trybie przetargu nieograniczonego ofertą Wykonawcy,
jest wynagrodzenie w formie ryczałtu. The Parties agree that the binding form of the fee, in
accordance with the specification of important terms of procurements and the Performer’s offer
selected through open tender, is the fee payable as a lump sum.
2. Strony ustalają cenę za realizację umowy w wysokości…………. PLN netto
(słownie:…………………….), plus obowiązujący podatek VAT, tj. łącznie: ………… PLN
brutto (słownie: ……………brutto) The price for the execution of the entire contract has been
agreed by the Parties to be …………………… PLN net (say: ……………………….) plus VAT,
i.e. a total of ………………………. PLN gross (say: ………………………………….. gross).
3.Wynagrodzenie określone w ust. 2 płatne będzie w terminie 30 dni od daty otrzymania prawidłowo
wystawionej faktury, w całości ze środków publicznych po prawidłowej realizacji przedmiotu umowy,
przelewem na rachunek bankowy Wykonawcy wskazany w fakturze, zgodnie z obowiązującymi
przepisami i podpisanego protokołu odbioru umowy. The fee indicated in 2. above shall be paid within
30 days of receipt of a valid invoice, entirely from the public funds after the correct execution of the
subject of this contract, by bank transfer to the bank account indicated in the invoice, in accordance
with the binding law and the written delivery protocol.
4. Podstawą zrealizowania faktury jest podpisany przez Strony Protokół odbioru umowy bez
1.
zastrzeżeń, stwierdzający jej należyte wykonanie. The basis of payment for the invoice shall be the
delivery protocol signed by the Parties without reservations, confirming the correct execution of
the contract.
5. Wykonawca ponosi odpowiedzialność wobec NFM za rzetelność, prawidłowość i terminowość
rozliczenia wszelkich podatków i innych należności publicznoprawnych
podlegających doliczeniu do ceny. The Performer shall be held liable to the NFM for the fair, correct
and timely payment of all taxes and other public liabilities.
6. Za dzień zapłaty uznaje się dzień zlecenia przelewu środków pieniężnych na rachunek bankowy
Wykonawcy. The day of payment shall be the day of placing the order of money transfer to the
Performer’s bank account.
§5
1. W przypadku niewykonania lub nienależytego wykonania Umowy Wykonawca zobowiązuje się
zapłacić NFM kary umowne w wysokości: In the case of non-performance or faulty performance of
the contract, the Performer resolves to pay to the NFM the folloiwng contractual penalties:
1. 10% wynagrodzenia, o którym mowa w § 4 ust. 2, jeżeli NFM odstąpi od umowy z powodu
okoliczności, za które odpowiada Wykonawca, 10% of the fee mentioned in § 4. 2, if the
NFM terminates the contract for reasons on the side of the Performer
2. 1% wynagrodzenia, o którym mowa w § 4 ust. 2, za każdy dzień opóźnienia, jeżeli Przedmiot
Umowy nie zostanie dostarczony w terminie wskazanym w umowie, 1% of the fee mentioned
in § 4. 2 for each day of the delay if the subject of the contract has not been delivered on the
date indicated in the contract.
c) 1% wynagrodzenia, o którym mowa w § 4 ust. 2, za każdy dzień opóźnienia w
usuwaniu wad, o których mowa w § 2 ust. 4 i § 6 ust. 2, 1% of the fee mentioned in § 4. 2 for
each day of the delay in the correction of faults mentioned in § 2. 4 and § 6. 2.
d) 5% wynagrodzenia, o którym mowa w § 4 ust. 2, za każdy przypadek nienależytego
wykonania obowiązków umownych przez Wykonawcę. 5% of the fee mentioned in § 4. 2 for
each instance of faulty execution of the Performer’s contractual obligations.
3. Jeżeli szkoda będzie wyższa niż kara umowna, NFM jest uprawniony do dochodzenia
odszkodowania przekraczającego karę umowną. If the damage exceeds the amount of the
contractual penalty , the NFM shall have the right to claim damages exceeding the amount of the
contractual penalty.
4. Odstąpienie od Umowy nie wyklucza naliczenia przez NFM kar z tytułu opóźnienia. The
termination of the contract by the NFM does not exclude the NFM’s right to calculate contractual
penalties for delay.
§6
1.Wykonawca udziela NFM ……-letniej gwarancji jakości na całość przedmiotu umowy licząc od
dnia podpisania protokołu odbioru przedmiotu umowy bez zastrzeżeń. The Performer gives the NFM a
quality guarantee of ………….. years for the whole subject of the contract beginning on the day of
signing the delivery protocol without reservations.
2.Wykonawca w ramach udzielonej gwarancji, zobowiązuje się w terminie 3 dni od dnia pisemnego
zgłoszenia reklamacji, usunąć wady lub dostarczyć zakwestionowane przedmioty składające się na
przedmiot umowy wolne od wad w terminie 30 dni od zgłoszenia wady. The Performer, under the the
guarantee thus granted, resolves within three days of written reclaim to correct the faults or deliver
faultless replacements of declined faulty objects being the subject of this contract within 30 days after
the fault was reported
3.Wykonawca zapewnia transport wadliwego przedmiotu umowy na własny koszt. Wykonawca
ponosi również, wszelkie inne koszty związane z usunięciem wad lub wymiany przedmiotu umowy na
wolny od wad. The Performer shall provide the transportation of the faulty object at the Performer’s
own cost. The Performer shall also cover all other costs pertaining to the correction of faults or
replacement of the subject of the contract with a faultless one.
4.Jeżeli w wyniku 4 napraw zgłoszonych wad przedmiot umowy nadal będzie wykazywał wady
Wykonawca zobowiązuje się do dostarczenia przedmiotu umowy wolnego od wad w terminie 40 dni
od daty zawiadomienia przez NFM, że przedmiot umowy wykazuje wady. Zgłoszone wady nie muszą
być wadami jednego rodzaju, kolejno się powtarzającymi, lecz jakimikolwiek wadami przedmiotu
umowy. If, after 4 repairs of reported faults, the subject of the contract continues to demonstrate
faults. The performer resolved to deliver a faultless replacement within 40 days since the date of
notification by the NFM that the subject of the contract has faults. The reported faults do not need to
be faults of one kind or repeating faults, but they can be faults of any kind found in the subject of the
contract.
5.Wykonawca wraz z dostawą przedmiotu umowy przekaże wszystkie niezbędne informacje
dotyczące użytkowania i konserwacji zakupionych rzeczy oraz wyda NFM kartę gwarancyjną
uwzględniającą zapisy ust. 1 i 2 The performer, upon the delivery of the subject of the contract shall
deliver all necessary information about the use and maintenance of the purchased objects and shall
give the NFM a warranty which shall comply with the terms stipulated in 1. and 2. above.
6.Niezależnie od udzielonej gwarancji NFM przysługują uprawnienia z tytułu rękojmi, której termin
Strony ustalają na 5 lat od daty odbioru przedmiotu umowy przez NFM bez zastrzeżeń. Independent
of the warranty thus granted, the NFM shall have the rights of assurance, whose term has been agreed
by the Parties to be five years since the date of receiving the subject of the contract by the NFM
without reservations.
7.Strony ustalają, że odpowiedzialność Wykonawcy z tytułu rękojmi za wady zostaje rozszerzona
poprzez udzielenie rękojmi na okres równy okresowi udzielonej gwarancji. The Parties resolve that the
Performer’s assurance liability shall be extended by giving the NFM an assurance for the period of
time equal to the guarantee period.
8.Strony ustalają, że na czas naprawy gwarancyjnej i/lub odpowiednio w przypadku realizacji
uprawnień z rękojmi za wady – na ten czas, Wykonawca zapewni Zamawiającemu instrument
zastępczy o parametrach co najmniej równych parametrom instrumentu opisanego w § 2. The Parties
agree that for the time of guarantee repairs and/or the execution of assurance rights - for this period of
time the Performer shall provide the Purchaser with a stand-in instrument with parameters equal to the
parameters of the instrument described in § 2.
9.W przypadku nie wywiązania się przez Wykonawcę z obowiązku zapewnienia instrumentu
zastępczego, o którym mowa w ust. 8, Zamawiający będzie uprawniony do zapewnienia
przedmiotowego instrumentu własnym staraniem, jednakże na koszt Wykonawcy. In the case when
the Performer shall not deliver the stand-in instrument mentioned in 8. above , the Purchaser shall
have the right to secure such a stand-in with their own effort, however at the expense of the Performer.
10.Strony ustalają, iż obowiązek zapewnienia instrumentu zastępczego będzie miał zastosowanie
również w przypadku ujawnienia wad w trakcie odbioru przedmiotu umowy opisanego w § 2 ust. 4,
jeżeli Zamawiający nie odstąpi od odbioru i dokona tzw. „odbioru z wadami” The Parties agree that
the obligation to deliver a stand-in instrument shall be binding also in the case then the faults are found
during the delivery of the subject of the contract described in § 2.4 if the Purchaser shall not decline
the delivery and shall agree to the so-called ‘delivery with faults’ .

W przypadku jeśli okaże się, że do sprawnej realizacji przedmiotu zamówienia niezbędne jest
dokonanie wzajemnych dodatkowych uzgodnień Strony poczynią te uzgodnienia w terminie do
dwóch tygodni od zaistnienia tej potrzeby. In the case when the timely execution of the subject of
the contract requires further mutual agreements, the Parties shall make these agreements within
two weeks after such a requirement occured.
Każda zmiana umowy wymaga formy pisemnej pod rygorem nieważności, i możliwa jest w
przypadkach przewidzianych w ust. 3. All changes to this contract shall be made in writing in
order to be valid and they are possible in the cases envisaged in 3 below.
Przewiduje się możliwość zmiany umowy, w przypadku wystąpienia wskazanych niżej
okoliczności, których nie można było przewidzieć w chwili zawarcia umowy, z uwzględnieniem
następujących warunków wprowadzenia tych zmian: The possibility of changing the contract is
envisaged in the case when the following circumstances occur, which could not be foreseen at the
moment of signing this contract, respecting the following conditions of introducing such changes:

umowy. Changes in general legal regulations affecting the execution of this contract
zmiany umowy w przypadku zmiany obowiązującej wysokości stawki podatku VAT (jeżeli w
trakcie realizacji umowy nastąpi zmiana stawki dla dostaw objętych zamówieniem, NFM dopuszcza
możliwość zmniejszenia lub zwiększenia wynagrodzenia brutto o kwotę równą różnicy zmiany stawki
podatku – dotyczy to części wynagrodzenia za dostawy, których w dniu zmiany stawki podatku VAT
jeszcze nie dokonano). Changes to the contract in the case when the VAT rate is changed (if during the
execution of this contract the VAT rate is changed for deliveries being the subject of the procurement,
the NFM shall allow for the possibility of decreasing or increasing the gross fee by the amount equalling
the difference in the VAT rate – this refers to the part of the fee for deliveries which have not been made
on the date when the VAT rate changes).

leżącymi wyłącznie po stronie NFM lub okolicznościami niezależnymi zarówno od NFM jak i od
Wykonawcy. Change to the terms of payment, however such a change can oly be caused by
circumstances on the side of the NFM or circumstances independent of both the NFM and the
Performer.
4. Ustala się, iż nie stanowi zmiany umowy w rozumieniu art. 144 ustawy Prawo zamówień
publicznych:
1) zmiana nr rachunku bankowego,
2) zmiana osób wyznaczonych do nadzoru nad realizacją umowy,
3) zmiana danych teleadresowych.
Zaistnienie okoliczności, o których mowa w niniejszym ustępie wymaga jedynie niezwłocznego
pisemnego zawiadomienia drugiej Strony. It is agreed that the following circumstances shall not
constitute changes to this contract in accordance with Article 144 of the Public Procurement Law
1) change of the bank account
2) change of the people assigned to supervise the execution of the contract
3) change of addresses and/or phone numbers
§9
1. W sprawach nieuregulowanych umową mają zastosowanie przepisy ustawy Kodeksu cywilnego
oraz inne przepisy szczególne. Matters not regulated in this contract shall be governed by the Civil
Code and other specific regulations.
2. Kwestie sporne wynikłe w trakcie realizacji umowy rozstrzygać będzie właściwy Sąd we
powszechny Wrocławiu. Disputes that may arise during the execution of the contract shall be
adjudicated by a court of law in Wrocław.
3. Umowa została sporządzona w trzech jednobrzmiących egzemplarzach, 2 dla Zamawiającego i 1
dla Wykonawcy. The contract was made in three identical counterparts, two for NFM and one for
the Performer .
