I. ANNOUNCEMENTS REQUIRED BY THE COMMERCIAL COMPANIES CODE 3. JOINT STOCK COMPANIES
(...) along with all benefits and encumbrances, by dissolving
KARKO Spółka z ograniczoną odpowiedzialnością without
liquidation proceedings on the deregistration date, according to
Article 493 § 1 of the Commercial Companies Code, in
exchange for the shares which KARKO LIGHTING Spółka
Akcyjna will issue to the shareholders of KARKO Spółka z
ograniczoną odpowiedzialnością.
§3
1. The Companies' merger is based on the balance sheets of
KARKO LIGHTING Spółka Akcyjna and KARKO Spółka z
ograniczoną odpowiedzialnością as of 31 July 2011.
2. The assets of KARKO Spółka z ograniczoną
odpowiedzialnością shall be transferred on the day when the
merger is entered into the Register of Entrepreneurs of the
National Court Register of KARKO LIGHTING Spółka Akcyjna
and when KARKO Spółka z ograniczoną odpowiedzialnością
is deleted from the Register of Entrepreneurs of the National
Court Register.
3. KARKO LIGHTING Spółka Akcyjna shall prepare its
financial statements according to the going concern principle,
based on the closing balance of the assets transferred to it
from KARKO Spółka z ograniczoną odpowiedzialnością.
§4
1. As of the merger date, the shareholders of KARKO Spółka z
ograniczoną
odpowiedzialnością
shall
become
the
shareholders of KARKO LIGHTING S.A.
2. In exchange for the interests in KARKO Spółka z
ograniczoną odpowiedzialnością with a nominal value of PLN
1,000 (one thousand zloty 00/100) and a carrying value of PLN
2,235,206, the shareholders of KARKO Spółka z ograniczoną
odpowiedzialnością shall be awarded 22,352,060 shares in the
Acquiring Company with a nominal value of PLN 0.1 each and
a carrying value of PLN 2,235,206:
- the shareholder Karolina Kochanek shall receive 171,939
shares with a carrying value of PLN 17,193.90
- the shareholder Zbigniew Kochanek shall receive
22,180,121 shares with a carrying value of PLN
2,218,012.10.
3. The shares of KARKO LIGHTING Spółka Akcyjna shall be
acquired on the day when the Companies' merger is entered
into the National Court Register.
§5
1. The shareholders of the Acquired Company shall not have
any special rights in connection with the Companies' merger.
2. The members of the merging Companies' corporate bodies
shall not have any special rights in connection with the
Companies' merger.
§6
In connection with the combination of KARKO LIGHTING
Spółka Akcyjna and KARKO Spółka z ograniczoną
odpowiedzialnością, the share capital of KARKO LIGHTING
Spółka Akcyjna, the Acquiring Company, is increased by PLN
2,235,206.00 through the creation of 22,352,060 shares with a
value of PLN 0.1 each, for the shareholders of KARKO Spółka
z ograniczoną odpowiedzialnością, i.e. the shareholders
Karolina Kochanek and Zbigniew Kochanek shall receive
171,939 and 22,180,121 shares respectively.
§7
1. As of the date of the Companies' merger, KARKO
LIGHTING Spółka Akcyjna shall assume all rights and
obligations
of
KARKO
Spółka
z
ograniczoną
odpowiedzialnością.
2. By virtue of the law, as of the date of the Companies'
merger, all employment relationships of any persons employed

with KARKO Spółka z ograniczoną odpowiedzialnością shall
be transferred to KARKO LIGHTING Spółka Akcyjna.
3. As of the merger date, the mandate of the President of the
Management Board of KARKO Spółka z ograniczoną
odpowiedzialnością shall expire.
4. As of the date when the Companies' merger is registered,
the shareholders of KARKO Spółka z ograniczoną
odpowiedzialnością shall acquire the right to profit sharing.
§8
The costs related to implementing this merger plan shall be
borne by the merging Companies to the extent to which such
costs are attributable to them.
§9
The following are attached to this merger plan:
1. draft resolutions on the Companies' merger, forming
annexes 1 and 1a,
2. draft resolution on amending the Statute of KARKO
LIGHTING Spółka Akcyjna, forming annex 2,
3. information on the value of the assets of KARKO Spółka
z ograniczoną odpowiedzialnością, forming annex 3,
4. information on the accounting balance of the merging
Companies, prepared in the form of a statement for
merger purposes, forming annexes 4 and 4a.

Merger plan for CIECH Spółka Akcyjna, with its registered
office in Warsaw, Inowrocławskie Zakłady Chemiczne SODA
MĄTWY Spółka Akcyjna, with its registered office in
Inowrocław, and Janikowskie Zakłady Sodowe JANIKOSODA
Spółka Akcyjna, with its registered office in Janikowo.
This merger plan has been prepared according to Article 499
of the Commercial Companies Code (CCC).
The merger shall involve transferring the assets of the
Acquired Companies to the Acquiring Company (merger by
acquisition), according to the rules described in Article 492 § 1
item 1 of the Commercial Companies Code (CCC), in
consideration of Article 516 § 6 CCC.
1. The following Companies are involved in the merger:
a) Acquiring Company: CIECH S.A., with its registered
office in Warsaw (02-670), ul. Puławska 182, entered into
the Register of Entrepreneurs by the District Court for the
capital city of Warsaw, 13th Economic Division of the
National Court Register, under no. KRS 0000011687 (the
share capital of PLN 263,500,965.00 is fully paid and
divided into 52,699,909 shares with a value of PLN 5.00
each).
b) Acquired Company: Inowrocławskie Zakłady Chemiczne
SODA MĄTWY S.A. (SODA MĄTWY S.A.), with its
registered office in Inowrocław (88-101), ul. Fabryczna 4,
entered into the Register of Entrepreneurs by the District
Court in Bydgoszcz, 13th Economic Division of the
National Court Register, under no. KRS 0000022064 (the
share capital of PLN 74,160,750.00 is fully paid and
divided into 7,416,075 shares with a value of PLN 10.00
each). Shareholding structure of SODA MĄTWY S.A. as
of 31 July 2011: CIECH Spółka Akcyjna: 7,416,075
shares with a total value of PLN 74,160,750.00,
accounting for 100% of the share capital.

JANIKOSODA S.A. (JANIKOSODA S.A.), with its
registered office in Janikowo (88-160), ul. Przemysłowa
30, entered into the Register of Entrepreneurs by the
District Court in Bydgoszcz, 13th Economic Division of
the National Court Register, under no. KRS 0000023517
(the share capital of PLN 44,676,080.00 is fully paid and
divided into 4,467,608 shares with a value of PLN 10.00
each). Shareholding structure of JANIKOSODA S.A.
(Acquired Company) as of 31 July 2011: CIECH Spółka
Akcyjna: 4,467,608 shares with a total value of PLN
44,676,080.00, accounting for 100% of the share capital.
2. Considering the fact that CIECH S.A. is the only shareholder
of the Acquired Companies, i.e. SODA MĄTWY S.A. and
JANIKSODA S.A., and that the value of the assets of SODA
MĄTWY S.A. and JANIKSODA S.A. is already accounted for in
CIECH S.A.'s assets (under long-term investments), no new
shares shall be created, as stipulated by Article 514 § 1 CCC.
3. The merger shall be carried out without increasing the share
capital of CIECH S.A. in accordance with Article 515 § 1 of the
Commercial Companies Code.
4. As a result of the merger, the Acquiring Company is not
expected to award any rights referred to in Article 499 § 1
CCC.
5. In connection with the merger, no special benefits shall be
awarded to the members of the merging Companies' corporate
bodies and to other persons involved in the merger (Article 499
§ 1 item 6 CCC).
6. The acquisition of the Acquired Company shall not result in
any amendments to the Acquiring Company's Statute.

1. Draft resolutions on the Companies' merger:
a) draft resolution of CIECH S.A. on the merger,
b) draft resolution of SODA MĄTWY S.A. on the
merger,
c) draft resolution of JANIKOSODA S.A. on the
merger.

b) SODA MĄTWY S.A. (Acquired Company),
c) JANIKOSODA S.A. (Acquired Company) as of 31

prepared for the purpose of the merger as of 31 July
2011 using the same methods and the same approach as
the most recent annual balance sheet:

b) SODA MĄTWY S.A.
c) JANIKOSODA S.A.
