Changes in ownership structure of property manager

CHANGES IN OWNERSHIP STRUCTURE OF PROPERTY MANAGER
Atlas Estates Limited the Central and Eastern European investment and development
property company, announces that it has been informed by the Board of Atlas Management
Company (“AMC”), its Property Manager, that on 4th March 2008 Elran (D.D.) Real Estates
Ltd ("Elran") entered into an agreement with RP Capital Group (“RP”) and BCRE Izaki
Properties (“Izaki Group”), for the sale of Elran’s 37.5% stake in AMC to RP and Izaki Group,
AMC’s other shareholders. As a result RP will hold 51% and Izaki Group will hold 49%.
Gadi Dankner and Dori Dankner will resign their positions as directors of AMC and members
of the Investment Committee of Atlas, with immediate effect. Rafael Berber, Roni Izaki and
Saradhi Rajan will remain as directors of AMC. Rafael Berber and Roni Izaki will remain as
members of the Investment Committee.

ZMIANY W STRUKTURZE WŁAŚCICIELSKIEJ SPÓŁKI ZARZĄDZAJĄCEJ PORTFELEM
AKTYWÓW
Atlas Estates Limited, spółka inwestująca na rynku nieruchomości krajów Europy Środkowej i
Wschodniej, ogłasza, że została poinformowana przez zarząd spółki Atlas Management
Company (“AMC”), zarządzającej portfelem aktywów Atlas Estates, o tym, że dnia [●] lutego
2008 Elran (D.D.) Real Estates Ltd ("Elran") zawarł z RP Capital Group ("RP") i BCRE Izaki
Properties ("Izaki Group”), umowę dotyczącą sprzedaży 37,5% udziałów Elran w AMC.
Kupującym będzie RP i Izaki Group, pozostali akcjonariusze AMC. W rezultacie RP będzie
posiadać 51% akcji AMC, a 49% należeć będzie do Grupy Izaki.
Gadi Dankner i Dori Dankner zrezygnują ze stanowisk dyrektorów w AMC i członków
Komitetu Inwestycyjnego Atlasa, ze skutkiem natychmiastowym. Rafael Berber, Roni Izaki i
Saradhi Rajan pozostaną dyrektorami. Rafael Berber i Roni Izaki pozostaną członkami
Komitetu Inwestycyjnego.

warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o
spółkach publicznych (Dz. U. 2005, nr 184, poz. 1539).
