Reading of Annual Meeting Minutes There were no objections to the 2014 Annual Membership Meeting agenda and there were no objections to accepting the 2014 Annual Shareholder Meeting Minutes as presented in the written Annual Report and both were approved as presented. Board of Directors’ Report The report of the Board of Directors was given by Mr. George Kurzatkowski, the Credit Union’s Board Chairman. He began by reporting that 2014 was an outstanding year for the Credit Union as we continued on a path of restoring a robust capital base. Assets continued to grow, our delinquency remained low and our contribution to capital was more that 100% higher than the prior year. The Credit Union made the difficult decision to discontinue our operation at the Dearborn Heights office but all assets, liabilities and employees were assumed by another credit union. He expressed his gratitude to the Credit Union employees and Board members and closed by stating that we must continue to focus on rebuilding our reserves and not only surviving, but thriving in the future. Treasurer’s Report The Treasurer’s Report was given by Mr. John Swidwinski, the Credit Union’s CEO, who reported that the Credit Union’s assets at the end of 2014 were $104,155,325 compared to $102,922,977 in the prior year. Also, in 2014 the Credit Union’s reserves increased by $925,273, a 106% increase over 2013. The Credit Union’s gross income was $3,669,227, operating expenses were $2,428,821. There was $21,440 in non-operating gains and member dividends of $336,574. Credit Committee Report The Credit Committee’s Chairman, John Swidwinski, reported that the Credit Union’s loan portfolio continued to increase as the national and local economies improved. More than $15.2 million in loans were disbursed in 2014 not counting $3.9 million in credit card purchases and cash advances. Of the total, $10.6 million was in real estate related loans and more than $3.6 million in automobile and personal loans. Charge-offs declined in 2014 and funding for our loan loss allowance was also reduced. On behalf of the Credit Committee, Mr. Swidwinski thanked the Committee Members and the Loan Staff for their work during the year. Supervisory Committee Report Mr. Richard Konrad of the Credit Union’s Supervisory Committee reported that as required by regulation, an independent audit of the Credit Union was performed by the Certified Public Accounting firm of Cindrich, Mahalak, & Company. Furthermore, the Credit Union was examined by the National Credit Union Administration. The audit as well as the examination found that the Credit Union was operating in conformity with generally accepted accounting principles and in compliance with all applicable regulations. The financial reports submitted to the members are a true representation of the results of PAC Federal Credit Union’s operations in 2014. He congratulated the Staff and Management for another successful year of operation. A motion to adopt the report was made, seconded, and approved by unanimous vote. Unfinished Business None. New Business None. Election The election to fill expiring terms of directors was conducted. Candidates Matthew Grecki, Stefan Kobylecki, Adam Rusinowski and Zdzislaw Miloboszewski were elected by general consent. Adjournment The meeting adjourned at 6:30 p.m. -3- Report of the Credit Committee In 2015, the Credit Union’s loan portfolio continued to increase as both the national and local economies continued to improve. Not counting purchases and credit card cash advances, the Credit Union disbursed more than $17.5 million. The total of credit card purchases and advances were more than $4.1 million. Both amounts represent record borrowings by our membership, no doubt spurred by low rates and a more stable economy. At year-end our loans totaled $69,238,350, also a record for our credit union. This is after losing about $1.5 million in last year’s spin-off of our former Dearborn Heights location. In addition to yet another outstanding year for loan growth for our Credit Union, our loan delinquency also improved with delinquent loans representing only 0.74% of total loans compared to 1.06% at the end of 2014. The average for comparable credit unions was 0.88%. The amount of net loans charged off was also reduced again from $213,352 in 2014 to $132,567. As a result, the Credit Union only needed to fund the loan loss allowance account by $32,000 which contributed to stronger net income for the year. Just like at the end of last year, there was only one remaining property owned by the Credit Union that was acquired via foreclosure. That property was sold in January of 2016. The Credit Union continues to firmly believe that our membership is best served by the lending practices of our Credit Union. No one knows our members’ borrowing needs better than we do. The foundation of our business is to provide a source of loans to our members. Our mission is to be the best source available for loans to our members. Once again, thanks to our members for the confidence shown in our Credit Union and we look forward to your continued support. Sprawozdanie Komisji Kredytowej W roku 2015 portfel inwestycyjny Unii Kredytowej powiększał się wraz z poprawą lokalnej i krajowej sytuacji gospodarczej. Bez uwzględnienia zakupów z użyciem kart kredytowych i zaliczek gotówkowych, Unia pożyczyła ponad 17,5 miliona dolarów. Całkowita suma zakupów dokonanych przy użyciu kart kredytowych i zaliczek gotówkowych przekroczyła 4,1 miliona dolarów. Obie sumy świadczą o rekordowych pożyczkach naszych członków, co było możliwe dzięki niskiemu oprocentowaniu i stabilnej gospodarce. Łączna wartość pożyczek w końcu roku osiągnęła sumę 69 238 350 dolarów - kolejny rekord w naszej Unii. Takie wyniki osiągnęliśmy niezależnie od sprzedaży naszego oddziału w Dearborn Heights co spowodowało stratę około 1,5 miliona dolarów. Oprócz kolejnego znakomitego roku, w którym nasza Unia Kredytowa utrzymała tempo wzrostu wartości udzielonych kredytów, zachowaliśmy również wysoką ich jakość z niskim odsetkiem kredytów niespłacanych w terminie, na poziomie 0,74 procenta wobec całkowitej wartości kredytów w porównaniu do 1,06 procenta w końcu roku 2014. Średnia dla porównywalnych unii kredytowych wynosiła 0,88 procenta. Suma kredytów spisanych została zmniejszona z 213 352 dolarów w roku 2014 do 132 567 dolarów. W rezultacie Unia Kredytowa musiała tylko pokryć koszty w wysokości 32 000 dolarów, co przyczyniło się do zwiększenia dochodu netto w okresie całego roku. Podobnie jak w końcu ubiegłego roku w 2015 Unia Kredytowa miała tylko jedną nieruchomość uzyskaną na drodze postępowania egzekucyjnego mienia, która została sprzedana w styczniu 2016. W Unii Kredytowej nadal uważamy, że nasza działalność kredytowa jest najlepszym rozwiązaniem dla naszych członków. Nikt nie zna potrzeb kredytowych naszych członków lepiej od nas! Podstawą naszych przedsięwzięć biznesowych jest udostępnianie kredytów naszym członkom, a celem - abyśmy byli najlepszym dla nich dostępnym źródłem kredytów. Swidwinski, Chairperson/Przewodniczący Mariusz Arszylo Kazimierz Kozlowski Report of the Supervisory Committee The Supervisory Committee serves as the auditing body; ensuring Polish-American Federal Credit Union complies with all applicable laws and regulations and acts in the best interest of the Credit Union’s memberowners in order to safeguard their assets. The Supervisory Committee is appointed annually by the Board of Directors. To discharge these responsibilities the Committee retained the public accounting firm of Cindrich, Mahalak & Co., P.C. to perform the following functions: • • • To conduct an independent external opinion audit of the financial statements for the period from July 31, 2014 to July 31, 2015. To conduct the annual Bank Secrecy Act and Office of Foreign Asset Controls examinations. To conduct audits of the Credit Union’s Automated Clearinghouse processes. The Committee also reviewed and addressed the findings of the annual examination of the Credit Union by the National Credit Union Administration. The independent auditor found that the financial statements present fairly, in all material aspects, the financial position of Polish-American Federal Credit Union in conformity with Generally Accepted Accounting Principles. The Supervisory Committee finds that the required policies and procedures are in place and that PolishAmerican Credit Union’s controls are effective. On behalf of the Supervisory Committee, congratulations to the staff and management of the Credit Union for another productive year. Sprawozdanie Komisji Nadzorczej Komisja Nadzorcza pełni rolę jednostki kontrolnej, której celem jest zagwarantowanie, że Polish-American FCU przestrzega wszystkich przepisów i regulacji prawnych w interesie członków/właścicieli Unii Kredytowej w celu zabezpieczenia ich aktywów. Komisja Nadzorcza jest rokrocznie mianowana przez Radę Dyrektorów. W celu wywiązania się ze swoich obowiązków Komisja zatrudniła audytora - firmę zajmującą się księgowością, Cindrich, Mahalak & Co., P.C. do wykonania następujących czynności: • • • Przeprowadzenie niezależnego zewnętrznego audytu sprawozdań finansowych za okres od 31 lipca 2014 r. do 31 lipca 2015 r. Przeprowadzenia dorocznego badania zgodności z przepisami ustawy o tajemnicy bankowej (Bank Secrecy Act) i wymogami Urzędu Kontroli Aktywów Zagranicznych (Office of Foreign Asset Controls). Przeprowadzenia audytu stosowanych w Unii Kredytowej procedur automatycznego systemu rozliczeniowego (Automated Clearinghouse). Komisja również dokonała przeglądu i analizy ustaleń dorocznej kontroli Unii Kredytowej dokonanej przez Krajowy Zarząd Unii Kredytowych (National Credit Union Administration). Niezależny audytor stwierdził, że sprawozdania finansowe jednoznacznie i pod każdym względem odzwierciedlają zgodność sytuacji finansowej Polish-American FCU z ogólnie akceptowanymi zasadami rachunkowości (Generally Accepted Accounting Principles). Komisja Nadzorcza potwierdziła realizację wymaganych zasad i procedur oraz efektywność system kontrolnego w Polish-American FCU.
