Każde zamówienie na specjalnych warunkach handlowych (rabaty, promocje) potrzebuje pisemnego potwierdzenia kupującego. Zamówienia przyjmowane przez naszych przedstawicieli są zobowiązujące po ich pisemnej akceptacji lub po dostarczeniu towaru do klienta. Ceny podawane są netto i nie zawierają podatku Vat. Ceny transportu pokrywa dostawca tylko w przypadku dostaw na terenie kraju, chyba że ustalono z klientem w drodze wyjatku warunki indywidualne. DOSTAWA I PAKOWANIE Zwrot towaru będzie przyjmowany do 14 dni od daty dostarczenia dostawy. Przed upływem tego czasu zwrot towaru będzie przyjmowany za pomocą korekty. Nasze towary dostarczane są w opakowaniach zbiorczych z innymi towarami ich rozdzielenie lub wymieszanie może się odbyć tylko za naszą zgodą. Przy dostawie droga lotniczą lub morską doliczane są dodatkowe koszty w związku ze zmianą lub dostosowaniem pakowania Termin dostawy Podawany termin dostawy nie jest zobowiazujacy, jeśli w drodze wyjatku nieustalono innaczej. Opóżnienia w dostawie nie uprawniają do anulowania zamówienia, nie przyjecia dostawy lub innych roszczeń. W przypadku nie dostarczenia towaru w określonym czasie pozostawiamy sobie prawo do ponownego dostarczenia towaru, a kupujacy jest zobowiazany do przyjęcia towaru w uprzednio ustalonej cenie. Transport Ryzyko transportu towaru przechodzi głównie na Kupującego i jego przedstawiciela również, gdy towar dostarczany jest DDU Dostawa towaru na koszt firmy na terenie kraju możliwa jest przy minimalnym zamówieniu na kwotę 3000 zł netto. Dostawy za granicę realizowane są przy minimalnym zamówieniu na wartość 2 000 Euro DDU. Brakujący lub uszkodzony towar należy zgłosić niezwłocznie podczas dostawy w formie pisemnej przewoźnikowi. Nasz towar dostarczany jest na paletach Euro. W razie zaginięcia lub nie oddania palet będzie wystawiony klientowi rachunek. Klauzula własności (Law of 25th January 1985) Towar pozostaje własnością firmy do momentu spłaty wszystkich zobowiązań. W przypadku niewypłacalności kupujacego mamy prawo do odebrania towaru zarówno kupujacemu jak i jego odbiorcom. Pozostawiamy sobie prawo do ściągnięcia płatnosci również od osób trzecich jeśli płatność ta nie została jeszcze uregulowana na rzecz kupujacego. Zwroty Zrot towaru na nasz koszt jest niedopuszczalny bez wczesniejszego ustalenia i zgody dyrekcji firmy. Bez zgody zwroty nie uprawniają w żadnym przypadku do przedłużenia terminu płatnosci. Reklamacje (braki) Towar uznany jako wadliwy będzie wymieniany przy dostawie tylko w przypadku uszkodzeń jakościowych tworzywa, oczywistych defektów lub błędu wytworzenia. Wyklucza się dalsze reklamacje kupującego. Jeśli towar jest wadliwy należy zgłosić to najpóżniej do 14 dni i zaznaczyć na liscie przewozowym przewoźnika. Faktury i warunki płatnosci Nasze oferty cenowe bazują na naszych cennikach i ofertach indywidualnych. Pozostawiamy sobie prawo do zniany cen, w szczególnosci ze względu na wahania cen surowca. Płatności za faktury należy wpłacać na konto firmowe niezwłocznie i jeśli innaczej nie ustalono bez odejmowania skonta. W razie zalegania z płatnościami i nie uregulowania płatności do 8 dni od momentu wystawienia wezwania do zapłaty jesteśmy uprawnieni do pobierania odsetek w wysokości 2 % miesięcznie naliczanych od dnia dostarczenia towaru. Kupujący nie jest uprawniony podawać reklamacje jako przyczynę nie uregulowania płatności lub jej pomnieszenia jak i wydłużenia terminu płatności. W przypadku kiedy firma będzie zmuszona przekazać nieuregulowane płatności do windykacji kupujący ponosi dodatkowe koszty oprócz wymienionych wyżej 2 % odsetek za zwłokę dochodzą koszty umowne w wysokości 20 % sumy zakupu czego potwierdzenie znajduje się w kodekcie cywilnym (paragraf ...) Status prawny W sprawach spornych kompetentny jest wyłacznie sąd gospodarczy we Wrocławiu. Obowiązuje to również w przypadku wiekszej ilości pozwanych lub powoływania osób trzecich. Obowiązuje to również w przypadku wiekszej ilości pozwanych lub powoływania osób trzecich. 33 GENERAL TERMS OF SALE ORDERS AND PRICES The placing of any order implies the unreserved acceptance of the following general conditions. All orders are construed as a promise to purchase. All orders are firm and definite. Any promotional order shall require written confirmation by the purchaser. We are not bound by orders taken by our agents or representatives until after written confirmation or dispatch. Our prices are established pre-tax, ex works. If carriage costs are stipulated, by us, to be at our charge, such costs can only apply to mainland France, unless otherwise stated in a special convention. Our prices are valid for a period of 45 days. DELIVERY AND PACKING No goods will be taken back after a period of 2 months following delivery. Within this period of 2 months, returned goods cannot be reimbursed by any means except a credit note valid for another article valued at the same price at the time of delivery. Our goods are delivered in multiples of the packing unit. No division or mixing can be accepted without our agreement. A supplement for the replacement of the packing is incurred in the case of sea and air transport. DELIVERY TIMES Unless stated otherwise, delivery times are given for purposes of information solely. Late delivery cannot justify cancellation of a sale, refusal to accept goods or a claim for damages. In the event that, for whatever reason, an order is not carried out within the agreed time, and in the absence of a formal injunction, we nevertheless reserve the right to deliver the goods, the purchaser being under the obligation to take delivery of such goods and to pay the price according to the initially agreed conditions. TRANSPORT Our goods, even when dispatched “carriage paid”, travel at the risk and peril of the consignee or his principal. This rule cannot be waived by any clause setting out terms of delivery. For the French mainland, our goods dispatched carriage paid correspond to a minimum of 15 parcels. For export, our goods dispatched carriage paid correspond to a single consignment for an amount equal to or in excess of 2 000,00 euros. In the event of short delivery or damage, the consignee must without fail make written and precise reservations with the carrier upon arrival of the goods, and confirm them immediately by registered letter addressed to the carrier (Article L 133-3 of French commercial law). In the event of collection at the factory, the customer or his carrier bears full responsibility for loading, irrespective of any benevolent help from us. Our deliveries are made on exchangeable European pallets. In the event that exchange does not take place, for whatsoever reason, the pallets will be invoiced to the customer. RESERVE OF TITLE (Law of 25th January 1985) All deliveries are made subject to reserve of title until payment in cash has been made in full. It follows that the said deliveries may be recovered from the consignee or his principal if the purchaser’s solvability is in question. The purchaser must inform the consignee or his principal of this clause. We reserve the right to claim from the third-party acquirer, the price, or that part of the price, which he has not yet paid to our purchaser. For so long as the reserve of title exists, the customer may not, in whatsoever manner, dispose of the goods. We shall immediately be notified, by registered letter with recorded delivery, of seizure of goods or similar measures. Notwithstanding the present clause, the transfer of risk in goods shall occur upon delivery. RETURN No return of goods will be accepted without the written agreement of the General Management, and in no circumstances will returned goods be accepted carriage due. Unauthorised returns may not in any circumstances delay settlement of our invoices at the agreed date. GUARANTEES In the case only of raw material defects or obvious manufacturing defects, goods recognised as being defective will simply be replaced, to the exclusion of any other indemnity. We do not guarantee the capacity of our standard products to meet the use to which the purchaser puts them. The characteristics listed in the catalogue are given for information purposes only. If the goods present patent defects, the purchaser must notify us of these said defects by registered letter in the month of the acceptance date mentioned on the dispatch note or the release note given to the carrier, failing which the said purchaser exposes himself to foreclosure. In particular, no claim is possible if the goods have been used by the purchaser. INVOICING AND PAYMENT Our invoices are established on the basis of our tariff schedules and our special terms. Our prices are subject to change without notice, particularly as a result of fluctuations in raw materials. The place of payment is the registered office of our company. Unless expressly and exceptionally stated otherwise, our invoices are to be paid cash without discount. In the event of failure to pay at the agreed date and eight days after a reminder remaining without effect, interest may be claimed on arrears at the contractual rate of 2 % per month, calculated from the date of the delivery note. Moreover, in the event of payment occurring after the period of time specified in the general terms of sale, any sum not paid at the payment date mentioned on the invoice shall automatically, and after prior formal notification, give rise to the application of penalties calculated on the basis of the European Central Bank interest rate increased by seven points (Law of 15th May 2001). Failure to pay a single bill or invoice at the date of settlement renders all amounts owed to us, even those not yet due, payable immediately. In the case of discount, credit, refund or rebate, an unpaid invoice in the course of the year removes the right to such discount, credit, refund or rebate on the turnover of the year and/or period in question. The purchaser agrees not to use any claim against our company as a reason for deferring payment, in whole or in part, or for seeking compensation. We refuse to accept any deduction made by the purchaser unless such a deduction corresponds to a credit note established by our company. In the event that the insolvency of the debtor forces us to instruct our legal department to recover the sums owed to our company or to our principals, a contractual indemnity fixed at 20% of the sums due will be added, over and above the interest on arrears mentioned heretofore. This increase is established in conformity with articles 1152 and 1226 of the Civil Code. POWER OF JURISDICTION In the event of dispute, the Commercial Court of Besançon is the sole court of competent jurisdiction, even in case of plurality of defendants or co-responsibility; French law only shall be applicable. 34 ALLGEMEINE VERKAUFS- UND LIEFERBEDINGUNGEN BESTELLUNG UND PREISE Mit jeder Bestellung werden die nachstehenden Verkaufsbedingungen uneingeschränkt anerkannt. Jede Bestellung ist als Kaufversprechen anzusehen. Jede Bestellung ist bindend und rechtskräftig. Jede Bestellung zu Sonderkonditionen bedarf der schriftlichen Bestätigung des Käufers. Bestellungen, die von unseren Beauftragten oder Vertretern entgegengenommen werden, sind erst nach schriftlicher Bestätigung oder nach dem Versand der Ware verbindlich. Unsere Preise verstehen sich ab Werk, die gesetzliche Mehrwertsteuer ist in unseren Preisen nicht enthalten. Sind Versandkosten zu unseren Lasten vereinbart, gilt dies nur für das französische Festland, sofern nicht ausnahmsweise anders vereinbart. Unsere Preise sind für die Dauer von 45 Tagen verbindlich. LIEFERUNG UND VERPACKUNG Waren werden nur innerhalb einer Frist von 2 Monaten nach der Lieferung zurückgenommen. Vor Ablauf dieser Frist werden zurückgenommene Waren nur gegen Gutschrift ersetzt, die mit einer Folgelieferung, zum am Tage der Lieferung geltenden Warenpreis, verrechnet wird. Unsere Waren werden in Verpackungseinheiten mit mehreren Produkten geliefert. Ohne unser Einverständnis ist weder eine Teilung noch eine Mischung der Ware zulässig. Für See- und Lufttransport wird ein Mehrpreis für die Verpackungsänderung berechnet. LIEFERFRIST Angaben über die Lieferfrist sind unverbindlich, sofern nicht ausnahmsweise der Liefertermin verbindlich zugesagt wird. Ein Lieferverzug berechtigt nicht zur Annullierung des Kaufvertrags, zur Ablehnung der Warenannahme oder zu Schadensersatzansprüchen. Sollte eine Bestellung aus beliebigen Gründen nicht innerhalb der vereinbarten Fristen ausgeliefert werden, außer nach einer Mahnung des Käufers, behalten wir uns das Recht vor, die Ware auszuliefern und der Käufer verpflichtet sich, die Lieferung anzunehmen und die Ware zu dem ursprünglich vereinbarten Preis zu zahlen. TRANSPORT Die Gefahr des Warentransports geht grundsätzlich auf den Käufer oder seinen Vertreter über, und zwar auch dann, wenn "Frei Haus" geliefert wird. Eine Änderung dieses Grundsatzes ist, gleich aus welchen Gründen, ausgeschlossen. Lieferungen innerhalb des französischen Festlandes erfolgen ab mindestens 15 Frachtstücken "Frei Haus". Lieferungen ins Ausland werden ab einem Warenwert von 2000,- Euro und darüber "Frei Haus" versandt. Fehlende oder beschädigte Waren sind unverzüglich bei der Lieferung schriftlich und detailliert zu melden und an die Adresse des Transporteurs per Einschreibebrief schriftlich zu bestätigen (Paragraph L 133-3 des Handelsrechts). Bei Fabrikabholung trägt der Kunde oder sein Transporteur die Verantwortung der Ladung, unabhängig von unserem auf jeden Fall entgeltlosen und freiwillen Einschreiten. Unsere Ware wird auf Euro-Pfandpaletten ausgeliefert. Sollte eine Palette aus welchen Gründen auch immer nicht zurückgegeben werden, so wird diese dem Kunden in Rechnung gestellt. EIGENTUMSVORBEHALT (Gesetz vom 25.01.85) Die gelieferte Ware bleibt unser Eigentum, bis der Käufer alle Forderungen gezahlt hat, die wir jetzt und künftig gegen ihn haben. Folgedessen ist bei Zahlungsunfähigkeit des Käufers unsere Ware bei seinen Abnehmern und/oder Dritten einziehbar. Der Käufer hat seine Abnehmer hierüber in Kenntnis zu setzen. Wir behalten uns das Recht vor, den Kaufpreis oder den an unseren Käufer noch nicht bezahlten Teilbetrag gegenüber Dritt-Abnehmern geltend zu machen. Für die Dauer des Bestehens von Eigentumsvorbehalt kann der Kunde über die Ware nicht frei verfügen. Wird die Ware beschlagnahmt, oder unterliegt sie ähnlichen Maßnahmen, muß uns dies sofort per Einschreiben mit Rückschein mitgeteilt werden. Ungeachtet der vorliegenden Klausel erfolgt der Gefahrübergang zum Zeitpunkt der Lieferung der verkauften Waren. RÜCKSENDUNGEN Warenrücksendungen zu unseren Lasten oder ohne vorheriges schriftliches Einverständnis unserer Geschäftsleitung sind nicht zulässig. Nicht genehmigte Rücksendungen berechtigen keinesfalls zu einer Verlängerung der Zahlungsfrist. MÄNGELGEWÄHRLEISTUNG Als mangelhaft anerkannte Ware wird durch eine Ersatzlieferung ersetzt, jedoch ausschließlich bei Werkstoffschäden, offensichtlichen Hauptschäden oder Herstellungsfehlern und schließt weitergehende Ansprüche des Käufers aus. Ferner wird bei Standardprodukten die Erfüllung von Produkteigenschaften für die vom Käufer vorgesehene Verwendung nicht gewährleistet. Die im Katalog angegebenen Produkteigenschaften können Anderungen unterliegen und sind nicht verbindlich. Weist die Ware offensichtliche Mängel auf, sind uns diese umgehend innerhalb eines Monats nach dem auf der Versandanzeige oder dem Transporteur ausgehändigten Lieferschein vermerkten Datum des Wareneingangs per Einschreiben mitzuteilen. Eine Gewährleistung für vom Käufer benutzte Ware ist ausgeschlossen. RECHNUNGSSTELLUNG UND ZAHLUNGSBEDINGUNGEN Unsere Rechnungsstellung beruht auf unserer Preistabelle und unseren Einzelbedingungen. Wir behalten uns das Recht vor, unsere Preise jederzeit zu erhöhen, insbesondere aufgrund von Schwankungen der Rohstoffpreise. Zahlungen sind an unseren Geschäftssitz zu richten. Unsere Rechnungen sind, sofern nicht ausnahmsweise anders vereinbart, sofort und ohne Skontoabzug fällig. Kommt der Käufer zum Fälligkeitstermin und acht Tage nach einer ergebnislosen Mahnung in Zahlungsverzug, sind wir berechtigt, ab dem Lieferscheindatum monatliche Verzugszinsen von 2 % über dem jeweiligen Diskontsatz zu fordern. Ferner, sollte die Zahlung später als in den allgemeinen Verkaufs- und Lieferbedingungen festgesetzt, eingehen, wird nach vorheriger Mahnung, jede nach der auf der Rechnung angegebenen Zahlungsfrist nicht gezahlte Rechnung, mit einem Säumniszuschlag belegt, der dem um sieben Punkte erhöhten Zinssatz der Europäischen Zentralbank entspricht (Gesetz vom 15.05.2001). Steht eine einzelne Rechnung oder eine einzelne Forderung in Zahlungsverzug, werden sofort alle anderen offenstehenden Beträge auch vor Ablauf der Zahlungsfrist fällig. Zusagen von Bonus, Gutschriften, Abschlägen, Rabatten werden durch einen einzelnen Zahlungsverzug im laufenden Jahr hinfällig und zwar für den Umsatz des Jahres und/oder des betreffenden Zeitraums. Der Käufer ist nicht berechtigt, an unsere Firma gerichtete Reklamationen zum Anlaß zu nehmen, um ganz oder teilweise Zahlungsfristen zu verlängern oder eine Rechnungsminderung vorzunehmen. Unsere Firma ist befugt, eventuelle Rechnungsminderungen durch den Käufer abzulehnen, außer sie entsprechen einer von unserer Firma ausgestellten Gutschrift. Sofern wir für die Nichterfüllung eines Zahlungspflichtigen gezwungen sind, die Angelegenheit unserer Rechtsabteilung anzuvertrauen, werden die unserer Firma oder unserem Auftraggeber geschuldeten Summen, zusätzlich zu den oben genannten Verzugszinsen, mit einer Vertragsstrafe von 20 % ihrer Summe belegt. Diese wurde entsprechend des Paragraphen 1152 und 1226 des Code Civil (Bürgerliches Gesetzbuch) erstellt. GERICHTSSTAND Bei Streitigkeiten ist ausschließlich das Handelsgericht in Besançon zuständig, dies gilt auch bei mehreren Beklagten oder Heranziehung von Dritten. Es findet ausschließlich das französische Gesetz Anwendung. 35
