Minister of Treasury, Mr. Aleksander Grad, strengthens the company Grupa LOTOS S.A. in order to facilitate the search for oil and gas sources Today, the Minister of Treasury, Mr. Aleksander Grad, signed an agreement providing for the sale of shares of Przedsiębiorstwo Poszukiwań i Eksploatacji Złóż Ropy i Gazu „Petrobaltic” Spółka Akcyjna seated in Gdańsk, LOTOS Czechowice Spółka Akcyjna seated in Czechowice-Dziedzice and LOTOS Jasło Spółka Akcyjna seated in Jasło to Grupa LOTOS S.A. in order to increase the share capital in Grupa LOTOS S.A. These measures are introduced within the framework of the “Government strategy for the Polish oil industry" in order to put into practice the government’s intentions with respect to Grupa LOTOS S.A. set out in the said document. In particular, the measures concern the improvement in the financing of the Development Programme of the Lotos group, including, above all, the search and mining of gas and oil, as well as influence the shaping of the investment potential of Grupa LOTOS S.A. On 26 June 2009, the Council of Ministers approved a motion of the Minister of Treasury for authorisation to transfer Treasury shares in Przedsiębiorstwo Poszukiwań i Eksploatacji Złóż Ropy i Gazu „Petrobaltic” Spółka Akcyjna seated in Gdańsk, LOTOS Czechowice Spółka Akcyjna seated in Czechowice-Dziedzice, LOTOS Jasło Spółka Akcyjna seated in Jasło to Grupa LOTOS S.A. in order to increase the share capital in Grupa LOTOS S.A. On 30 June 2009, the General Meeting of Shareholders of Grupa LOTOS S.A. adopted a resolution on the increase of the company’s share capital through the issuance of ordinary bearer shares series C through private placement, excluding rights issue, to be purchased by the Treasury. The General Meeting authorised the Management Board to approach the Treasury with an offer to take up series C shares for a non-cash contribution in the form of Treasury shares of „Petrobaltic” S.A., LOTOS Czechowice S.A. and LOTOS Jasło S.A. and to conclude, following the acceptance of the offer by the Treasury, a share purchase agreement in accordance with the terms and conditions specified in the said resolution. The Minister of Treasury accepted the offer extended by Grupa LOTOS S.A. for taking up a stake of newly-issued 16,173,362 series C ordinary bearer shares and signed a share purchase agreement on 9 July 2009.
