Extract from the By-Laws of Organization with respect to membership status:
Section 3.02
To be admitted to the Organization, a candidate shall file a written application for admission. The application should
include all information necessary to evaluate the applicant and should indicate the applicant’s name, legal form,
permanent address and/or registered office, the number and place of registration and documents confirming the
fulfilment of the conditions set out in sub-paragraphs a) and b) or c).
The Organization’s Management Board shall accept a new Member in the form of an “accepting resolution” provided
that to be accepted a candidate for a new Member must satisfy the necessary condition:
a) be an employer in the meaning of the Polish Labour Code dated 26 June 1974;
and one of the additional conditions:
b) be granted the right to concessions for exploration, appraisal, production of hydrocarbons in Poland, or be a
dominant entity within the meaning of the Accounting Act of 29 September 1994 (Journal of Laws of 2013 item 330
as amended) in relation to the entrepreneur being the concession holder referred to above (“Dominant Entity”);
c) be a business entity providing operational or related engineering services to the oil and natural gas exploration
and production industry in Poland.
Candidates, who jointly meet the conditions a) and b) may acquire the rights of a Member with full voting right, and
the candidates, who jointly meet the conditions a) and c) may acqu ire the rights of a Member with limited voting
right, however, if the Dominant Entity is or becomes a Member, then the concession holder, being its subordinate
entity, shall lose the right to be a Member.
Candidates meeting the requirement of paragraph. 3.02 b) or c), but does not meeting the requirement of paragraph
3.02 a), not being a Member, may be given Observer status. Observers do not have voting rights and their
representatives may not be the members of the Organization’s authorities. By -Laws provisions relating to the
Members, taking into account the preceding sentence, shall apply to Observers. Observer status is acquired with
proper application of the procedure described in paragraph 3.02 and lies within the exclusive competence of the
Board of the Organization.

Artykuł 3.02.
Przyjęcie do Organizacji wymaga złożenia przez kandydata pisemnego wniosku. Wniosek ten powinien zawierać
wszelkie informacje niezbędne do właściwej oceny wnioskodawcy, w tym n azwę (firmę) wnioskodawcy, formę
prawną, stały adres lub adres siedziby, numer rejestracyjny i miejsce rejestracji oraz dokumenty potwierdzające
spełnienie warunków określonych w punktach a) oraz b) lub c). Zarząd Organizacji przyjmuje nowego Członka w
drodze „uchwały przyjmującej”, z tym, że aby zostać przyjętym, kandydat na Członka musi spełniać warunek
konieczny:
a) być pracodawcą w rozumieniu przepisów polskiego Kodeksu Pracy z 26 czerwca 1974 r.;
oraz jeden z warunków dodatkowych:
b) posiadać prawa do koncesji na poszukiwanie, rozpoznawanie, wydobywanie węglowodorów w Polsce, lub być
podmiotem dominującym w rozumieniu ustawy z dnia 29 września 1994 roku o rachunkowości (Dz. U. z 2013 r. poz.
330 z późn. zm.) w stosunku do przedsiębiorcy będącego posiadaczem koncesji, o której mowa powyżej („Podmiot
Dominujący”);
c) być przedsiębiorcą dostarczającym usługi operacyjne lub techniczne dla branży poszukiwawczo - wydobywczej
ropy i gazu ziemnego w Polsce.
Kandydaci spełniający łącznie warunki a) i b) mogą nabyć prawa Członka z pełnym prawem głosu, a kandydaci
spełniający łącznie warunki a) i c) mogą nabyć prawa Członka z ograniczonym prawem głosu, z tym że jeżeli Podmio t
Dominujący jest bądź stanie się Członkiem, to posiadacz koncesji będący jego podmiotem podporządkowanym traci
uprawnienie do bycia Członkiem.
Kandydaci spełniający wymóg z pkt. 3.02 b) lub c), lecz nie spełniający wymogu z pkt. 3.02 a) nie będąc członki em
mogą mieć nadany status obserwatora (dalej: „obserwatorzy”). Obserwatorzy nie posiadają prawa głosu oraz ich
przedstawiciele nie mogą być członkami organów Organizacji. Postanowienia Statutu dotyczące członków, z
uwzględnieniem zdania poprzedzającego, stosuje się do obserwatorów. Nadanie statusu obserwatora odbywa się z
odpowiednim zastosowaniem procedury opisanej w pkt 3.02 i leży w wyłącznej kompetencji Zarządu Organizacji.
