Alert prawny Legal Alert Długotrwałe umowy terminowe – alert prawa pracy Long fixed-term contracts – labour law alert W związku z wejściem w życie w dniu 22 lutego 2016 r. zmian do kodeksu pracy, zgodnie z którymi maksymalny okres, na który mogą być zawarte umowy na czas określony z jednym pracownikiem wynosi 33 miesiące, a umowy dłuższe mogą być zawarte jedynie w sytuacjach i na warunkach określonych w ustawie zmieniającej kodeks pracy, istnieje konieczność, aby strony umów o pracę zawartych na czas określony przed dniem wejścia w życie wspomnianych zmian do kodeksu pracy, które będą trwać dłużej niż 33 miesiące (czyli ich data rozwiązania przypadnie po 21 listopada 2018 r.) uzupełniły te umowy o informacje, które będą uzasadniały dłuższe niż dozwolone przez nowe przepisy zatrudnienie. Uzupełnienie powinno nastąpić do dnia 22 maja 2016 r. Zdaniem Ministerstwa Rodziny, Pracy i Polityki Społecznej takie uzupełnienie może nastąpić tylko w drodze porozumienia stron. Z uzupełnieniem umowy o wspomniane informacje wiązać się może obowiązek zawiadomienia właściwego okręgowego inspektora pracy o przyczynach zawarcia tej umowy. On 22 February 2016 amendments to the Labour Code came into force, which stipulate that the maximum period for which a contract for a definite period may be concluded with one employee is 33 months and longer contracts may only be concluded in situations and under the conditions stipulated in the Act amending the Labour Code. As a result, employment contracts for a definite period which had been concluded before the above-mentioned amendments came into force and which are to be valid for more than 33 months (so they will expire after 21 November 2018), have to be supplemented by the parties to such contracts with information justifying the period of employment longer than the one permitted under the new provisions. The supplement has to be made until 22 May 2016. In the opinion of the Ministry of Family, Labour and Social Policy, such supplement may only be made by way of a mutual settlement of parties. Supplementing a contract with the above-mentioned information may be connected with the obligation to notify the relevant regional labour inspector on the reasons of conclusion of the contract. Według ustawy przedsiębiorcy, którzy po 31 grudnia 2016 r. będą dokonywali płatności powyżej 15 tys. zł gotówką a nie przelewem bankowym, nie będą mogli zaliczyć ich do kosztów uzyskania przychodu. Zmiany miałyby wejść w życie 1 stycznia 2017 roku (w chwili publikacji tego alertu prawnego proces legislacyjny dotyczący tej ustawy jeszcze się nie zakończył, wobec tego ostateczny kształt nowej regulacji może jeszcze ulec zmianie). On 13 April the Sejm adopted an act on the amendment to the Act on Personal Income Tax, the Act on Corporate Income Tax, and the Act on Freedom of Business Activity. In accordance with the act, entrepreneurs who after 31 December 2016 make payments of more than PLN 15,000 in cash, not by bank transfer, will not be able to recognise them as tax deductibles. The amendments are to come into force on 1 January 2017 (at the moment of publication of this legal alert, the legislation process concerning this act was still pending, so the final form of the regulation may still change). NSA wydał orzeczenie (sygn. akt II FSK 4000/13) w związku z obowiązkiem dokumentacyjnym, co do aportów akcji/udziałów do innego podmiotu. Sąd uznał, że pomimo że transakcje są neutralne podatkowo to na Spółce ciąży obowiązek sporządzenia dokumentacji cen transferowych. On 8 March 2016 the Supreme Administrative Court passed a judgment (file no. II FSK 4000/13) in the matter regarding the documentation obligation with respect to in-kind contributions in the form of stocks/shares to another company. The Court has found that, despite the fact that such transactions are fiscally neutral, the Company is still obliged to prepare transfer pricing documentation. The Court has found that the expression “transaction” referred to in Article 9a of the Act on Corporate Income Tax should be understood in accordance with the principles of the Polish language, which, in the view of the Court, allows for application of the regulations on transfer pricing to transfer agreements relating to goods, money and other values. According to the Court it is irrelevant whether a given business transaction is subject to taxation or not. Having analysed this matter, the Court has found no grounds on the basis of which affiliated companies carrying out in-kind transactions should be released from the obligation to prepare tax documentation. NSA uznał, że termin „transakcja”, o którym mowa w art. 9a ustawy o podatku dochodowym od osób prawnych powinien być odczytywany zgodnie z regułami języka polskiego, co zdaniem NSA umożliwia stosowanie regulacji dotyczących cen transferowych do umów transferu dóbr, pieniędzy i innych wartości. Zdaniem NSA nie ma znaczenia, czy z tą operacją gospodarczą wiązał się będzie obowiązek podatkowy, czy też nie.
