Akcjonariusze ZT „Kruszwica” S.A. 2 ZT ”Kruszwica” S.A. - Oil leader ZT ”Kruszwica” S.A. is the leading Polish producer and supplier of edible oils, margarines and other vegetable fats. Despite fierce and increasing competition the company has maintained leadership within this area for years. In 1999, 140,000 tons of goods have been sold, i.e. 15% more than in the previous year, satisfying over 23% of the domestic demand. The Company's share in the market has further increased by 3%. ZT ”Kruszwica” S.A. is a public company. Since 1997 its shares have been listed on the primary market of the Warsaw Stock Exchange. Shareholders Major shareholder of ZT ”Kruszwica” S.A. is CEREOL seated in Utrecht, holding shares directly and indirectly through a subsidiary Polska Oil Investment B.V. CEREOL is a part of the international food corporation ERIDANIA BEGHIN-SAY. In the first half of 1999 CEREOL has increased its share in ZT ”Kruszwica” S.A. by buying up 11.04% of shares on the Stock Exchange. Owing to this its participation in the Company's share capital has raised to 75.03%. Ryszard Staszak Prezes Zarz¹du 6 On the oil road Dear Sirs and Madams, Dear Shareholders and Stakeholders of our Company A hard, laborious year has passed. Zak³ady T³uszczowe ”Kruszwica” S.A. has strengthened its leadership position on the vegetable fats market. Our share - increased by 3 to 5% in various product groups - is bigger than in the previous year. We have accomplished this growth in a time of international and domestic overproduction of raw materials and final products within our branch leading to a dramatic fall of prices and trade profitability. We proved the Company's ability to act in challenging conditions and to adapt to the rapidly changing requirements of the market. To a large extent we owe this to our strategic partner that has contributed to ZT ”Kruszwica” S.A. its long international experience. Numerous changes have been implemented in our Company earlier, resulting in the improvement of management and production effectiveness as well as substantial strengthening of our products within the market. In this Annual Report we wish to provide information and data confirming the scale and magnitude of last year accomplishments and their enduring fundamental character. The profitability of production and sales of our products is growing rapidly due to the limitation of costs of production and current operations. Results achieved last year do not reflect yet this trend – since we closed the year with a heavy net loss. This lack of profitability is of an exceptional nature, as it was caused by extremely low market prices coupled with high costs of raw materials purchase in 1998. The increase of sales volume by over 14% as achieved by us in 1999 is a good starting point for quick improvement of results in 2000 and subsequent years. By³ on wynikiem z jednej strony nadprodukcji t³uszczów roœlinnych na rynkach œwiatowych, a z drugiej – skomplikowanej sytuacji producentów krajowych. Na takim tle kilkunastoprocentowe zwiêkszenie wolumenu sprzeda¿y wyrobów ZT „Kruszwica” S.A., jakie nast¹pi³o w 1999 roku, odczytywane byæ mo¿e jako wskaŸnik oceny skutecznoœci dzia³ania Spó³ki i prowadzonych przez ni¹ dzia³añ marketingowych. Nadprodukcja na rynkach œwiatowych powsta³a w 1998 roku w wyniku znacznego zwiêkszenia upraw roœlin oleistych w USA i w Ameryce Po³udniowej, co doprowadzi³o do za³amania cen œwiatowych zarówno nasion, jak i wytwarzanych z nich t³uszczów roœlinnych. Ceny olejów roœlinnych na rynkach œwiatowych spad³y w latach 1998-1999 roku œrednio o oko³o 30%. Na rynku krajowym produkcja w 1999 roku by³a w wiêkszoœci oparta o drogi surowiec zakupiony od polskich rolników jeszcze w 1998 roku. Czynniki zewnêtrzne i wewnêtrzne spowodowa³y znaczne obni¿enie cen olejów roœlinnych oraz margaryn, przy jednoczesnej stagnacji poziomu spo¿ycia tych produktów. On one hand it was the effect of overproduction of vegetable fats on the international markets, on the other hand - a complex situation of domestic producers. In such circumstances the several percent increase of sales volume of ZT ”Kruszwica” S.A. products that has taken place in 1999 may be perhaps construed as a true indicator of the Company's effectiveness and marketing activities. Overproduction on international markets has become apparent in 1998 due to considerable increase of oilseeds cultivation in the US and South America, thus leading to the fall of international prices of seeds and vegetable fats produced thereof. Prices of vegetable oils have declined in 1998 - 1999 on international markets by an average 30%. On the domestic market the production in 1999 has been mainly based on expensive raw materials purchased from Polish farmers in 1998. External and internal factors contributed to substantial drop of prices of vegetable oils and margarine, while the products' consumption has maintained the same level. Both these factors led in 1999 to the decline of the fats industry companies' standing and fall of profitability ratios much below the average for the whole food industry. The already difficult condition of the domestic vegetable fats production has been made more complicated in 1999 by the increase of import of low-priced and low-quality oil by local distributors. The Company's overall share in the market amounted to 23% and has increased - as compared with 1998 - by 3%. The increase of the Company's market share is mainly the result of increase of sales volume and maintenance of its high-level value. The Company has noted the biggest increase of market share in the sales of refined oil. Sales have increased by about 17% permitting to achieve a 38.3% share in the Polish market. Also due to the sales increase of margarines by almost 15% the Company achieved a 12.7% share within the market in 1999. On the list of major Polish margarine producers the Company has moved from 6th to 4th as of last year. Dynamic growth of sales volume is the result of the Company's competitive approach and of product quality, due to state-of-the-art production management and implementation of a successful marketing strategy. The experience of the Company's strategic investor - CEREOL had been vital in this respect. The value of exports in 1999 has amounted to about 80 m zloty, almost double the value of 1998 due to the fact that Russia's financial crisis has come to an end, restoring the liquidity of customers and improving disposable income of consumers. 1999 Increase of export share Eksport / Export 14,8% 11 Smaczniej i barwniej W 1999 roku Spó³ka, w obliczu narastaj¹cego kryzysu na rynku t³uszczów roœlinnych, dokona³a radykalnej zmiany strategii marketingowej. Umo¿liwi³o to nie tylko utrzymanie lecz wrêcz wzmocnienie pozycji ZT „Kruszwica” S.A. wœród krajowych producentów i dostawców. Wprowadzono tañsze marki produktów, co pozwoli³o na zwiêkszenie wolumenu sprzeda¿y. Wiêkszoœæ podjêtych dzia³añ marketingowych zosta³a oparta o wyniki przeprowadzanych badañ konsumenckich i rynkowych realizowanych przez wyspecjalizowanych wykonawców – GfK Polonia i ACNielsen. Nowe produkty G³ównym za³o¿eniem nowej strategii sta³o siê przeciwstawienie siê konkurencji ze strony regionalnych importerów olejów i margaryn niskiej jakoœci oferowanych bardzo tanio, praktycznie na granicy op³acalnoœci. Uczyniono to wprowadzaj¹c na rynek produkty o obni¿onych – pomimo stosunkowo wysokiej jakoœci – cenach, przeznaczone dla bardziej oszczêdnych nabywców. Produkty te lansowano pod nowymi markami, pozbawionymi prostej identyfikacji z tradycyjnymi wyrobami firmowymi. Nale¿y do nich miêdzy innymi olej „Olek” czy margaryna „Na Dzieñ Dobry”. Pojawienie siê tych wyrobów na rynku skutecznie zahamowa³o aktywnoœæ drobnych dystrybutorów. W sumie, w ramach wdra¿ania nowej strategii sprzeda¿y, na rynek wprowadzono 6 nowych produktów. Nowe smaki Zmieniono lub ulepszono recepturê i smak niektórych wyrobów, tak aby pe³niej odpowiada³y gustom i upodobaniom klientów. Nowe nazwy i opakowania Wdro¿ono kompleksowy program identyfikacji tradycyjnych, podstawowych produktów Spó³ki, zmieniaj¹c i ujednolicaj¹c ich nazwy i szaty graficzne. Sprzyja to umocnieniu pozycji firmy w oczach konsumentów i zwiêkszaniu skutecznoœci akcji marketingowych. 12 Tastier and more colourful In 1999 the Company in the face of the forthcoming crisis on the vegetable fats market - has changed the marketing strategy in a radical and far-reaching manner. Due to this the position of ZT ”Kruszwica” S.A. among domestic producers and suppliers has not only been maintained, but even strengthened. Lower-priced brands have been introduced, thus allowing for the increase of sales volume. Most of marketing activities as undertaken have been based on results of consumer and market research carried out by professional contractors - GfK Polonia and ACNielsen. New products The principal assumption of the new strategy was to confront the competition of regional importers of low-quality oils and margarine offered very cheap, sometimes at break-even levels. This has been achieved by marketing lower-priced products of consistently high quality addressed to the more price-sensitive segments of the market. These products have been promoted under new brands lacking simple identification with traditional brand products. These are for example the ”Olek” oil or the ”Na Dzieñ Dobry” margarine. The introduction of these articles into our market has slowed the activity of minor distributors. Within the scope of an innovative sales strategy six new products have been introduced. New Tastes The manufacture and taste of some of the goods has been changed or improved so as to correspond to the preferences and tastes of the consumers. New names and packages A complex program for the Company's traditional, basic products identification has been implemented due to which products' names and layout have been redefined and uniformed. This supports the strengthening of the Company's position in the opinion of consumers and enhancement of marketing efficiency. 13 Smaczniej i barwniej Skuteczna reklama Jednym z istotnych elementów realizowanej strategii marketingowej by³a szeroka i intensywna akcja promocyjno-reklamowa w wielu rodzajach mediów: w telewizji, radio, prasie kobiecej i handlowej oraz na wielkoformatowych plakatach ulicznych. G³ówne dzia³ania by³y nastawione na wspieranie sprzeda¿y najbardziej popularnych i najmocniejszych produktów ZT „Kruszwica” S.A., jakimi s¹ „Olej Kujawski” oraz margaryna „Tina”. Pozosta³a czêœæ ukierunkowana by³a na wsparcie nowych produktów i na ukazanie zmian, które zasz³y w produktach istniej¹cych. Widoczne rezultaty Wiêkszoœæ dzia³añ wynikaj¹cych z nowej strategii marketingowej zosta³o wprowadzonych w II po³owie 1999 roku. Znalaz³y one swoje pierwsze odzwierciedlenie we wzroœcie sprzeda¿y przedsiêbiorstwa w czwartym kwartale 1999 roku. Natomiast ich pe³ny efekt uwidoczni siê w wynikach 2000 roku i lat nastêpnych. Ju¿ dziœ jednak na wyraŸne podkreœlenie zas³uguje wysoki udzia³ w sprzeda¿y nowych produktów – i tak np. sprzeda¿ oleju „Olek” wynios³a ponad 25 procent ca³ego wolumenu kruszwickich olejów butelkowanych dostarczonych na rynek krajowy, natomiast sprzeda¿ margaryny „Na Dzieñ Dobry” w segmencie kruszwickich margaryn kubkowych w sprzeda¿y na kraj wynios³a 19%. Main activities have focused on the support of sales of the most popular and strongest ZT ”Kruszwica” S.A. brands, like - ”Olej Kujawski” and margarine ”Tina”. The others concentrated on support of new products and communication of changes that have been introduced in the existing products. The strategy is working Most activities based on this new marketing strategy have been implemented in the 2nd half of 1999. Their impact has been reflected for the first time in the increase of the Company's sales in the 4th quarter of 1999. However, their full effect shall be indicated in the results achieved in 2000 and thereafter. But even today the considerable share of new products within the sales volume deserves praise - and so the sales of ”Olek” oil reached over 25% of ZT ”Kruszwica” S.A. whole bottled oil volume delivered to households and the sales of ”Na Dzieñ Dobry” margarine in the cup margarine segment for domestic sales reached 19% of ZT ”Kruszwica” S.A. sales. Both products are sold under various brands in the retail market and for the needs of food industry. Market oils Edible rape oils addressed to the retial market are offered under two brands: ”Olej Kujawski” and ”Olek” which has been introduced in 1999. ”Olej Kujawski” is a brand product of top quality, while ”Olek” having also excellent cuisine quality, is marketed at more competitive price. The bottled oil offer is supplemented by oils imported from companies of the CEREOL Group. Sunflower oils are available under the brand ”Olej Kruszwicki S³onecznikowy”, manufactured in ZT ”Kruszwica” S.A. and ”Floriol”, which is a top-quality product addressed to the most demanding clients. Soya oil is offered under the brand ”Olej Kruszwicki Sojowy” which is also refined and bottled on the Company's premises. The Company has introduced olive oils produced by the EBS companies: ”Carapelli” from Italy and ”Carbonell” from Spain. Edible oil under the brand ”Oleina” is produced and sent to the Community of Independent States through a company of the CEREOL Group. In 1999 the Company has sold over 62 000 tons of edible bottled oils, i.e. 20% more than in the former year. Leading position among cup margarines has been achieved by ”Tina” which had the biggest share in cup margarine sales in 1999. It is offered as ”Tina Rodzinna” and ”Tina Lekka” and addressed mainly to upper market segments. Other cup margarine brands are: ”Kruszwickie Mas³o Roœlinne” and ”Na Dzieñ Dobry”. In addition to professional margarine sold in blocks under the brand ”Zwyk³a” a new product line has been introduced into the market called ”Maestra” used for the production of cream, French pastry, puff pastry and croissants. It is produced in 4 assortments: ”Maestra Piekarska”, ”Maestra Kremowa”, ”Maestra Puff Pastry”, ”Maestra Croissant”. The offer of bakery fats has also been broadened with two new products: ”Tytan” - special fat used for deep-frying and ”BB” special fat used for pastry icing production. The sales of ”A”, ”B”, ”N” have continued, and by introducing new products the volume of shortenings in blocks has increased by 13%. Ogó³em na inwestycje przeznaczono 25 milionów z³otych. Owocuj¹ one obni¿k¹ kosztów wytwarzania i zwiêkszeniem skali produkcji. W 2000 roku Spó³ka zamierza kontynuowaæ prowadzon¹ politykê inwestycyjn¹. W ZT „Kruszwica” S.A. w 1999 roku na inwestycje wydatkowano 25 mln z³. G³ównym celem strategii w tym zakresie by³o unowoczeœnianie procesów produkcyjnych, obni¿anie jednostkowych kosztów wytwarzania, poprawa jakoœci i mo¿liwoœæ wprowadzenia nowych atrakcyjnych form pakowania produktów. Najwiêksze nak³ady inwestycyjne zosta³y przeznaczone na uruchomienie nowej linii produkcji margaryn oraz przeniesienie linii produkcyjnych margarynowni na teren nowego zak³adu. Inwestycje te pozwoli³y na wdro¿enie produkcji margaryny w nowych atrakcyjnych opakowaniach 500 g, odpowiadaj¹cych zapotrzebowaniu konsumentów. Ponadto uruchomiono nowoczesn¹ liniê rozlewu oleju w opakowaniach 3 i 5 litrowych oraz zakupiono formê do produkcji butelek dla nowej marki oleju, przewidzianej w strategii rynkowej. Pozosta³e inwestycje wi¹za³y siê z odtworzeniem posiadanego parku maszynowego, ochron¹ œrodowiska oraz z zakupem komputerów wraz z oprogramowaniem do nowo uruchamianego informatycznego systemu rozliczeñ. G³ównym Ÿród³em œrodków na inwestycje by³y linie kredytowe pozyskane w polskich i miêdzynarodowych instytucjach finansowych. W 2000 roku Spó³ka zamierza kontynuowaæ prowadzon¹ politykê inwestycyjn¹. Przeprowadzone inwestycje w 2000 roku powinny zakoñczyæ proces przenoszenia ca³oœci produkcji do nowego zak³adu oraz jego wieloetapow¹ modernizacjê. 22 More and quicker In 1999 the intensive modernisation and development process in ZT ”Kruszwica” S.A. has continued, thanks also to the activation of new production lines. In total the investment expenditures amounted to 25 million zloty. It allows the Company to reduce the production costs and to increase its production capacity. In 2000 the Company will continue to implement its investment policy. In 1999 the investment expenditures of ZT ”Kruszwica” S.A amounted to 25 million zloty. The main target in this respect was to modernise the production process, reduce unit production costs and improve the quality as well as the capability of implementing new and attractive product packages. The biggest investments have been used for the purpose of initiating a new margarine production line and the move of margarine production lines to new premises. Investments allowed for the production of margarine in new attractive 500 g packages corresponding to the consumers' needs. Furthermore, a new advanced line for packaging oil into 3 & 5 l bottles has been launched. Also as scheduled under the market strategy moulds for the production of bottles for the new oil brand have been purchased. Other investments were connected with the reconstruction of existing machinery and the protection of the environment, purchase of hardware and software for the newly initiated computerbased settlement system. The Company's credit lines with Polish and international banks have been the main source of financing for these investments. In 2000 the Company will continue to implement its investment policy. The overall sum scheduled for this purpose shall not be far from that of 1999. In 1999 the operating cash flow amount to more than 100 m zloty, thus reflecting the Company's sound financial standing. In 1999 - while experiencing increased sales of margarine and oils - ZT ”Kruszwica” S.A. has maintained the sales value on the level of the previous year. This was the result of many new lowpriced products and the reduction of their unit cost. High cash flow of the Company resulted from the reduction of the raw material stock - in particular rape - as gathered in 1998 and purchased at a very high price at the time. The value of raw materials has been taken into account in the current calculations of production costs. Low selling price of the finished products contributed to the decrease of gross margin and therefore a negative operating result for the whole year. In the list of expenses the dominant position is held by costs of raw materials. In 1999 these have amounted to 76% of the overall costs. The raw material purchased in 1999 is app. 30% cheaper. This will allow ZT ”Kruszwica” S.A. to achieve production profitability in year 2000. Opinia ta zawiera³a zastrze¿enie z tytu³u ograniczenia zakresu badania ze wzglêdu na to, ¿e Zarz¹d nie przedstawi³ nam szacunków kwot rezerw na d³ugoterminowe œwiadczenia pracownicze, w szczególnoœci z tytu³u nagród jubileuszowych i odpraw emerytalnych. Sprawozdanie finansowe to do dnia wydania niniejszej opinii nie zosta³o zatwierdzone przez Walne Zgromadzenie Akcjonariuszy Spó³ki. Zarz¹d Spó³ki powiadomi³ nas na podstawie art. 54 ust. 1 ustawy o rachunkowoœci z dnia 29 wrzeœnia 1994 roku o uzyskaniu dodatkowych informacji dotycz¹cych wy¿ej wymienionych kwot, w zwi¹zku z czym nasze ograniczenie zakresu badania zosta³o usuniête, co pozwoli³o nam na wydanie niniejszej opinii, nie zawieraj¹cej zastrze¿enia z tego tytu³u. Przeprowadziliœmy badanie sprawozdania finansowego Spó³ki Zak³ady T³uszczowe „Kruszwica” S.A. z siedzib¹ w Kruszwicy, ulica Niepodleg³oœci 42, obejmuj¹cego: - bilans sporz¹dzony na dzieñ 31 grudnia 1999 roku, który po stronie aktywów i pasywów wykazuje sumê 435.471.975,89 z³ [435.472 tys. z³], - rachunek zysków i strat za okres od 1 stycznia 1999 roku do 31 grudnia 1999 roku wykazuj¹cy stratê netto w kwocie 53.137.691,37 z³ [53.138 tys. z³], - sprawozdanie z przep³ywu œrodków pieniê¿nych za okres od 1 stycznia 1999 roku do 31 grudnia 1999 roku wykazuj¹ce zwiêkszenie stanu œrodków pieniê¿nych netto w ci¹gu roku obrotowego w kwocie 189.499,67 z³ [190 tys. z³], - informacjê dodatkow¹ obejmuj¹c¹ w szczególnoœci: - wstêp, - zestawienie zmian w kapitale w³asnym, wykazuj¹ce stan kapita³u w³asnego na dzieñ 31 grudnia 1999 roku w wysokoœci 72.368.675,92 z³ [72.368 tys. z³], - noty objaœniaj¹ce do bilansu, rachunku zysków i strat oraz rachunku przep³ywów œrodków pieniê¿nych oraz czêœæ opisow¹. Naszym obowi¹zkiem jest wyra¿enie opinii na temat sprawozdania w oparciu o wyniki przeprowadzonego badania. Badanie przeprowadziliœmy stosownie do: - rozdzia³u VII ustawy z dnia 29 wrzeœnia 1994 roku o rachunkowoœci (Dz.. U. Nr 121, poz. 591), - norm wykonywania zawodu bieg³ego rewidenta, wydanych przez Krajow¹ Radê Bieg³ych Rewidentów. Przepisy te i normy wymagaj¹, abyœmy zaplanowali i przeprowadzili nasze badanie w taki sposób, by uzyskaæ racjonaln¹, wystarczaj¹c¹ podstawê do wyra¿enia opinii, czy sprawozdanie finansowe nie zawiera istotnych b³êdów. Badanie obejmowa³o w szczególnoœci sprawdzenie – w du¿ej mierze metod¹ wyrywkow¹ - dowodów i zapisów ksiêgowych, z których wynikaj¹ kwoty i informacje zawarte w sprawozdaniu finansowym, a tak¿e ocenê zastosowanych zasad rachunkowoœci, dokonanych przez Zarz¹d Spó³ki oszacowañ oraz ogóln¹ ocenê prezentacji sprawozdania finansowego. Jesteœmy przekonani, ¿e przeprowadzone przez nas badanie zapewni³o nam wystarczaj¹c¹ podstawê do wyra¿enia naszej opinii. Rozliczenia miêdzyokresowe czynne wykazane przez Spó³kê z tytu³u odroczonego podatku dochodowego zosta³o uznane w wyniku uwzglêdnienia przy wyliczeniu podatku odroczonego kwoty 18.451 tys. PLN z tytu³u poniesionych strat podatkowych, które mog¹ byæ potencjalnie wykorzystane w latach nastêpnych, je¿eli Spó³ka osi¹gnie wystarczaj¹ce dochody do opodatkowania. Zdaniem Zarz¹du Spó³ki istnieje pewnoœæ rozliczenia tej pozycji w ci¹gu najbli¿szych piêciu lat. Naszym zdaniem, istnieje niepewnoœæ, co do mo¿liwoœci odliczenia strat podatkowych w najbli¿szym okresie i w zwi¹zku z tym - realizacji zaktywowanego podatku odroczonego. Strata Spó³ki bez uwzglêdnienia odroczonego podatku dochodowego wynios³aby 71.589 tys. PLN. At 20.03.2000 we have issued an opinion about the financial statements for 1999, signed at the same date. This opinion contained a qualification due to audit scope limitation, because the Management Board has not presented to us estimates of provisions for employee benefits such as jubilee bonuses and retirement benefits. These financial statements were not to date accepted by the General Shareholders' Meeting. The Management Board has informed us, based on Art. 54.1 of the Accounting Act dated 29 September 1994 about additional information which was obtained on the aforementioned items which removed the scope limitation of our audit. This allowed us to issue an opinion which does not contain a qualification in respect of the above matters. We have audited the financial statements of Zak³ady T³uszczowe ”Kruszwica” S.A., located in Kruszwica, ul. Niepodleg³oœci 42, including: - balance sheet prepared as of 31 December 1999, with total assets and liabilities of PLN 435,471,975.89 [PLN 435,472 thousand]; - profit and loss account for the period from 1 January 1999 to 31 December 1999, disclosing a net loss of PLN 53,137,691.37 [PLN 53,138 thousand]; - cash flow statement for the period from 1 January 1999 to 31 December 1999, showing a net cash flow of PLN 189,499,67 [PLN 190 thousand]; - additional information, consisting in particular of: - the introduction; - specification of changes in the equity disclosing the equity of PLN 72,368,675.92 [PLN 72,368 thousand] as of 31 December 1999; - explanatory notes to the balance sheet, profit and loss account, cash flow statement, and a descriptive part. The preparation of these financial statements is the responsibility of the Management Board of the Company. Our responsibility is to express an opinion on these financial statements based on the results of our audit. Our audit was performed in accordance with: - section VII of the Accounting Act of 29 September 1994 (Dz. U. No. 121, item 591); - auditing standards issued by the National Board of Certified Auditors. Those norms and regulations require that we plan and perform the audit to obtain reasonable assurance whether the financial statements are free of material misstatement. Our audit includes examining, largely on a test basis, evidence supporting the amounts and disclosures in the financial statements, assessing the accounting principles applied and significant estimates made by the Management Board, as well as evaluating the overall financial statements' presentation. We believe that our audit provides a reasonable basis for our opinion. Prepayments disclosed by the Company include a deferred tax asset amounting to PLN 18,451 thousand consisting of taxable losses, which can potentially be utilised in future years if the taxable income of the Company is sufficient. The Management Board assures that this deferred tax asset will be settled within the next five financial years. In our opinion, the settlement of taxable losses in the immediate future is uncertain, which causes doubts as to realising the deferred tax asset. The loss disclosed by the Company without taking into account the deferred tax asset would equal PLN 71,589 thousand. Except for the aforementioned qualifications, in our opinion, in all material respects the financial statements of Zak³ady T³uszczowe ”Kruszwica” S.A. for the 1999 financial year were prepared: - based on correct accounting records; - in form and content complying with the requirements set forth by the Accounting Act of 29 September 1994, the ordinance of the Council of Ministers of 22 December 1998 on the type, form and scope of current and regular information as well as deadlines for their submission by issuers of securities admitted for public trading, and the ordinance of the Council of Ministers of 22 December 1998 on detailed conditions to be fulfilled by the prospectus, summary prospectus, memorandum, and summary memorandum; - in accordance with the accounting principles determined by the Accounting Act of 29 September 1994, applied consistently and present fairly and clearly all the information essential for the evaluation of the results of the Company's operations, its profitability and cash flows within the audited period and the economic and financial position of the Company as of 31 December 1999. The Management Report on the activities of the Company in the 1999 financial year contains financial information consistent with the information disclosed in the audited financial statements.
