Exchange as a company included the introduction of a
budgeting and reporting system. This probably makes
managing the company’s finances much easier...

GPW za realizacj´ bud˝etu.
➣ Actually, this constituted a revolution in the operations
of the WSE as a company. The preparations for and actual implementation of the budgeting and reporting system
lasted more than a year. Naturally, the Finance and
Accounting Department participated most intensively in
the building of this system. Thanks to the budgeting and
reporting system, the WSE’s organisational units have
become budget units. Now, the heads of these units must
not only handle their own specialised areas, but also plan
and control their budgets. This means an increase in the
independence and responsibility of the WSE organisational
unit heads with regard to staying within the budget.

➣ Indeed, developing a legal framework for any activity,
and especially one as complex as that of an exchange, is not
easy. Life goes on, the market grows and continually
requires new legal regulations. The scope of the work carried out by the Exchange’s lawyers includes the formulation
of the legal basis for Exchange trading, the day-to-day legal
servicing of the market—the evaluation of motions and
applications, the preparation of resolutions, as well as participation—most often by presenting their own projects or
providing evaluations of existing ones—in legislative work
on the capital market conducted by external institutions.

➣ The Legal Department is coordinating the implementation of two initiatives. The first concerns the development
of legal regulations supporting the development of the
Polish capital market, and its purpose is to carry out analyses of the current law dealing with the capital market and
identify any threats to the market’s future development
which might result from that law. On the basis of these
analyses, legal solutions supportive of market growth will
be initiated. The second initiative is a campaign to promote corporate governance among public companies and
other market participants, with the aim of establishing rules
of good practice. In addition, Department staff are helping

➣ From a legal perspective, 2001 was an important year
for companies, because the constitution governing their
operations has changed; the Commercial Code was
replaced with the Code of Commercial Companies. How
does the WSE assess these changes—how have companies adapted to them?

➣ This was a very important event. Admittedly, a number
of provisions were not changed, while some changes were
of an editorial character. However, many situations have
been regulated in a new way, while other areas not provided for in the Commercial Code now have established
norms. The Exchange has been learning, companies have
been learning. This has not, however, impeded their operations.

➣ Actually, 2001 did not see any major changes in the legislation governing public trading in securities in our field,
which is good because amendments made too frequently
are not a good sign as far as the quality of enacted law is
concerned. The most recent amendment to the Law on
Public Trading in Securities was passed in December 2000
(and took effect in mid-January 2001), which does not
mean that the Exchange’s lawyers later had nothing to do.
On the contrary—they have prepared and evaluated tax
regulations, corporate governance rules, and executive acts,
not to mention their day-to-day duties. And this is only part
of their work.

changes to decrees regarding the share issue prospectus
and the disclosure obligations of companies took effect...
