Michał Michalewski operates a business consulting and financial advisory firm under the
name - “Zarządzanie i Doradztwo Finansowe Michał Michalewski.”
Michał Michalewski graduated from the Faculty of Economics of the University of Economics
in Katowice, where he majored in finance and banking. He also earned an MBA degree at Nottingham
Trent University in Nottingham (United Kingdom). Michał Michalewski has also completed the
following post-graduate courses: (i) Postgraduate Diploma In Management Studies (DMS) at
Nottingham Trent University; (ii) Faculty of Business and Management and Postgraduate Diploma in
International Marketing Management (DIMM) at the Brno University of Technology; and (iii) an
International Post-graduate Course in Management at the Faculty of Economics and Management at
the Nicolaus Copernicus University in Toruo. He has also passed the exam for members of the
supervisory boards of state companies. Michał Michalewski is also a certified receiver in bankruptcy
(he has been placed on the appropriate list maintained by the Regional Court in Katowice).
During his professional career Michał Michalewski was employed: (i) from 1996 to 1999, as
an investment and business appraisal consultant at Correct Consulting Sp. z o.o., with its registered
office in Katowice; (ii) from 1996 to 2003, as a lecturer at the Finance and Accounting Department of
the Katowice School of Economics; (iii) from 1998 to 2000, as a finance and restructuring consultant
at W.Popiołek i Partnerzy Kancelaria Radców Prawnych i Adwokatów sp.k., with its registered office
in Katowice; (iv) from 1999 to 2001 as management board member at Pechiney Polsin - Karbid Sp. z
o.o., with its registered office in Chorzów; (v) from 1999 to 2001, at Polsin - Karbid Sp. z o.o., with its
registered office in Chorzów, as the management board member responsible for economic and
financial matters and subsequently as the vice-president of the management board responsible for
economic and financial matters; (vi) in 2001, as president of the management board and chief
executive officer at Elektronarzędzia CELMA S.A., with its registered office in Goleszów; (vii) from
2001 to 2004, as president of the management board and chief executive officer at Celma Tools S.A.,
with its registered office in Goleszów; (viii) from 2005 to 2008, as president of the management
board and chief executive officer at Georyt Centrum Produkcyjne Sp. z o.o., with its registered office
in Trzebinia; (ix) from 2007 to 2008 - cooperated with Famur S.A. group by holding seats on the
governing bodies of the hydraulics division of Famur S.A. group: Dams GmbH, with its registered
office in Vlebert, Germany, as president of the management board; Fabryka Hydrauliki Sterowniczej
Dams Sp. z o.o., with its registered office in Siemianowice Śląskie as president of the management
board; Fabryka Hydrauliki Sterowniczej Dams-Blasberg Sp. z o.o., with its registered office in
Siemianowice Śląskie as president of the management board; (x) as of 1997, at the Investments
Department of the University of Economics in Katowice, as an intern and subsequently as a junior
lecturer, and, as of 2005, as assistant professor; (xi) as of 2008, as president of the management
board and chief executive officer at Tiefenbach Polska Sp. z o.o., with its registered office in
Radzionków.
Michał Michalewski has held or currently holds a seat on the supervisory boards of the
following companies: (i) from 2002 to 2005 - Elektrometal S.A., with its registered office in Cieszyn, as
chairman of the supervisory board; (ii) as of 2007 - HMC S.A., with its registered office in Mikołów, as
chairman of the supervisory board; (iii) as of 2008 - the Company, as Member of the Supervisory
Board. Michał Michalewski has not held any other seats on the governing bodies of other commercial
companies during the last five years nor does he hold any other such seats at present.
Michał Michalewski held or still holds a seat on the bodies of the following associations,
business organizations and other entities: (i) from 1998 to 2001 - Regional Public Audit Chamber in
Katowice, as member of the board of experts; (ii) from 2002 to 2004 - as a member of the State
Qualifications Commission responsible for professional permits and licenses with respect to real
estate appraisal, management and brokerage; (iii) as of 2004 - the Foundation of the Personnel
Training Center (Fundacja Ośrodek Kształcenia Kadr), with its registered office in Częstochowa, as
vice-president of the management board.
Michał Michalewski holds shares in the following companies: MCI Sp. z o.o., with its
registered office in Cieszyn; Przedsiębiorstwo Konstrukcji i Budowy Maszyn Sp. z o.o. ,with its
registered office in Mikołów; TAURON Polska Energia with its registered office in Katowice. He is not
a partner or shareholder of any other commercial law partnerships or companies.
During the last five years, Michał Michalewski was a shareholder of Georyt Centrum
Produkcyjne Sp. z o.o., with its registered office in Trzebinia, Secus Investment Sp. z o.o. II S.K.A., with
its registered office in Katowice; and Secus Investment Sp. z o.o. Energy S.K.A. with its registered
office in Katowice. He was not a partner or shareholder of any other commercial law partnerships or
companies during the last five years.
Michał Michalewski has not been entered in the Register of Insolvent Debtors
maintained pursuant to the Act on National Court Register (KRS) from 20 August 1997 (Journal of
Laws of 2007 No. 168, item 1186).
