1. Przed podpisaniem umowy stanowiącej niniejszy
załącznik prosimy: usunąć stronę tytułową, wyczerpująco
uzupełnić wymagane w komparycji dane dotyczące spółki,
a także dane kontaktowe w §7 poniżej.
2. Prosimy podpisać umowę stanowiącą niniejszy załącznik
zgodnie z wymogami określonymi w zaproszeniu do
wyrażenia zainteresowania złożeniem oferty na kontrakt EPC
na port.
3. PDH Polska S.A. nie dopuszcza zmiany treści umowy
stanowiącej niniejszy załącznik.

Umowie oddzielnie „Stroną”, a łącznie „Stronami”.
The OWNER and the BIDDER are also individually
referred to herein as a “Party”, and jointly –
as the “Parties”.

The Party providing information to the other Party
shall be hereinafter referred to as the “Providing Party”
and the Party receiving such information shall be
hereinafter referred to as the “Receiving Party”.

obejmuje również Grupę Azoty Zakłady Chemiczne
„Police” S.A., w zakresie, w jakim informacje będą
przekazywane OFERENTOWI przez lub w imieniu
Grupy Azoty Zakładów Chemicznych „Police” S.A.
A “Providing Party” hereunder also includes Grupa
Azoty Zakłady Chemiczne “Police” S.A., to the extent
that information will be provided to the BIDDER by,
or on behalf of Grupa Azoty Zakłady Chemiczne
“Police” S.A.
§1
POSTANOWIENIA OGÓLNE
§1
GENERAL PROVISIONS
1.
Przedmiotem niniejszej Umowy jest ochrona 1.
Informacji Poufnych przekazanych sobie
wzajemnie przez Strony i/lub przekazywanych
przez Grupę Azoty Zakłady Chemiczne
„Police” S.A. OFERENTOWI w związku
z uczestnictwem OFERENTA w przetargu
prowadzonym przez WŁAŚCICIELA w celu
dokonania
wyboru
wykonawcy
umowy
o generalne wykonawstwo urządzeń portowych
do rozładunku propanu ze statków morskich
wraz z urządzeniami do magazynowania
propanu, które mogłyby być opcjonalnie
wykorzystywane do eksportu propylenu,
w formule pod klucz za cenę ryczałtową,
w Policach, Polska (w dalszej części Umowy
„Potencjalna Współpraca”).
The subject-matter of this Agreement is the
protection of the Confidential Information
provided by the Parties to each other and/or by
Grupa Azoty Zakłady Chemiczne “Police” S.A.
to the BIDDER in connection with the
participation by the BIDDER in the tender
conducted by the OWNER to select the
contractor for engineering, procurement and
construction contract for a harbour for unloading
the propane from the sea going ships including
the propane storage, optionally allowing for the
propylene export, in Police, Poland, to be
concluded on a lump sum, turn-key basis
(further, the “Potential Cooperation”).

w ramach Potencjalnej Współpracy, z wyjątkiem
The Parties hereby undertake to each other to
keep secret and not to disclose any Confidential
Information (as defined in §2 of this
Agreement) provided to a Party by the other
Party (and/or, in the case of the BIDDER – by
Grupa Azoty Zakłady Chemiczne “Police” S.A.)
in connection with or in the course of the
Potential Cooperation, except as expressly
permitted by this Agreement.

gwarantowały zabezpieczenie tych Informacji
Poufnych
przed
dostępem
osób
nieupoważnionych. Ponadto Strony zobowiązują
się do zapewnienia odpowiednich warunków
przechowywania
wszelkich
Informacji
Poufnych uzyskanych przez siebie w związku
z Potencjalną Współpracą lub w ramach
Potencjalnej Współpracy, niezależnie, czy te
Informacje Poufne wyrażone zostaną w formie
niematerialnej (w tym zapis cyfrowy lub,
analogowy) czy materialnej (w tym materiały
w formie pisemnej, materialne nośniki danych,
filmy, materialne nośniki dźwięku), w sposób
uniemożliwiający do nich dostęp osób
niepowołanych.
§2
INFORMACJE POUFNE
1.
Informacje Poufne w rozumieniu niniejszej 1.
Umowy obejmują (bez względu na sposób ich
przekazania lub udostępnienia - ustnie,
pisemnie, na nośniku elektromagnetycznym lub
innym, a także w inny sposób): (i) wszelkie
informacje lub dokumenty przekazane lub
udostępnione przez jedną ze Stron drugiej
Stronie i/lub przez lub w imieniu Grupy Azoty
Zakłady
Chemiczne
„Police”
S.A.
OFERENTOWI w związku z Potencjalną
Współpracą lub w ramach Potencjalnej
Współpracy, (ii) wszelkie informacje stanowiące
tajemnicę przedsiębiorstwa w rozumieniu
polskiej ustawy z dnia 16 kwietnia 1993 r.
The Parties shall be obliged to take all technical,
organizational and all other measures to ensure
the proper performance of the obligations set out
in this Agreement. In particular, the Parties
undertake to make every reasonable effort to
ensure that the means of communication used by
the Parties for the reception and provision of the
Confidential Information will guarantee the
protection of such Confidential Information
against unauthorized access. Furthermore, the
Parties undertake to ensure proper storage of all
the Confidential Information received in
connection with or in the course of the Potential
Cooperation, regardless of whether such
Confidential Information is expressed in
immaterial form (including digital or analogue
recording) or in a material form (including
materials in writing, tangible data carriers, film,
tangible carriers of sounds), in a way preventing
unauthorized access to such information.
§2
CONFIDENTIAL INFORMATION
Confidential Information within the meaning of
this Agreement shall include (regardless of how
such Confidential Information is provided or
made available - orally, in writing, on
electromagnetic carrier or on other carrier, or in
other way): (i) all information and/or documents
made available by one Party to the other Party
and/or by or on behalf of Grupa Azoty Zakłady
Chemiczne “Police” S.A. to the BIDDER in
relation to, or in the course of, the Potential
Cooperation, (ii) all information that constitutes
a trade secret within the meaning of the Polish
Act dated 16 April 1993 on Combating Unfair
Competition (unified text in Journal of Laws of

dotyczące
jednej
ze
Stron
lub
jej
współpracowników i/lub kontrahentów, oraz
(iii) następujące informacje dotyczące każdej ze

3) informacje o systemach informatycznych
i oprogramowaniu;
3) information on IT systems and software;
4) informacje o zasadach dystrybucji oraz
zaopatrzenia;
4) information on principles of distribution and
supply;
5) informacje dotyczące cen;
5) information related to prices;
6) informacje o klientach i dostawcach;
6) information on customers and suppliers;
7) informacje o wewnętrznych przepisach
i procedurach;
7) information
procedures;
8) informacje o organizacji i przebiegu
procesów,
w
tym
procesów
technologicznych i produkcyjnych, a także
informacje
o
rozwiązaniach
technologicznych
i
technicznych
(zastosowanych albo rozważanych);
8) information on organization and course of
processes, including technological and
production processes, as well as information
on technological and technical solutions
(implemented or considered);
9) informacje
o
podejmowanych
lub
planowanych przez Stronę działaniach
z zakresu marketingu i promocji, jak
również o planach biznesowych.
9) information on undertaking or planning by
the Party of the activities related to
marketing and promotion, as well as on
business plans.
Informacje Poufne w rozumieniu niniejszej 2.
Umowy obejmują również wszelkie informacje,
materiały oraz dane zastrzeżone dla osób
trzecich, które zostały udostępnione przez lub
w imieniu Strony Przekazującej na rzecz Strony
Otrzymującej. Informacjami Poufnymi są

and made available by or on behalf of the
Providing Party to the Receiving Party.

documents issued to the OWNER by a third
party licensor based on, or in connection with,
a technology license granted to the OWNER.

Strony ustalają, że status Informacji Poufnych 3.
na podstawie niniejszej Umowy nie przysługuje
informacjom, danym, materiałom, analizom,
studiom, projektom, opracowaniom lub innym
dokumentom sporządzonym przez Stronę na
podstawie innej, odrębnej umowy zawartej
między Stronami, w tym sporządzonym na
podstawie Informacji Poufnych objętych
niniejszą
Umową.
Zasady
korzystania
i ewentualnego ujawniania takich informacji,
danych, materiałów, analiz, studiów lub innych
dokumentów określane będą przez Strony
w takiej wyżej wymienionej odrębnej umowie.
The Parties agree that the status of the
Confidential Information under this Agreement
shall not be conferred to the information, data,
materials,
analyses,
studies,
projects,
developments or other documents prepared by
a Party based on another, separate agreement
between the Parties, even if prepared based on
Confidential Information hereunder. The terms
and conditions of use and potential disclosure of
such information, data, materials, analyses,
studies or other documents shall be determined
by the Parties in the separate agreement referred
to above.
4.
Każda ze Stron może ujawniać Informacje 4.

Each Party may disclose the Confidential
Information without the prior written consent of
the other Party to the following persons:

1) swoim
pracownikom
oraz
innym
członkom personelu, w tym również
członkom

należących do tej samej grupy kapitałowej,
co Strona ujawniająca, jak również
członkom swoich władz oraz organom
nadzorczym - w celu realizacji zadań
wynikających z Potencjalnej Współpracy;
1) its employees and other personnel,
including the personnel of its affiliates, its
management members and supervisory
authorities – for the purpose of performing
the tasks arising from the Potential
Cooperation;
2) doradcom lub konsultantom, o których
druga Strona została powiadomiona na
piśmie i co do których nie wyraziła ona
sprzeciwu,
2) advisors and/or consultants, of which the
other Party has been notified in writing and
against whom no objections were raised by
such other Party,
pod warunkiem, że Strona ujawniajaca
zapewni, że wszystkie takie osoby w pełni
przestrzegać będą postanowień niniejszej
Umowy, i że Strona taka ponosi będzie
odpowiedzialność za te osoby zgodnie
z §5.1 poniżej.


obliged to procure that all such persons
will fully comply with the provisions of
this Agreement, and that such Party will
be liable for these persons in accordance
with §5.1 below.

konsorcjum

podwykonawcy
(podwykonawcom) i/lub dostawcy (dostawcom),
zarówno obecnemu jak i przyszłemu wyłącznie
na następujących warunkach:
Confidential Information may be disclosed by
the BIDDER to its consortium partner(s) and/or
subcontractor(s), and/or supplier(s), whether
actual or prospective, solely under the following
conditions:
1) Informacje Poufne mogą być przekazane
takim
osobom
z
zastrzeżeniem
poinformowania WŁAŚCICIELA przed
ich ujawnieniem o tożsamości każdej
z takich osób oraz zakresie Informacji
Poufnych, które zostaną jej ujawnione;
1) Confidential Information may be provided
to such parties subject to notifying the
OWNER’s prior to the disclosure about the
identity of each such party, and the scope of
Confidential Information disclosed to it;
2) OFERENT
każdorazowo
ponosi
bezpośrednią odpowiedzialność wobec
WŁAŚCICIELA za ujawnienie Informacji
Poufnych przez swojego obecnego lub
przyszłego
partnera
(partnerów)
konsorcjum
i/lub
podwykonawcę
(podwykonawców)
i/lub
dostawcę
(dostawców) jak gdyby zostały one
ujawnione przez samego OFERENTA,
zgodnie z §5.1 poniżej; oraz
2) the BIDDER shall be liable directly to the
OWNER
for
each
disclosure
of
Confidential Information by its actual or
prospective consortium partner(s) and/or
subcontractor(s) and/or supplier(s) as if
such disclosure was made by the BIDDER
itself, in accordance with §5.1 below; and
3) w razie ujawnienia przez OFERENTA

The protection under this Agreement shall not
cover the Non-Confidential Information,
defined as any information, data, materials,
analyses, studies, projects, developments or
other documents which:
1) have been provided to the Receiving Party as
not confidential, provided that the reservation
on the non-confidential nature of the provided
information shall be clear and made in writing
by the Providing Party;

na podstawie niniejszej Umowy stały się
ogólnie dostępne bez naruszenia przez tę
Stronę Otrzymującą zobowiązania do
zachowania poufności; i/lub
3) after its provision to the Receiving Party
hereunder, became publicly available without
a breach of the confidentiality obligation by
such Receiving Party; and/or
4) zostały
uzyskane
przez
Stronę
Otrzymującą od osób trzecich zgodnie
z prawem i bez naruszenia przez te osoby
trzecie jakiegokolwiek zobowiązania do
zachowania poufności, z zastrzeżeniem że
ciężar
udowodnienia

spoczywa na Stronie Otrzymującej.
4) have been obtained by the Receiving Party
from third parties legally and without a breach
by such third parties of any confidentiality
obligation, provided that the proof of the
above shall burden the Receiving Party.
§3
UJAWNIENIE INFORMACJI POUFNYCH
1.
Informacje Poufne w każdym przypadku 1.
stanowią tajemnicę przedsiębiorstwa Strony
Przekazującej i mogą zostać ujawnione przez
Stronę Otrzymującą osobom trzecim wyłącznie
w następujących przypadkach:
1) uzyskania przez Stronę Otrzymującą
uprzedniej pisemnej zgody Strony
Przekazującej na ujawnienie Informacji
Poufnych, wyszczególniającej Informacje
Poufne, które mogą zostać ujawnione.
W przypadku

przekazywanych OFERENTOWI przez
Grupę Azoty Zakłady Chemiczne „Police”
S.A.,
ujawnienie
informacji
przez
OFERENTA wymaga zgody zarówno
WŁAŚCICIELA jak i Grupy Azoty
Zakłady Chemiczne „Police” S.A.;
§3
DISCLOSURE OF
CONFIDENTIAL INFORMATION
Confidential Information shall in each case
constitute a business secret of the Providing
Party, and may be disclosed by the Receiving
Party to third parties only in the following cases:
1) when the Receiving Party obtains a prior
written consent of the Providing Party to
disclose the Confidential Information,
specifying Confidential Information which
may be disclosed. In case of Confidential
Information provided to the BIDDER by
Grupa Azoty Zakłady Chemiczne “Police”
S.A., a disclosure by the BIDDER requires the
consent of both the OWNER and Grupa Azoty
Zakłady Chemiczne “Police” S.A.;

prawomocna i wykonalna decyzja
organu administracji publicznej lub

a valid and enforceable decision of
a public administration body or a local
government administration body,
(e)
jakakolwiek inna prawomocna
i wykonalna
decyzja,
postanowienie, nakaz lub inny akt o
podobnym charakterze wydany na
podstawie i zgodnie z przepisami
prawa
powszechnie
obowiązującego.

order, ruling, or any other act of
a similar nature issued pursuant to and in
accordance with the generally applicable
provisions of law.

In the case referred to in §3.1.2 above, before
the disclosure of the Confidential Information,
to the extent legally permitted, the Receiving
Party shall notify the Providing Party (and, in
case of Confidential Information provided to the
BIDDER by Grupa Azoty Zakłady Chemiczne
“Police” S.A., the BIDDER will notify both the
OWNER and Grupa Azoty Zakłady Chemiczne
“Police” S.A.) in writing of such fact, indicating
at least:
1) the legal grounds for the obligation to disclose;
2) the scope of Confidential Information which
will be disclosed;

3) organ, któremu Informacje

3.
Poufne
W razie ujawnienia Informacji Poufnych 3.
w okolicznościach, o których mowa w §3.1.2

powiadomienia, o którym mowa w §3.2
powyżej, będzie kopia odpowiedniego żądania
sądu lub innego organu, decyzji lub innego

§4
OBOWIĄZYWANIE UMOWY

In the event of disclosure of Confidential
Information in the circumstances referred to in
§3.1.2 items (b) to (e) inclusive, a copy of the
relevant request of the court or another
authority, the relevant judgement, decision or
another applicable act of an authority shall form

§3.2 above.
§4
AGREEMENT VALIDITY
1.
Niniejsza Umowa wchodzi w życie w chwili jej 1.
obustronnego podpisania.
This Agreement shall come into effect upon its
signing by both Parties.
2.
Każda ze Stron może w dowolnym czasie 2.
rozwiązać niniejszą Umowę na podstawie
jednostronnego pisemnego zawiadomienia.
W takim wypadku niniejsza Umowa wygaśnie
po upływie dwóch (2) tygodni od doręczenia
drugiej Stronie zawiadomienia, o którym mowa
powyżej.
Each Party may at any time terminate this
Agreement by way of a unilateral written notice.
In such a case, this Agreement shall expire after
two (2) weeks of the delivery of the notice
referred to above to the other Party.
3.
W razie rozwiązania niniejszej Umowy 3.
obowiązki Stron na podstawie niniejszej
Umowy oraz odpowiedzialność za naruszenie
tych obowiązków pozostaną w mocy przez okres
10 (dziesięciu) lat od momentu jej wygaśnięcia.
In the event of termination of this Agreement,
the Parties’ obligations hereunder, and liability
for a breach of such obligations, remain in force
for the period of ten (10) years from the
expiration of the Agreement.
§5
ODPOWIEDZIALNOŚĆ STRON
1.
Każda Strona ponosi pełną odpowiedzialność za 1.
należytą realizację niniejszej Umowy przez
samą siebie. Każda Strona ponosi pełną
odpowiedzialność za przestrzeganie zobowiązań
do zachowania poufności zawartych w niniejszej
Umowie przez obecnego lub przyszłego partnera
(partnerów)

podwykonawcę
(podwykonawców), dostawcę (dostawców),
pracowników, personel, doradców, organy
władz i organy nadzorcze, oraz innych należycie
§5
LIABILITY OF THE PARTIES
Each of the Parties shall bear full liability for its
own proper performance of this Agreement.
Each of the Parties shall bear full liability for the
compliance with the confidentiality obligations
contained herein by its actual or prospective
consortium
partner(s),
subcontractor(s),
supplier(s), employees, personnel, advisors,
management, supervisory bodies, and other duly
authorized representatives and all other parties
acting on behalf of such Party on the basis of

upoważnionych przedstawicieli danej Strony
oraz wszelkich innych osób działających
w imieniu tej Strony na podstawie należycie
udzielonego upoważnienia, którzy otrzymali od

i bezpośredniej szkody w sposób uzasadniony i
konieczny
poniesionej
przez
Stronę
Przekazującą w wyniku naruszenia niniejszej
Umowy przez Stronę Otrzymującą.
The Providing Party may seek from the
Receiving Party who is in breach of its
obligations hereunder a compensation for the
full amount of the actual and direct damage
reasonably and necessarily suffered by the
Providing Party as a result of the breach of this
Agreement by the Receiving Party.
3.
Z zastrzeżeniem procedury rozstrzygania 3.

§5 będzie należne do zapłaty w terminie 7
(siedmiu) dni od dnia doręczenia zobowiązanej

Stronę, której przysługuje odszkodowanie,
przelewem na rachunek bankowy Strony
wystawiającej wskazany w nocie obciążeniowej.
W nocie obciążeniowej wskazane zostaną
naruszenia
zobowiązań
do
zachowania
poufności, w stosunku do których należne jest
odszkodowanie.
Subject to the dispute resolution procedure set
forth in §7.3 below, the compensation referred
to in this §5 shall be payable within 7 (seven)
days from the date of delivery to the obliged
Party of a debit note issued by the Party entitled
to the compensation, by bank transfer to the
bank account of the issuing Party indicated in
the debit note. The debit note will state the
breach of confidentiality obligations committed,
in relation to which the compensation shall be
due.
§6

o spółkach publicznych (tekst jednolity: Dz.U.
z 2013 r., poz.1382, ze zm.) oraz ustawy z dnia
29 lipca 2005 r. o obrocie instrumentami
finansowymi (tekst jednolity: Dz.U. z 2014 r.,

PUBLIC COMPANY
The OWNER informs that it is a wholly owned
subsidiary of a public company, therefore some
of the provided Confidential Information may
also constitute the confidential information
within the meaning of the Act of 29 July 2005
on Public Offers and the Conditions for
Introducing Financial Instruments to the
Organized Trading System and on Public
Companies (unified text in Journal of Laws of
2013, item 1382, as amended) and the Act of
29 July 2005 on Trading in Financial
Instruments (unified text in Journal of Laws of

poz. 94, ze zm.). W związku z powyższym
Strona Otrzymująca zobowiązuje się do
poinformowania wszystkich uprawnionych osób
mających dostęp do informacji poufnych
w rozumieniu powyższych ustaw o obowiązku
zachowania ich w tajemnicy i o skutkach
prawnych ich ujawnienia, tj. odpowiedzialności
cywilnej i karnej przewidzianej przepisami tych
ustaw.

confidential information within the meaning of
the above-mentioned acts on the obligation to
keep such confidential information secret and on
the legal consequences of its disclosure, i.e. civil

Disclosure of the confidential information
within the meaning of acts referred to in par. 1
may be performed only as provided for in the
above-mentioned acts and with taking into
account the legal securities provided for therein,
including the legal securities concerning the
preparation and maintenance of separate lists of
individuals who have access to the confidential
information referred to in art. 158 of the Act of
29 July 2005 on Trading in Financial
Instruments.
§7
POSTANOWIENIA KOŃCOWE

Wszelkie zmiany niniejszej Umowy wymagają 2.

All amendments to this Agreement shall be
made by both Parties in writing to be valid.

Wszelkie spory wynikłe w związku z realizacją 3.
niniejszej Umowy i/lub dotyczące samej
Umowy rozstrzygane będą przez sąd
powszechny właściwy miejscowo dla siedziby
WŁAŚCICIELA.
All disputes arising in connection with the
performance of this Agreement, and/or in
relation to the Agreement itself shall be resolved
by the common court competent for the
registered office of the OWNER.

Umowa została sporządzona w dwóch 4.
jednobrzmiących egzemplarzach, po jednym dla
każdej ze Stron.
This Agreement has been drawn up in two
identical counterparts, out of which one
counterpart shall be received by each Party.
5.
Umowa została sporządzona w polskiej 5.
i angielskiej wersji językowej. W razie
jakichkolwiek rozbieżności pomiędzy dwoma
wersjami językowymi, wiążąca jest angielska
wersja językowa.
The Agreement has been executed in Polish and
English language version. In the event of any
discrepancies between the two language
versions, the English language version shall
prevail.
6.
Umowa podlega prawu polskiemu.
The Agreement is governed by the Polish law.
