Changes in Eurohold’s corporate governance structure
On 28 June 2012, Expat Capital AD sold its entire 16.7% stake in Eurohold
Bulgaria AD to Dar Finance EOOD. The transaction was executed on the floor of
Bulgarian Stock Exchange –Sofia. Dar Finance, a company fully-owned by the
Lichtenstein-based company Daru Aktiengesellschaft, will be advised going
forward by VTB Capital PLC, London, and its local office VTBC AD, Sofia.
At Eurohold’s regular AGM today, June 29, 2012, and in connection with the
transaction, the following decision was taken:
Mr. Krassimir Katev, Managing Director at VTB Capital AD, replaces Mr. Nikolay
Vasilev as a Member of the Supervisory Board of Eurohold Bulgaria AD;
The Supervisory Board has also elected Mr. Dimitar Dimitrov to assume the
position of a Member of the Management Board of Eurohold Bulgaria, replacing
Expat Capital AD. Mr. Dimitrov has years of experience in the Bulgarian banking
sector and has occupied several executive positions at leading banking
institutions. Up to April 2011, Mr. Dimitrov was CEO of the Bulgarian
Development Bank.
The transaction and the above replacements on the Management and
Supervisory Boards should help secure a long-term focus, professional expertise
and alignment of interests, for the benefit of long-term value creation for all
shareholders of Eurohold Bulgaria.
