Shall the ad be prepared by the Advertising
Sales Department, the ad materials should be
delivered at least 4 working days in advance
and they need to include all the graphic

ATTENTION!
Advertisement text shall not be composed of more
than two colour. Only bold and black fonts shall be
used in printing of the texts composed of more than
one colours.

 The rates refer to materials prepared by the advertiser and depend on the size, kind and volume of the
inserts, stitched-in inserts or glued-in inserts. Each
time their form and date of insertion shall be approved
by the Advertising Sales Department.
 Prior to entering the agreement, the advertiser
shall deliver a specimen of the insert, stitched-in insert
or glued-in insert and receive acceptance of it from the
Advertising Sales Department. Material have to be
printed on coated paper, min. substance 100g/m2.

Expressions
Article 1
The expressions defined below, whenever they
appear in this document, shall be understood in the
following way:
General Rules – general rules concerning
advertisements printed in Ringier Axel Springer Polska
Sp. z o.o. magazines and the daily newspaper FAKT,
Przegląd Sportowy i Sport Publisher - Ringier Axel
Springer Polska Sp. z o.o. (Ringier Axel Springer Polska
Limited Liability Company) with its office in Warsaw,
52 Domaniewska Street; registered in National Court
Register (businessmen register), Warsaw District
Court, 20th Economic Department of National Court
Register, no. 0000108017; NIP (taxpayer identification
number) 521-10-00-198; REGON (statistical number)
010687650
Advertiser – natural person, legal person or any other
entity ordering an announcement or an advertisement
in the Publisherís Titles
Titles – magazines and dailies issued by the
Publisher
Announcement – an announcement of the proper
dimensions charged per a module or any other
surface unit which is detailed in the Publisherís
Rate Card, promotional material or any other form of
promotional publication.
Advertisement – advertising material of the proper
dimensions charged per a module or any other
surface unit which is detailed in the Publisherís
Rate Card, promotional material or any other form of
promotional publication including inserts.
Article 2
The receipt of announcements and advertisements
by the Publisher as well as their publications in the
Publisherís Titles shall be made on the basis of these
General Rules and the present legal regulations.
Article 3
1. The Advertiser shall be responsible for the content
of any announcements or advertisements.
2. The Publisher and the Editor-in-chief shall not
be held responsible for the content of the printed
announcements and advertisements.
3. Should the Publisher bear any costs of satisfying any
persons whose rights have been violated as a result of
the announcements or advertisements publication
(in particular personal interests, copyright and
neighbouring rights, inventive rights, on trademarks
or decorative details, on account of the companyís
confidentiality and others), the Advertiser shall
cover the entire costs including the costs of litigious
proceedings, court registration fees, replacement law
charges and any other justified expenses incurred by
the Publisher due to the claims of the third parties. It
also applies to all the cases when the Titleís editor-inchief or any other editor or the Publisherís employee
becomes the proceeding party linked with the content
or form of the advertisement or announcement.
4. Should the appropriate Authority make a decision
to ban the distribution of the Publisherís Title,
or should the distribution be impossible due to
direct or indirect reasons of the announcement or
advertisement publication, the Advertiser shall cover
both all the losses incurred by the Publisher and all
the irrecoverable profits.
Article 4
1. The Publisher reserves the right to refuse the
acceptance or further publication or to suspend the
announcement, advertisement or insert publication
on previously defined conditions, without bearing any
responsibility, on account of the following reasons:
a) force majeur
b) contradictions
of
the
announcement,
advertisement or insert to the law or the rules
of social intercourse (common decency) or
contradictions to the programme or character
of the publication, or the negative assessment of
the announcementís or advertisementís content
by the editorial employees
c) technical, technological or issue-related reasons
d) judicial protection or third partyís claims against
the Publisher, Agency or the Client or credible
reservations linked with the announcement,
advertisement or insert or their publication in
the period of the contract
e) claims laid by the appropriate Authority or the
Association of Advertising Council or the Media
Ethics Council
f) lack of payment or delay in payment for
the already published announcements,
advertisements or inserts according to the
deadlines specified in the contract
2. The Publisher reserves the right to refuse the
acceptance or further publication or to suspend the
announcement, advertisement or insert publication
for no apparent reason, bearing no responsibility on
that account.
Publication Conditions
Article 5
1. The publication of the announcement or
advertisement shall be made on the basis of the
written purchase order form (including the content
of the announcement or advertisement) which the
Advertiser is obliged to deliver to the Publisher. The
delivery deadlines of the advertising and promotional
materials to the particular Titles are stated in the
appropriate Rate Cards.
The content of the purchase order, mentioned in
section 1 above, to be effective, must include the
following elements:
- the Advertiser’s details
a) for natural persons – the name, surname and
the address
b) for legal persons and subjects without legal
entity – the companyís name, its office and
address where the business activity is run, the
number of the business activity register or the
number of the businessmen register
- the size and format of the ordered announcements or
advertisements
- the Title and issue in which the announcement or
advertisement shall be published (e.g. DZIENNIK Daily
Newspaper, Thursday issue)
- the number and suggested dates of publication
- the publication place of the announcement or
advertisement (e.g. advertising columns, first page,
right page)
- the statement in which the Advertiser agrees to the
completion of the order according to the General Rules
- the due payment day and its form
- the net price of the order prior to any discount
- the statement which says whether the Advertiser is a
VAT taxpayer or not
- the NIP number (taxpayer identification number) if
the Advertiser is a VAT payer, the Publisherís letter of
authorization to issue an invoice without the entitled
personís signature
- possibly, special wishes concerning the advertisement
according to the scope defined in the Publisherís Rate
Card
- possibly, an invoice upon request (refers to natural
persons not running any business activity)
- the Advertiserís personal signature (in case of natural
persons not running any business activity)
- the Companyís stamp, personal stamp and the
personal signature of the person entitled by the
Advertiser (in case of other entities)
2. In case of the announcements and advertisements
ordered by the Advertiser who runs their own business
activity or who is a legal person or other unit without
legal entity, such an Advertiser, if not bound by a
permanent contract of cooperation whose content
includes the Advertiserís data and all the order details,
the Advertiser should place the order including all the
information mentioned above and in addition:
- the Advertiserís number of the businessmen
register (including the courtís name) or the number
of the business activity register from the appropriate
Muninicipal Council (including the Municipal Council
name) or the number of National Court Register
(including the name of the appropriate court)
- the ownerís (ownersí) name, surname and address
or other partnersí name, surname and address who
run their business activity on the basis of the business
activity register
- the Publisherís letter of authorization to issue an
invoice without the Advertiserís signature
- details of the person coordinating the order on the part
of the Advertiser
3. To place the purchase order, the Advertiser fills in
legibly the ready-made form available in the Advertising
Office or at the Publisherís sales representative. The
Advertiser may also prepare the purchase order form
on their own provided that all the necessary information
specified in this document is included.
4. The integral part of the order is the text of the
announcement or advertisement and possibly any
other graphic or ready-to-print materials in the form
according to the Publisherís technical specifications.
Article 6
The Publisher shall be absolved from responsibility for
the publication of the advertisement or announcement
if the deadline of the purchase order delivery is exceeded
or the materials are not prepared in accordance with the
Publisherís technical specifications or the content of
the announcement or advertisement is inappropriate.
Any dissent from the technical requirements – as
long as they may have any influence on worsening the
quality of the order execution (print) – are permissible
only on the Advertiserís request and risk, on the basis of
a separate written statement.
Article 7
1. The Advertiser may make some reservations of the
deadlines and surface of the future announcements or
advertisements in advance only in a written form. The
confirmation of the reservation, excluding point 2, is each
time specified by the Publisher in the reservation form
sent to the Advertiser.
2. The confirmation of the reservations must be done
at minimum:
• FAKT, PRZEGLĄD SPORTOWY i SPORT – 3 working days
• FAKT TV, GWIAZDY, MAGAZYN SPORTOWY i SKARB
KIBICA – 11 working days
3. The confirmation of the deadline is automatically
cancelled if it is not done in a form of a written purchase
order according to the deadlines specified in point 2
above. On account of the cancelation, the Publisher shall
not bear any responsibility towards the Advertiser.
Article 8
1. The violation of the deadlines by the Advertiser results
in not placing the announcement or advertisement
ordered and, at the same time, the Advertiser is charged
a contractual fine of 50% worth of the advertisement
in question.
2. Graphic materials and ready-to-print materials,
specified in point 1 of this article, should meet the general
technical specifications, specified in the Rate Card.
3. The verification of both the graphic materials and
ready-to-print materials as well as the assessment of their
conformity with the technical requirements is made by
the Publisherís employee or an entitled representative.
Article 9
1. Any changes of the purchase order, the content of the
announcement or advertisement, or graphic material,
in case of necessity, the Advertiser shall submit in a
written form, exactly defining the scope of the changes,
not later than:
for FAKT, PRZEDLĄD SPORTOWY i SPORT – 2 working
days for FAKT TV, GWIAZDY, MAGAZYN SPORTOWY i
SKARB KIBICA – 3 working days.
2. In case of the violation of the deadlines for changes
specified in point 1 above, as well as in case of any
doubts or vagueness concerning the scope and kinds
of the changes, which cannot be settled in the deadlines
specified in point 1, the Publisher has the right to fulfill
the order in its original version. In this case the Publisher
shall not bear any responsibility for the effect of the
announcement or advertisement publication in its original
form, whereas the Advertiser shall pay 100% worth of the
order in its original form.
3. The Publisher may not take into consideration the
changes made in the deadlines specified in point 1 of
this article if they happen to be impossible due to the
Publisherís technical or other obligations, not bearing any
responsibilities towards the Advertiser in that case.
Article 10
1. The cancellation of the announcement ordered must
be done only in a written form under pain of nullity and
delivered to the Advertising Office or to the Publisherís
sales representative.
2. The cancellation renders no financial consequences for
the Advertiser on condition that it does not happen later
than in the deadlines provided in article 7 point 2.
3. The cancellation received by the Publisher later than
in the deadlines provided in article 7 point 2. makes the
Advertiser pay the cancelling price of 100% worth of the
advertisement ordered.
Payments
Article 11
The Advertiser shall pay for the ordered advertisement
on the basis of the rates and reductions specified in the
up-to-date Rate Card of the particular Titles on the day of
sending the purchase order.
Article 12
The payment shall be transferred onto the Publisherís

Article 13
1. The Advertiser is obliged to transfer the funds on the
account of payment on the basis of VAT invoice within
14 days from the date of its receipt. Violation of the above
date of payment causes the calculation of statutory
interest for the whole period of delay.
2. In case of the violation of the due payment day,
specified in point 1 above, the Publisher has also the
right to refuse the acceptance of the purchase order of
the Advertiserís, or any other natural personís or legal
personís who works on behalf of the Advertiser, further
announcements or advertisements.
3. In case of the Advertiserís pre-payment, it should be
done not later than a day before the date specified in
article 7 point 2.
4. The Publisher has the right to make the order
acceptance dependent on the selected date of the
prepayment.
Article 14
The Advertiser shall pay for the announcement or
advertisement according to the following rules:
1. The Advertiser may cover the liabilities for the
advertisement:
a) paid in advance – before the publication of the
announcement or advertisement
b)paid at the end – after the publication of the
announcement or advertisement, on the basis of
the invoice issued by the Publisher; in this case the
Advertiser shall make an appropriate surcharge
resulting from the Publisherís Rate Card. Natural
persons who do not run their own business activity
pay for the advertisements in advance exclusively.
2. In case of a regular publication the Publisher has
the right to suspend the publication of the subsequent
announcements or advertisements of the Advertiserís
ordered cycle if the previous publication has not been paid
on time, regardless of the Advertiserís right to calculate
the interest for the whole period of delay.
Complaints
Article 15
Any complaints concerning the manner and the quality of
the advertisementís execution, the Advertiser shall make
in a written form exclusively (if the complaint concerns the
quality of the print – the original copy of the Title including
the material being the subject of the complaint should be
delivered), not later than within 14 days, the 1st day being
the day of the first publication.
1. If the order concerns regular announcements or
advertisements, placed more frequently than every
6 days, the complaints must be made not later than
till 12p.m., 3 working days before the date of the next
publication.
2. If the order concerns regular announcements or
advertisements, placed day after day, the complaint must
be made on the day of the first publication till 12:00p.m.
3. The complaints made after the deadline of making
complaints or without written form shall not be accepted.
Article 16
1. The complaint should include documented description
of the faults and errors of the published announcement or
advertisement in relation to the order made.
2. The initial assessment of the complaint and its
principled approach is made by the Publisherís employee
or an entitled person.
3. If the complaint is justified, the Publisher, after the
consultation with the Advertiser, shall correct the errors
and faults in the announcement or advertisement before
the next publication, unless both sides decide on the
other form of compensation on account of the justified
complaint.
Article 17
Submitting a complaint does not exempt the Advertiser
from paying for the next publications. In case of the
Advertiserís lack of payment, the Publisher has the right
to suspend further publications.
Article 18
1. The Publisher shall not bear any responsibility towards
the Advertiser for not fulfilling the order because
of breaks or stops in the work of printing houses or
distributors, stops in issuing the Title or any of the Titleís
supplements, as well as any other events independent of
the Publisherís will.
2. The Publisher reserves the right not to place the
announcement or advertisement on the stated day
for programme or technical reasons. In this case the
announcement or advertisement shall be published on
the closest possible day set by both sides.
3. The Publisher reserves the right to place the
advertisement on a different than originally set place,
as long as it is justified by unusual events at home and
abroad which make the need of editorial changes of
paste-up or the Titleís issue layout.
Final Provisions
Article 19
1. The General Rules shall be binding on December
12th, 2005.
2. The Advertiser must be forewarned that because of its
specificity, the news-print may be due to minor change
after printing, which shall reduce the printing surface
of 10%.
3. In case of matters unsettled in these General Rules the
Polish Legal Regulations shall apply.
