I. Pursuant to Article 19(1) in connection with Article 13(1)(1) and (2) and Article 13(2)(2) of
the Act of 16 February 2007 on competition and consumers protection (Journal of Laws No.
50, item 331 with further changes), having completed the antitrust proceedings initiated at the
request of Jeronimo Martins Dystrybucja S.A. with its registered office in Kostrzyn, the
President of the Office of Competition and Consumer Protection gives consent to a
concentration which will consist in acquiring by Jeronimo Martins Dystrybucja S.A. with its
registered office in Kostrzyn the control over Plus Discount Sp. z o.o. with its registered
office in Poznań on condition that:
A) Jeronimo Martins Dystrybucja S.A. with its registered office in Kostrzyn permanently and
irreversibly disposes of all its rights, including the property right, the right of perpetual
usufruct and rental rights to the following shops:
1.
Biedronka in Biłgoraj at ul. Nadstawna 56A,
2.
Biedronka in Brzeg Dolny at ul. J. Słowackiego 4A,
3.
Plus in Drawsko Pomorskie at ul. Toruńska 4,
4.
Biedronka in Ełk at ul. Gdańska 40,
5.
Biedronka in Giżycko at ul. Warszawska 2,
6.
Plus in Głowno at ul. Swobody 26,
7.
Plus in Gostynin at ul. Płocka 38,
8.
Plus in Góra at Al. Jagiellonów 4,
9.

by 31 December 2009. Disposal of the above rights may - within the meaning of Article 4(14)
of the Act of competition and consumers protection - be effected only in favour of an
independent investor who is not a member of the capital group controlled by Jeronimo
Martins, SGPS, S.A. with its registered office in Lisbon (Portugal).

B) Jeronimo Martins Dystrybucja S.A. with its registered office in Kostrzyn permanently and
irreversibly reduces the retail space and makes it available under sublease for another retail
and service activity carried out by enterprises which are not members of the capital group
controlled by Jeronimo Martins, SGPS, S.A. with its registered office in Lisbon (Portugal),
within the meaning of Article 4(14) of the Act of competition and consumers protection, in the
following shops:
1. Plus in Kępno at ul. Kwiatowa 18 – the retail space will be reduced by at least 333 square
meters,
2. Plus in Milicz at ul. Trzebnicka 4a – the retail space will be reduced by at least 209
square meters,
3. Plus in Biłgoraj at ul. Włosiankarska 2 – the retail space will be reduced by at least 150
square meters,
by 31 March 2009.
II. Pursuant to Article 19 (3) of the Act of 16 February 2007 on competition and consumers
protection (Journal of Laws No. 50, item 331 as amended) The President of the Office of
Competition and Consumer Protection imposes on Jeronimo Martins Dystrybucja S.A. with
its registered office in Kostrzyn the obligation to submit to the President of the Office of
Competition and Consumer Protection information on fulfilment of the condition in the part
laid down in item I(A) of this Decision by 31 January 2010 and in the part laid down in item
I(B) by 30 April 2009, respectively.
