TERMS OF REFERENCE Delivery of a system for zebrafish behavioral analysis for the International Institute of Molecular and Cell Biology in Warsaw Case reference: ADZ-23-20/2013 Public procurement procedure for a contract with the value below the EU thresholds to be awarded as a public procurement contract under an open tender procedure, pursuant to the Public Procurement Act of 29 January 2004 (Journal of Laws 2010, No. 113, item 759 with later amendments) Warsaw, 30.09.2013 I. Trojdena Street, 02-109 Warsaw, Poland Phone:(+48 22) 59 70 700, Fax: (+ 48 22) 59 70 715, www.iimcb.gov.pl TYPE OF AWARD The procedure is conducted under the Public Procurement Act of 29 January 2004 (Journal of Laws 2010, No. 113, item 759 with later amendments), hereinafter referred to as the "PPA", under an open tender procedure for the supply of contract value not exceeding the amount specified in the provisions issued pursuant to the Article 11, section 8 of the PPA III. DESCRIPTION OF THE SUBJECT MATTER OF THE CONTRACT 1. The subject matter of the contract is the delivery of a system for zebrafish behavioral analysis consisting of: a) system for behavioral analysis of embryos/larvae b) system for behavioral analysis of adult fish The subject matter of the contract shall cover the delivery and installation of the system and also include user training with regard to operation of the whole equipment. CPV: 38.43.20.00-2 Equipment for analysing The contract includes delivery of new equipment, free from any faults, based on latest technological concepts of the manufacturer, together with new, original components, in accordance with the norms being in force in Poland. A detailed description of the subject of the contract, along with an itemized list of the required technical parameters, is provided in Enclosure No. 2 to the Terms of Reference - Technical Parameters of the Subject Matter of the Contract The Contracting Authority does not provide choice of the best bid with the use of an electronic auction, referred to in the article 91a - 91c of the PPA. No partial bids are allowed as specified in Article 2 section 6 of the PPA The contracting authority does not provide for framework agreement. No variant bids are allowed as specified in Article 2 section 7 of the PPA The Contracting Authority does not expect that supplementary contracts be awarded, as specified in Article 67 section 1 item 7 of the PPA. CONTRACT DELIVERY DEADLINE The required date of contract execution is by November 30, 2013 V. CONDITIONS FOR PARTICIPATION IN THE PROCEDURE AND DESCRIPTION OF THE METHOD USED FOR THE EVALUATION OF THE FULFILMENT THEREOF 1. Contractors eligible to participate in the tender procedure are those which meet the criteria specified in Article 22 section 1, i.e.: a) hold necessary qualifications/authorisations to perform specific activities or operations if such qualifications/authorisations are required by law; 2 b) have the necessary knowledge and experience; c) have at their disposal the necessary technical potential and personnel capable of performance under the contract; d) are in an appropriate economic and financial position guaranteeing the performance of the contract. 2. The description of how to fulfil the conditions: a) The condition of having the necessary knowledge and experience - the Contracting Authority will consider the condition fulfilled when the Contractor: - proves that in the last three years prior to the submission deadline, and if the activity period is shorter - in this period, duly executed, and in the case of periodic or continuous operation also performs, at least five successful deliveries of similar systems for zebrafish behavioral analysis, in at least five European Scientific Laboratories registered in data base “zebrafish network” ZFIN. b) The condition of being in an appropriate economic and financial position – the Contracting Authority will consider the condition fulfilled when the Contractor: - proves that it has – as of a date of submission of tender bids – a valid civil liability insurance in respect to its activities related to the subject matter of the contract, in an amount of at least PLN 50 000. Note: In the case of contracts concluded in foreign currency, the value of the policy should be converted using the average exchange rate of foreign currency published by the National Bank Poland on the date of the insurance contract. 3. Contractors who apply jointly for the award of the contract meet the terms and conditions mentioned in Chapter V.2 letters a, b of the Terms of Reference cumulatively 4. The criteria listed above shall be assessed on the basis of the documents and statements, mentioned in Chapter VI section 1 and 2 of the Terms of Reference, submitted by the Contractor, using the "does meet the criteria - does not meet the criteria" formula 5. Subject to article 26 section 3 of the PPA, if the Contractor fails to attach to the bid the required statements and documents or their contents do not show that the conditions for the participation in the procedure are met, the Contracting Authority will exclude the Contractor pursuant to the article 24 section 2.4 of the PPA. VI. LIST OF STATEMENTS AND DOCUMENTS TO BE SUBMITTED BY CONTRACTORS 1. In order to confirm that they fulfil the conditions for participating in the contract award procedure as per Art. 22 section 1 of the PPA, the Contractors have to enclose with their tender bid the following documents and statements: 1.1. Eligibility statement concerning compliance with eligibility criteria specified in Article 22 section 1 of the PPA (sample copy attached as Enclosure no. 3 to the Terms of Reference); 1.2. List of deliveries or services provided and, in the case of periodic or continuous supplies or services, also a list of ongoing supplies or services within the scope necessary to prove that the knowledge and experience criteria are met, provided within the period of past three years prior to the bid submission deadline or, if the duration of economic operations is shorter, during that period - including information on the type, value, date and place of execution and the name of the client, and enclosing documents attesting that these deliveries were provided or are being provided properly (sample copy attached as Enclosure 6 to the Terms of Reference); 3 1.3. Paid insurance or other evidence that the Contractor is insured against civil liability in respect of its activities related to the contract. 2. In order to prove lack of grounds for exclusion as regards Art. 24 section 1 of the PPA, the Contractor has an obligation to enclose with its tender bid the following documents and statements: 2.1. Statement that there are no grounds for exclusion from participation in the procedure (sample copy attached as Enclosure 4 to the Terms of Reference); 2.2. Current extract from a relevant register, if separate regulations require an entry in the register, issued not earlier than 6 months before the bid submission deadline, and as regards natural persons, a statement in relation to Art. 24 section 1.2 of the PPA; 2.3. Statement on affiliation with or lack of affiliation to a corporate group, within the meaning of the Act on Competition and Consumer Protection of February 16, 2007 (Journal of Laws No 50, item 331, with later amendments) together with the list of subjects belonging to the same corporate group (Enclosure 5 to the Terms of Reference); 3. If the Contractor's registered office or place of residence is located outside the territory of the Republic of Poland, the Contractor shall substitute the documents described in Chapter VI section 2, items 2.2 of the Terms of Reference, with the following a document or documents issued in the country where the Contractor has its registered office or place of residence, respectively confirming that no liquidation proceedings against the Contractor have been initiated and the Contractor has not been declared bankrupt; issued not earlier than 6 months before the bid submission deadline. 4. If the documents mentioned in Chapter 6, section 3 of the Terms of Reference are not issued in the country where the Contractor has its registered office or place of residence, they should be substituted with a written statement, indicating also legal representatives of the Contractor, prepared before a notary public, a competent judicial or administrative authority or a professional or business association authority, respectively in the country of origin of the person or the country where the Contractor has the registered office or place of residence. 3. To confirm that the subject matter of the contract meets the requirements determined by the Contracting Authority, the Contractor should enclose with its tender bid the following documents: 1) Technical documentation from the manufacturer of the offered equipment (original catalogue) and manufacturer's documentation confirming that the technical parameters declared in Enclosure No. 2 to the Terms of References are met. Print-outs from websites are allowed. 2) Service authorization document issued by the equipment manufacturer or written declaration of the manufacturer that equipment will be serviced by the manufacturer VII. FORMAL REQUIREMENTS FOR SUBMITTED DOCUMENTS 1. All documents shall be submitted as originals or copies certified to be true copies by persons authorised to represent the Contractor. 2. Should a copy submitted by the Contractor be illegible or should it raise any doubts as to its authenticity, the Contracting Authority may request that either the original or a copy certified by a notary public to be a true copy be presented. 4 3. All documents drawn up in a foreign language must be submitted along with their Polish translation (except for documents drawn up in English). The Contracting Authority will accept bids in English 4. If the Contractor is represented by a proxy, a relevant Power of Attorney must be attached to the tender bid, defining the scope of powers, and the Power of Attorney must be signed by persons authorized to represent the Contractor. If a copy of the Power of Attorney is attached, its conformity with the original must be confirmed by the person who granted the power of attorney with the phrase "certified to be a true copy." 5. In the event a bid is submitted by a civil law partnership, documents referred to in Chapter VI, section 1 item 1.1 as well as section 2 items 2.1-2.7 should apply to each of the partners of the partnership 6. The Contractors forming a consortium applying for the award jointly shall appoint an attorney to represent them in the proceedings or represent them in the proceedings and conclude a public procurement contract. The power of attorney must be attached to the bid. If the Contracting Authority selects the bid made by the consortium, the Contractors forming the consortium will be required, before signing the procurement contract at the latest, to submit a consortium agreement. The documents referred to in Chapter VI, section 2 shall be submitted by the consortium members separately. The declaration referred to in Chapter VI. section 1 item 1.1, and evidence of knowledge and experience, and the availability of appropriate technical potential and personnel capable of performing the contract and supporting the economic and financial situation to enable execution of the contract shall be assessed jointly. VIII. INFORMATION ON COMMUNICATION BETWEEN THE CONTRACTING AUTHORITY AND THE CONTRACTORS AND TRANSFER OF DECLARATIONS AND DOCUMENTS, AS WELL AS A LIST OF PERSONS AUTHORIZED TO COMMUNICATE WITH THE CONTRACTORS 1. Pursuant to Article 27 of the PPA, any statements, applications, notifications and information between the Contracting Authority and the Contractors shall be exchanged in writing to the address of the Contracting Authority: Międzynarodowy Instytut Biologii Molekularnej i Komórkowej, ul. Except for the restriction stipulated in Chapter VIII section 3 of the Terms of Reference, the Contracting Authority allows for communication with the Contractors by fax number +48 225970715, or email to the address: [email protected] 3. A written form is restricted for submission of a bid and enclosures, including declarations and documents confirming the Contractor meets the requirements to participate in the proceedings, and declarations and documents confirming that a bid is compliant with the requirements established by the Contracting Authority, as well as amendment or cancellation of a bid. 4. Any statements, motions, notifications and information sent by fax or e-mail shall be confirmed, on request of the other party, immediately upon receipt thereof and the time and date of its delivery shall be indicated. 5. The Contracting Authority does not foresee any advice, answers or explanations be given orally or by phone in reply to questions which require written procedure. 6. The Contracting Authority accepts any letters concerning the procedure during its working hours, i.e. from Monday to Friday, 9.00 am to 5.00 pm. 7. Persons authorized to communicate with the Contractors: Ms. Małgorzata Wiweger, Ms. Anna Brzezińska 5 IX. TENDER BOND REQUIREMENTS The Contracting Authority do not require tender bond. X. TIME LIMIT FOR BEING BOUND BY THE TENDER BID: 1. The Contractor shall be bound by the tender bid for a period of 30 days, starting from the day when the bid submission deadline expires. 2. The Contractor may on its own, or at request of the Contracting Authority, extend the time limit for being bound by the tender bid, however the Contracting Authority may only once ask the Contractor to agree to extend that time limit by a set period of time not longer than 60 days, at least 3 days before the expiry of the time limit for being bound by the tender bid. XI. HOW TO PREPARE A TENDER BID: 1. The contents of the submitted tender bid must conform to these Terms of Reference. The Contractor has the right to submit only one tender bid for the subject matter of the contract. 2. To be valid, the tender bid must be submitted in writing, in the Polish language. However; the Contracting Authority allows the tender bid and/or other documents to be submitted in the English language. 3. No electronic tender bids are allowed 4. The tender bid form and all required forms, statements and other enclosed documents must be signed by the persons authorized to represent the Contractor in business transactions, in accordance with registration documents and statutory requirements. 5. If the bid and the appendices thereto are signed by a representative of the Contractor acting under a power of attorney, the relevant power of attorney document should be enclosed. The power of attorney must contain a clause authorizing its holder to represent the Contractor in the tender procedure, or to both represent the Contractor in the tender procedure and enter into the contract. 6. Any amendments or changes to the contents of the tender bid must be signed by persons authorized to represent the Contractor. 7. The Contractor may stipulate that any part of the tender bid which contains business secrets in the meaning of the regulations on counteracting unfair competition shall be kept confidential. 8. It is recommended that the confidential part of the tender bid be placed in a separate envelope marked as "Informacje zastrzeżone jako tajemnica przedsiębiorstwa" ("Confidential information representing business secrets"). 9. All the documents representing the tender bid shall be firmly bound/stapled together. 10. The bid shall be submitted in a non-transparent, closed envelope, which should be addressed to the Contracting Authority and marked as follows: Międzynarodowy Instytut Biologii Molekularnej i Komórkowej w Warszawie ul. The envelope should bear the name and address of the Contractor. 12. The Contractor may amend or withdraw its tender bid, provided it does so before the bid submission deadline. Both an amendment to, and withdrawal of, the tender bid must be supported by a statement in writing. Any changes in the contents of the bid accompanied by a supporting statement of changes having been made should be prepared, enveloped and addressed in the same manner as the tender bid and designated with the word "ZMIANA [amendment]". 13. A written statement of withdrawal of the tender bid should be enveloped and addressed in the same manner as the tender bid and designated with the word "WYCOFANIE [withdrawal]". XII. PLACE AND DATE OF TENDER BID SUBMISSION AND OPENING OF TENDER BIDS 1. Tender bids shall be submitted at the registered office of the Contracting Authority (Building D, room 004). 2. The bid submission deadline shall expire on October 9, 2013 at 12:00 pm. 3. Bids received by the Contracting Authority after the deadline shall be returned to the bidders unopened, after the expiry of the time limit for lodging a protest. 4. The tender bids shall be opened during a meeting on October 9, 2013 at 12:30 pm, at the registered office of the Contracting Authority, room 003. 5. The bid opening session shall be open to the public. 6. Directly before the opening of the bids, the Contracting Authority shall announce the amount of money at its disposal to finance the contract. 7. During the bid opening session, the names and addresses of Contractors shall be read out, along with the information concerning the price, time limit for the completion of the contract, warranty period and terms of payment included in the tender bids. All these data shall be immediately recorded in the minutes of the tender procedure. 8. The information, referred to under item 7, shall be sent to Contractors that were absent from the bid opening session, upon their request in writing. XIII. DESCRIPTION OF TENDER PRICE CALCULATION METHOD 1. The Contractor has an obligation to calculate the price for all the requirements of the Contracting Authority specified in the Terms of Reference. 2. The price quoted in the tender bid must fully cover all the costs related to execution of the contract. 3. The tender bid must provide the net price and the gross price for the contract, as well as the amount of VAT. The Contractors that are not VAT payers shall only provide the net price. 4. The prices quoted in the form should be expressed in PLN (“Polish złoty”) and calculated with an accuracy of two decimal places (“grosz”), in accordance with paragraph 5 section 7 of the Minister of Finance Regulation of December 11, 2012, that has changed the regulation on tax return to some tax payers (Journal of Laws No 0, item 1428). The bid price shall be rounded to full grosz, with the provision that endings below 0,5 grosz shall be omitted and endings equal or higher than 0,5 grosz shall be rounded up to one grosz. 7 5. Any settlements between the Contracting Authority and the Contractor shall be made in PLN. 6. For Contractors with the registered office, permanent operations facility or permanent residence outside the territory of the Republic of Poland, the Contracting Authority shall increase the tender net price by adding to it the amount of VAT applicable under Polish tax regulations and, if applicable, customs duties, for the sole purpose of bid comparison and assessment. The agreement shall be signed using the net price, and VAT will be paid by the Contracting Authority. 7. The ordered equipment shall be imposed with 23% VAT rate. If the Contractor uses a different VAT rate, the Contractor must enclose a document proving that the equipment is eligible for a different tax rate (the basis for different tax rate, regulations, individual interpretations), as well as a detailed list of net prices, gross prices, VAT rates for individual pieces of equipment. XIV. BID ASSESSMENT CRITERIA 1. The Contracting Authority shall select the best tender bid, not subject to rejection, of the lowest gross price, which shall consequently obtain the biggest number of points. 2. INFORMATION ON FORMALITIES TO BE COMPLETED AFTER THE SELECTION OF THE WINNING BID IN ORDER TO EXECUTE A CONTRACT UNDER PUBLIC PROCUREMENT PROCEDURE 1. Immediately upon selection of the best tender bid, the Contracting Authority shall notify the Contractors who submitted their bids of: a) the selection of the best bid, providing the name (business name) or first name and surname, registered office or place of residence of the selected Contractor, along with the justification of the selection made, as well as the company names or first name and surname, registered offices or place of residence of the Contractors who submitted their bids, along with the number of points awarded to each bid on each criterion and the total number of points awarded; b) the Contractors whose tender bids have been rejected, providing factual and legal justification thereof; c) the Contractors who have been excluded from the tender procedure, providing factual and legal justification thereof; d) the deadline after which the public procurement agreement may be concluded. 2. An agreement with the selected Contractor shall be signed within not less than 10 days from the date of the notification of the bid selection, and no later than before the expiry of the period of being bound by the bid. 3. Should the Contractor whose bid was selected evade to enter into a contract under public procurement proceedings or fail to provide the performance bond, if required, the Contracting Authority may select the best bid from the remaining bids, unless there are circumstances mentioned in Article 93 section 1 of the Act. XVI.MATERIAL PROVISIONS OF THE CONTRACT 1. Material provisions of the contract are provided in the draft agreement which is represented by Enclosure 7 to the Terms of Reference. 2. Pursuant to Article 144 section 1 of the PPA the Contracting Authority allows the possibility to make changes to the contents of the agreement with regard to the contents of the tender bid, which provided the basis for the selection of the Contractor, in the case of: a) changes in the regulations of public law to the extent that would affect the execution of the contract – the contents of the agreement will be adjusted to the new regulations b) an act of God being a force majeure event preventing timely performance under the contract - the contract completion deadline may be amended, accordingly (following agreement between the parties); c) withdrawal from sales or unavailability of the offered model – the equipment may be replaced by equivalent equipment with parameters not worse than those provided by the Terms of Reference XVII. INFORMATION ON LEGAL PROTECTION MEASURES AVAILABLE TO THE CONTRACTOR IN THE COURSE OF THE TENDER AWARD PROCEDURE The Contractors whose legal interest in being awarded the contract has been compromised as a result of the breach by the Contracting Authority of the provisions of the Public Procurement Act of 29 January 2004 (as amended on 7 April 2006) shall have the right to appeal, as provided for in the aforementioned Act. XVIII. OTHER PROVISIONS 9 In matters not regulated in these Terms of Reference, the applicable regulations shall be those of the Public Procurement Act and the Civil Code XIX. The subject matter of the contract shall cover the delivery and installation of the system and also include user training with regard to operation of the whole equipment. The Contractor shall deliver new equipment, free from any faults, based on latest technological concepts of the manufacturer, together with new, original components, in accordance with the Contractor’s submitted bid and the norms being in force in Poland. The detailed description of the subject matter of the Agreement has been provided in the Terms of Reference (SIWZ) and in the Contractor's Bid of …………………., both of which represent an integral part of this Agreement. Under the contract, the Contractor shall: a) deliver the equipment to the final location on the premises of the Contracting Authority b) prepare the equipment to be ready for operation, c) perform a comprehensive user training course at a date agreed between the Parties 27 Enclosure No 7 to the Terms of Reference §3 Value of the contract 1. The Contractor shall execute the contract until November 30, 2013 The Contractor shall deliver the equipment to the final location on the premises of the Contracting Authority, at. Ul. Ks. Trojdena 4, Warsaw, Poland, at its own expense and effort. At least one day before scheduled delivery, the Contractor shall notify the Contracting Authority about the exact date of delivery of the system for zebrafish of behavioural analysis. The delivered equipment must be in appropriate transport packages to protect it against damage during transport to the destination place. The Contractor, along with the delivered equipment, shall deliver a signed warranty card or other warranty documents. The delivery shall be completed with a certificate of acceptance, signed by both Parties. §5 Responsible persons 1. The contractor shall issue an invoice after the equipment delivery being confirmed by the certificate of completion. 2. The amount due shall be paid within 30 days by a wire transfer to the Contractor's bank account indicated on the invoice 3. The payment date will be the debit date from the Contracting Authority’s bank account §7 Warranty and service terms 1. The Contractor shall provide ……. warranty on the delivered equipment, in accordance with the submitted tender bid, which constitutes an integral part of the agreement. 2. The Contractor shall deliver to the Contracting Authority a warranty book, to record all the warranty and post-warranty service works. 3. Warranty covers: declared technical parameters, original accessories, the use of correct 28 Enclosure No 7 to the Terms of Reference and defect-free materials, solid design matching the intended purpose, and correct operation of the equipment. 4. The equipment will be serviced by the authorized representative or directly by the manufacturer. 5. During the warranty period, the Contractor shall have an obligation to repair defects and replace defective parts at its own expense, in accordance with the submitted tender bid, being an integral part of the agreement, on the following conditions: a) Service response from notification by fax, phone or e-mail – until 5 p.m. the next working day b) On-site service visit within 5 working days c) In case of failure that prevents usage of the system for 14 days or longer, the warranty period will automatically extend by the period of breakdown d) Should it be necessary to carry out the repair of the equipment or its components at an off-site by manufacturers or service facilities, transport fees shall be paid by the Contractor. e) In case a component breaks down for the third time during warranty period, it will be replaced by brand-new component. f) Any faults and defects will be reported to the Contractor’s fax number ……………… or e-mail………………………………… and such notification will be confirmed to the Contracting Authority’s fax number +48 22 59 70 715 or e-mail address [email protected] g) Should the Contractor's address or telephone number be changed, the Contractor shall notify the Contracting Authority seven days prior to the change, otherwise any defect notifications shall be deemed effectively given. §8 Contractual Penalties 1. Contractual penalties for the delay in timely contract performance. a) Should there be a delay in timely performance hereunder, the Contractor shall pay to the Contracting Authority a contractual penalty of 0.2% of the gross value of the undelivered equipment for each day of the delay, however, this shall not be more than 10% of the value of the t subject matter hereof. 2. Contractual penalties for non-performance or inadequate performance under the contract a) For a delay in timely performance under the terms of warranty or any other provisions hereof, the Contracting Authority shall be entitled to calculate on each occasion a contractual penalty to be paid by the Contractor at the rate of 0.2% of gross contract value for each day of the delay, however, this shall not be not more than 10% of the value of the subject matter hereof. The equipment down-time shall be determined on the basis of the date of a written notification and the date of signature of a repair completion certificate. b) Should a loss, incurred due to a delay in timely performance under the warranty or any other provisions stipulated herein, exceed the agreed contractual penalty, the Contracting Authority shall have the right to claim supplementary damages under generally applicable terms, c) For withdrawal from the contract for reasons attributable to the Contracting Authority, the Contracting Authority shall pay a contractual penalty of 10 % of the contract value. d) For withdrawal from the contract for reasons attributable to the Contractor, the Contractor shall pay a contractual penalty of 10% of the contract value. 3. Contractual penalties may be deducted from the Contractor's remuneration against an 29 Enclosure No 7 to the Terms of Reference accounting note made out by the Contracting Authority. §9 Changes to the Agreement 1. Pursuant to Article 144 section 1 of the PPA, the Contracting Authority allows the possibility to make changes to the contents of the agreement with regard to the contents of the tender bid, which provided the basis for the selection of the Contractor, in the case of: a) changes in the regulations of public law to the extent that would affect the execution of the contract – the contents of the agreement will be adjusted to the new regulations b) an act of God being a force majeure event preventing timely performance under the contract - the contract completion deadline may be amended, accordingly (following agreement between the parties); c) withdrawal from sales or unavailability of the offered model – the equipment may be replaced by equivalent equipment with parameters not worse than those provided by the Terms of Reference 2. Any changes to the Agreement require written form, otherwise will be null and void § 10 Withdrawal from the contract 1. The Contracting Authority may withdraw from the contract without penalty in the event of a material change of circumstances causing the performance under the contract to be no longer in the public interest, which could not have been foreseen at the time of the execution hereof (pursuant to Article 145 of the Public Procurement Act). The Contracting Authority shall notify the Contractor of such circumstances in writing within 30 days from becoming aware of the aforementioned circumstances. § 11 In matters not regulated expressly herein, the applicable laws shall be the provisions of the Civil Code and the Public Procurement Act. § 12 Any disputes arising hereunder shall be resolved by a Common Court with jurisdiction by reason of domicile of the Contracting Authority. § 13 This Agreement has been made in two identical copies - one for the Contracting Authority and one for the Contractor.
