Wiêkszoœæ prac zosta³a zakoñczona w maju 2000 roku – wypracowane zosta³y ujednolicone procedury analizy wniosku kredytowego, dokonano harmonizacji produktów obu banków, wypracowano zasady sprzeda¿y przez oddzia³y BPH kredytów Banku Hipotecznego. Bank Hipoteczny przeszkoli³ w tym zakresie pracowników wytypowanych do wspó³pracy w pierwszym etapie 9 oddzia³ów BPH SA (w Warszawie, Krakowie, £odzi, Katowicach, Poznaniu, Gdyni, Szczecinie, Wroc³awiu oraz Bielsku-Bia³ej). Przeprowadzony zosta³ praktyczny test wspó³pracy w wybranych oddzia³ach BPH i Centrali Banku Hipotecznego. Niestety, przyjête w BPH na rok 2000 plany i zadania poszczególnych oddzia³ów oraz obowi¹zuj¹cy system ocen efektywnoœci i premiowania poszczególnych oddzia³ów nie przewidywa³y prowadzenia przez nie akwizycji na rzecz Banku Hipotecznego. Dopiero w paŸdzierniku 2000 roku zosta³y ostatecznie uzgodnione zasady rozliczenia pomiêdzy Bankiem Przemys³owo-Handlowym SA a HypoVereinsbank Bankiem Hipotecznym SA z tytu³u prowadzonej na rzecz Banku Hipotecznego akwizycji. PROGRAM DZIAŁALNOŚCI 10 Za³o¿enia Programu dzia³alnoœci jak równie¿ zasady jego realizacji, produkt i procedury Banku Hipotecznego wypracowane zosta³y pierwotnie we wspó³pracy pomiêdzy naszym Bankiem a ówczesnym jedynym jego akcjonariuszem HypoVereinsbank AG z Monachium. Przejêcie Banku przez Bank Przemys³owo-Handlowy SA oraz zmiana podleg³oœci kompetencyjnej w koncernie HypoVereinsbank AG skutkowa³y koniecznoœci¹ dokonania przez Bank ponownych uzgodnieñ z Bankiem Przemys³owo-Handlowym SA. Sygnalizowane powy¿ej dzia³ania o charakterze organizacyjno-proceduralnym wymusi³y korektê tempa realizacji Programu dzia³alnoœci. Innym za³o¿eniem Programu dzia³alnoœci (ujêtym jeszcze m.in. w porozumieniu pomiêdzy przedstawicielami HYPO-BANK POLSKA S.A., Banku Przemys³owo-Handlowego SA oraz HypoVereinsbank AG z Monachium w kwietniu 1999 r.) by³a zasada bezwzglêdnego przekazywania do Banku Hipotecznego wszystkich kredytów – zarówno komercyjnych jak i detalicznych – spe³niaj¹cych wymogi ustawy o listach zastawnych i bankach hipotecznych, nale¿¹cych do portfela Banku Przemys³owo-Handlowego SA oraz HypoVereinsbank AG. KREDYTY KOMERCYJNE – NA FINANSOWANIE NIERUCHOMOŚCI PRZEZNACZONYCH DO PROWADZENIA DZIAŁALNOŚCI GOSPODARCZEJ W roku 2000 Bank Hipoteczny przeprowadzi³ analizê kilkunastu wybranych kredytów komercyjnych, nale¿¹cych do portfela kredytowego Banku Przemys³owo-Handlowego SA oraz HypoVereinsbank AG jak równie¿ rozpocz¹³ analizê nowych wniosków kredytowych. W tym czasie Zarz¹d Banku Hipotecznego zakwalifikowa³ wstêpnie do przejêcia b¹dŸ uruchomienia 7 kredytów komercyjnych o ³¹cznej wartoœci ponad 150 mln z³otych. W wyniku niezwykle trudnej sytuacji w s¹dach wieczysto-ksiêgowych tylko w jednym z tych przypadków ca³¹ procedurê uda³o siê zakoñczyæ przed koñcem roku. DETALICZNE KREDYTY HIPOTECZNE – NA FINANSOWANIE INWESTYCJI MIESZKANIOWYCH OSÓB FIZYCZNYCH Rozpoczêcie przez Bank dzia³alnoœci kredytowej w tym sektorze klientów by³o mo¿liwe w praktyce dopiero po podjêciu przez Komisjê Nadzoru Bankowego decyzji, przekazanej bankom hipotecznym pismem z 2 maja 2000 roku, umo¿liwiaj¹cej dokonywanie przez banki hipoteczne wyp³aty kredytu przed dokonaniem wpisu do ksiêgi wieczystej. Wymaga³o to jednak wprowadzenia przez Bank wymogu dodatkowego przejœciowego zabezpieczenia udzielanych kredytów do momentu uprawomocnienia siê wpisu ustanawiaj¹cego hipotekê na nieruchomoœci stanowi¹cej wymagane przez bank zabezpieczenie kredytu. Odpowiedni¹ umowê ubezpieczenia kredytów hipotecznych w okresie pomostowym Bank podpisa³ z Towarzystwem Ubezpieczeniowym EUROPA SA we wrzeœniu 2000 roku. Interesuj¹ce efekty przynios³a podjêta przez Bank Hipoteczny w³asna bezpoœrednia akwizycja klientów w siedzibie Centrali Banku, poprzedzona rozpoczêt¹ w lipcu 2000 roku promocj¹ kredytu hipotecznego adresowan¹ do potencjalnych klientów z regionu warszawskiego. Podaj¹c powy¿sze liczby, nie oddaj¹ce oczywiœcie ani poziomu potecjalnego zainteresowania produktem Banku Hipotecznego, ani te¿ mo¿liwoœci Banku, chcemy podkreœliæ relacje pomiêdzy liczb¹ klientów zainteresowanych ofert¹ Banku a tymi, którzy zdecydowali siê na wizytê w Banku (jedna osoba na dziewiêæ), na fakt, ¿e prawie co trzecia wizyta w banku finalizowana by³a z³o¿eniem formalnego wniosku o kredyt. S¹ to relacje dotychczas nieosi¹galne dla ¿adnego z banków uniwersalnych, oferuj¹cych hipoteczne kredyty mieszkaniowe. He graduated from the Faculty of Fine Mechanics of the Warsaw University of Technology in 1983 as an automatics engineer. He also completed: Post-graduate Studies of Bilateral International Relations at the Academy of Social Sciences (1988 89), Post-graduate Studies of Functioning of National Economy, Money and Banking on the Faculty of Economical Sciences of the Warsaw University (1992-1993). In 1997 he passed an examination for the applicants of supervisory board members in companies of the State Treasury. Since July 1999, he is a Member of the Presidium of the Committee for Real Estates Financing at the Polish Bank Association and since June 2000 he is a Member of the Program Board of the Foundation for the Mortgage Credit. He completed bank trainings in Germany: 1991 - Bausparkasse Schwäbisch Hall AG in Schwäbisch Hall, 1999 - Bayerische Hypo-und Vereinsbank AG in Munich, 1999 - Westfalische Hypothekenbank AG in Dortmund. In the mortgage bank business he has held various managerial positions at the field of real estate financing and the public loan sector. In 1995 he was put in charge to establish a new mortgage bank of the HypoVereinsbank Group in Czech Republic. In 1998 he was appointed Internal Member of the Management Board of the newly established mortgage bank in Hungary and today he is the President of the Supervisory Board of this bank. In October 1998 he became Member of the Management Board of former HYPO-BANK POLSKA S.A. Since June 2000 he is the Vice-President of the Management Board of HypoVereinsbank Bank Hipoteczny SA. HELMUT FISCHER MEMBER OF THE MANAGEMENT BOARD, AGED 41 He began his professional career in 1975 in HYPO-BANK Germany. In 1983 he started working at the field of real estate finance at the Head Office in Munich followed by six years in the regional real estate unit in Augsburg. His international experience started in 1993 as an account officer in New York where HYPO-BANK centralized all activities in the United States. In 1997 he joined the risk analysis team of SKWB (Schöller Bank Saltzburger Kredit- und Wechselbank) in Vienna and starting 1998 he was put in charge of the new established real estate division in Poland and became a member of the Management Committee of HypoVereinsbank Group in Poland. After the takeover of the shares of the Bank BPH by the HypoVereinsbank AG he was appointed Head of Real Estate Division in 1999 and in June 2000 he was nominated as Member of the Management Board of HypoVereinsbank Bank Hipoteczny. In the Mortgage Bank he is responsible for commercial real estate finance. 39 BOGDAN NAWROCKI MEMBER OF THE MANAGEMENT BOARD, AGED 40 He started his professional career in 1987 in New York where he was employed for 6 years in two institutions acting on the developer’s market. In the years 1993-1996 he started work in the Ministry of Finance in the Department of Bank System and Financial Institutions where he was responsible for the co-operation with foreign banks and for contacts with OECD taking part in negotiations on the entry of Poland to OECD. In the years 1996-1999 he worked in Bank Przemys³owo-Handlowy SA as a Deputy Director of the Commercial Customers Department and a Deputy Director of the Sales Department and he was responsible for the Warsaw market and organising a Business Development and Marketing Team in Warsaw. Since May 1999 he’s been a Board member of HypoVereinsbank Bank Hipoteczny SA and has been responsible for the Treasury Department and currently also for Retail Credit Departments. Within the Management Board works he is responsible for the passive activity of the bank, especially for the preparation and realization of the mortgage bonds issue. 40 Report of the Board on the activities of the Bank in the reporting period from January 1st, 2000 to December 31st, 2000 41 The year 2000 was the first year of the operational activity of HypoVereinsbank Bank Hipoteczny SA created as a result of the transformation of the universal bank HYPO-BANK POLSKA S.A. functioning in Poland since 1995. The Bank Supervision Committee issued the consent for the transformation on December 1st, 1999 (Resolution No 244/KNB/99), but the registration of proper changes in the Bank Statute by the District Court permitting the beginning of operational activity took place only on January 24th, 2000. The next event that took place at the end of 1999 but had a deciding influence on the activity and scope of the Bank’s work in the year 2000 was the change of the Bank shareholder. Verification of certain assumptions and rules concerning the functioning of HypoVereinsbank Bank Hipoteczny SA, especially in the area of financing real estate for retail clients taking into account the solutions used by the new shareholder – Bank Przemys³owo-Handlowy SA in Cracow proved indispensable. The Integration Project being realised in Bank Przemys³owo-Handlowy SA and the process of the organisational structure division carried out in the HypoVereinsbank AG consortium overlapped the assumptions conducted in this scope. Changes of the competency subordination in the HypoVereinsbank AG consortium, being then the shareholder of Bank Przemys³owo-Handlowy SA also resulted in changes of the organisational structure and personal changes of its organs in HypoVereinsbank Bank Hipoteczny SA. In an obvious way, the Activity Program realisation schedule accepted earlier for the needs of the licensing process had to be corrected. In practice, only in the second half of the year 2000, the Bank could focus on building the credit portfolio and preparations to carry out the first issue of the mortgage bonds. The extremely difficult situation in the Land and Mortgage - Accounting Courts making efficient entries into the land and mortgage registers impossible was an external factor decidedly influencing the effects of the Bank’s credit activities. So in the turnover year 2000 the Bank first of all faced further structural and organisational transformations, participation in the Integration Process realised by the only shareholder and negotiating co-operation rules within obtaining retail clients for HypoVereinsbank Bank Hipoteczny SA by Bank Przemys³owo-Handlowy SA. STRUCTURAL TRANSFORMATIONS AND ORGANISATIONAL ACTIVITIES OF THE BANK The change of the Bank shareholder and the competency subordination in the HypoVereinsbank AG consortium resulted in alterations of the organisational structure and changes in the personal composition of its organs. In the year 2000, the General Assembly of Shareholders made far going changes in the composition of the Supervisory Board, also covering its President. 42 The personal changes in the Bank Board and the new division of competencies of particular Board Members was correlated with the organisational and structural changes resulting from the settlements and recommendations worked out in the Integration Project realised in the BPH Group. Decisions on the new division of competencies of the Board Members, appointing the new President of the Bank Management Board and approving the new organisational structure of the Bank have been taken by the Supervisory Board in September 2000. Consultations carried out with the General Inspectorate of Bank Supervision (GINB) also influenced the final decisions on the Bank organisational structure. The initially accepted by the Integration Project conception of creating the Mortgage Credit Servicing Centre in Bank Hipoteczny, common for both banks – HypoVereinsbank Bank Hipoteczny SA and Bank Przemys³owo-Handlowy SA, was questioned by the General Inspectorate of Bank Supervision. GINB and the Trustee of Bank Hipoteczny also did not approve the conception of mutual localisation of organisational units of both banks dealing in retail credit servicing near the BPH Head office in Cracow. In the face of the prolonged negotiations with Bank Przemys³owo-Handlowy SA relating to the Bank Hipoteczny retail client servicing by the network of the BPH branches, the Bank Board took the decision on starting its own, direct commission sale in the Bank seat. Realisation of the Integration and Division Process in the BPH Group also consisted in searching for savings and synergy effects, both in the field of office area usage, as well as personnel employment in all subjects belonging to the Group. For HypoVereinsbank Bank Hipoteczny SA it resulted in a delay in employing workers, especially those of the credit and property experts’ levels. Prolongation of the lease agreement with the firm AKTYN Sp. z o.o. for the next five years for the office areas occupied until now by the Bank took place in June 2000. The return of a group of specialists dealing with commercial credits, former employees of HYPO-BANK POLSKA S.A., who together with the credits and clients of the contemporary universal bank serviced by them were in October 1998 transferred to Vereinsbank Polska S.A. and in November 1999 included in Bank Przemys³owo-Handlowy SA on September 1st, 2000 was a fundamental, positive event for the Bank. On one hand, that return let the recovery of contacts with its former clients by the Bank, on the other let conducting more active commission sale of commercial credits. After a penetrating analysis carried out still in 1999 concerning the possibilities of implementing and adapting the valid computer system as a standard solution for the mortgage activities in the HypoVereinsbank AG consortium to the Polish requirements and reporting standards, as well as inter-bank settlements in the HypoVereinsbank AG consortium, in March 2000 the Bank signed an agreement with the firm COMP Rzeszów S.A. for the purchase of the complex computer science system for mortgage banks – CHEOPS – offered by that firm. Implementation of the new computer science system required a partial exchange of the bank computer equipment, installation and configuration of the new system, checking its parameters and testing. Operational implementation of the CHEOPS system took place in November 2000. HYPOVEREINSBANK BANK HIPOTECZNY IN THE INTEGRATION PROJECT The HypoVereinsbank Bank Hipoteczny SA conducted talks on co-operation in the area of financing real estate with the new shareholder, on one hand taking into account the know-how of the mortgage bank in that scope, on the other the well developed network of the BPH SA bank offices. The Integration Project confirmed the conception of obtaining new retail clients of Bank Hipoteczny presented in licence documents through the “widely developed network of the Bank Przemys³owo-Handlowy SA branches” and did not anticipate the necessity of creating own offices by Bank Hipoteczny. A series of working groups verifying the previously accepted in Bank Hipoteczny procedures harmonising the Bank Hipoteczny and BPH products, unifying internal regulations of both banks and working out cooperation rules within sales and common client servicing have been established within the Integration project. 43 Most works were finished in May 2000 – uniform procedures of the credit application analysis and credit sales rules of Mortgage Bank products by the BPH branches were worked out, harmonisation of both banks products was realised. In the first phase, Bank Hipoteczny trained employees of chosen for co-operation from 9 BPH SA branches (including those from Warsaw, Cracow, £ódŸ, Katowice, Poznañ, Gdynia, Szczecin, Wroc³aw and Bielsko Bia³a). A practical co-operation test was carried out in selected BPH branches and the Bank Hipoteczny Head Office. Unfortunately, the plans and tasks of particular branches and the valid system of evaluating the efficiency and awarding particular branches accepted in BPH for the year 2000 did not anticipate commission sale by them for the benefit of Bank Hipoteczny. Only in October 2000, the settlement rules between Bank Przemys³owo-Handlowy SA and HypoVereinsbank Bank Hipoteczny SA in virtue of the commission sale conducted for the benefit of Bank Hipoteczny were finally settled. ACTIVITY PROGRAM The Activity Program assumptions, as well as rules of its realisation, the product and procedures of Bank Hipoteczny have been initially worked out in co-operation between our Bank and its contemporary, only shareholder HypoVereinsbank AG from Munich. Taking the Bank over by Bank Przemys³owo-Handlowy and the change of competency subordination in the HypoVereinsbank AG consortium resulted in the necessity of re-settling arrangements with Bank Przemys³owo-Handlowy by the Bank. 44 The activities signalled above of an organisational – procedural character forced the rectification of the Activity Program realisation tempo. The Bank had to focus on building a safe credit portfolio by granting, in the first place, credits for financing real estate assigned for conducting economic activity, the so called commercial credits and then servicing retail clients within financing their housing investments, the so called retail credits and preparing the first issue of mortgage bonds – and that was possible only in the second half of the year 2000. The rule of strict transfer of all credits to Bank Hipoteczny – both commercial, as well as retail ones – fulfilling the requirements of the act on mortgage bonds and mortgage banks, belonging to the portfolio of Bank Przemys³owo-Handlowy SA and HypoVereinsbank AG was another assumption of the Activity Program (included even in, among other things, the settlement between the representatives of HYPO-BANK POLSKA S.A., Bank Przemys³owo-Handlowy SA and HypoVereinsbank AG from Munich in April 1999). C O M M E R C I A L LOANS – F O R T H E F I N A N C I N G O F R E A L E S TAT E A S S I G N E D FOR CONDUCTING ECONOMIC ACTIVITY In the year 2000, Bank Hipoteczny carried out the analysis of several chosen commercial loans belonging to the credit portfolio of Bank Przemys³owoHandlowy SA and HypoVereinsbank AG, as well as the analysis of new credit applications. At that time, the Bank Hipoteczny Board preliminarily qualified 7 commercial loans of the total value amounting to more than 150 million PLN to be taken over or started. As a result of a very difficult situation in the Land and Mortgage-Accounting Courts, only in one case the procedure ended before the end of the year. R E T A I L M O R T G A G E LOANS – F O R T H E F I N A N C I N G O F H O U S I N G I N V E S T M E N T S O F NATURAL P E R S O N S Starting the credit activities by the Bank in this sector of clients was in practice possible only after the Bank Supervision Committee took the decision sent to mortgage banks in the letter dated May 2nd, 2000, enabling the realisation of credit payment by mortgage banks before making the entry in the land and mortgage register. But on the part of the Bank, that required the introduction of a requirement consisting in an additional, temporary security of granted loans to the moment of validation of the entry establishing the mortgage on the real estate constituting the credit security required by the bank. In September 2000, the bank signed a proper agreement concerning securing mortgage loans in the transitional period with the Insurance Company EUROPA S.A. The Bank Hipoteczny own, direct commission sale of clients in the Bank Head Office seat, preceded by the promotion of the mortgage loan addressed to potential clients from the Warsaw region initiated in July 2000 produced interesting effects. In the 5 months of the functioning of that only place servicing the client of HypoVereinsbank Bank Hipoteczny SA, almost 2000 telephone inquiries and 220 direct client visits in the Bank have been serviced, resulting in the submission of 59 formal entries for the loan from Bank Hipoteczny. Subsequent 29 applications not fulfilling the requirements of the act on mortgage bonds and mortgage banks were sent to the BPH branches in Warsaw. Presenting the above numbers, of course not reflecting either the level of potential interest in the Bank Hipoteczny product or the Bank possibilities, we want to underline the relations between the quantity of clients interested in the Bank offer and those who decided to visit the Bank (one person in nine) and bring attention to the fact that almost every third visit in the bank was finalised with submitting a formal credit application. Those relations are so far unattainable by any universal bank offering mortgage housing loans. On one hand they can testify for the quality of the product offered by HypoVereinsbank Bank Hipoteczny SA and the high professionalism of client servicing and on the other of a certain client selfverification resulting from their special way of perception of the Bank Hipoteczny role and position. The procedure of transferring the first lot of individual mortgage loans from Bank Przemys³owo-Handlowy SA was started in the second half of the year. After an initial selection of 143 mortgage credits from the BPH portfolio to be transferred to Bank Hipoteczny and carrying out the analysis of documents and making an initial bank-mortgage evaluation of the real estate constituting their security, 31 credits of a total value amounting to more than 7 million PLN were prepared for the transfer, and so every fifth credit fulfilled the requirements of the act on mortgage bonds and mortgage banks. We are of the opinion that it is difficult to find a better recommendation for the adherents of the idea of specialist mortgage banks as exclusive issuer of mortgage bonds, as well as for the purchasers of mortgage bonds issued by HypoVereinsbank Bank Hipoteczny SA. 45 MORTGAGE BONDS On December 29th, 2000, the last settlement day of the turnover year, HypoVereinsbank Bank Hipoteczny SA conducted the I Issue of the mortgage bonds that constituted the first immaterial issue of bonds in the history of Poland. The first issue of the HypoVereinsbank Bank Hipoteczny SA mortgage bonds was made in the mode of a closed issue. The issue is nominated in EURO, its total value amounts to 3 630 000,- EURO and the nominal value of a single mortgage bond amounts to 10 000,- EURO. The interest on mortgage bonds is calculated according to the fixed percentage rate amounting to 5,95% in the scale of the year. Bank Przemys³owo-Handlowy SA from Cracow became the agent of the I Issue of mortgage bonds issued by HypoVereinsbank Bank Hipoteczny SA. That issue constitutes the first phase of the Issue Program for the years 2000 – 2003 of the total value amounting to 1.000.000.000 PLN approved by the HypoVereinsbank Bank Hipoteczny SA General Assembly. The aim of HypoVereinsbank Bank Hipoteczny SA is to conduct the first public issue of bonds in the year 2001. IDEA OF THE SPECIALIST MORTGAGE BANK IN POLAND 46 The Act on mortgage bonds and mortgage banks has come into force on January 1st, 1998. And so the legal conditions for the efficient functioning of the system of the Polish real estate sector through specialised mortgage banks have been created. Simultaneously, that creates an exceptional and the only chance to contribute a significant contribution by mortgage banks to develop a capital market functioning in Poland through the issue of mortgage bonds as securities of the highest quality and safety level. That chance should be evaluated also in the context of the approaching accession of Poland to the European Communities. On December 1st, 1999, the Bank Supervision Committee took decisions making the taking up of activities by the first two Mortgage Banks in Poland – including HypoVereinsbank Bank Hipoteczny SA possible. In the year 2000, the Bank Supervision Committee issued the licence for the creation of the third mortgage bank. Next licence applications await the decisions. Those facts should end the lasting earlier discussions on the justifiability of creating specialist mortgage banks in Poland. The amendments of some acts regulating the activities of insurance and financial institutions in Poland carried out in the summer of 2000 by the Seym decidedly widen the circle of potential institutional investors in mortage bonds. The lobby activity of HypoVereinsbank Bank Hipoteczny SA for the benefit of the development of mortgage banks in Poland was realised through the engagement in the works of the Foundation for the benefit of the Mortgage Credit and the Union of Polish Banks, participation in seminars and conferences, active contact with Polish parliament members, as well as through discussions in mass media. Y E A R LY B A L A N C E 2 0 0 0 In such a situation, the balance sheet and the profit and loss account prepared for December 31st, 2000 indeed reflect the state for the balance day corresponding to the situation from the last day of the year, but they do not in any way reflect the merits and capital potential the Bank had at its disposal at the end of the year 2000. Summing up and taking the course of the turnover year 2000 into account, one can state that the balance period in practice was exclusively subject to organisational – procedural influences of adapting assumptions and the Bank Activity Program realisation rules in the new ownership arrangement and delayed in time taking up of building the client base, as well as the following factors resulting from that: – revenues of the Bank were almost exclusively constituted by receipts in virtue of interest deriving from depositing the Bank’s own funds in bank deposits and securities; – the costs of the Bank were first of all of a personal character and material costs resulting from the necessity of selecting highly qualified employees, specials training of personnel and investments indispensable for the development and adapting the Bank’s activities to the new role of the mortgage bank, including the purchase of a new, complex computer science system. PROGNOSIS FOR THE YEAR 2001 – PERSPECTIVES FOR HYPOVEREINSBANK BANK HIPOTECZNY SA As a consequence of the Integration and Division Process realised jointly with Bank BPH SA – HypoVereinsbank Bank Hipoteczny SA took up the role of a competency centre of the HypoVereinsbank AG consortium in the sphere of financing real estate in Poland. The aim of HypoVereinsbank Bank Hipoteczny SA is to achieve the position of a leader in financing projects and investments in the field of real estate of an economic assignment in Poland. Financing housing, with particular taking urban centres into consideration also plays an important role in the Bank average period strategy. Numerous contacts entered into by the Bank with potential borrowers in 2000, especially in the sector of commercial clients give the guarantee of a decided improvement of results and position of the Bank on the market of financing real estate in Poland. The initiated process of a merger between Bank Przemys³owo-Handlowy SA and Powszechny Bank Kredytowy SA is perceived by the HypoVereinsbank Bank Hipoteczny SA Management Board as a chance for wider offer access both to the up-to-now clients of both banks, as well as obtainment of new clients through a stronger and more efficient sales network. In 2001, the Bank conducted the first public issue of mortgage bonds. We are convinced that HypoVereinsbank Bank Hipoteczny SA as the permanent issuer of mortgage bonds shall bring a significant contribution into the development of the securities’ market in Poland. 47 The development of mortgage bonds on the Polish capital market shall of course depend on the economic development and the nation’s money policy. Limiting inflation and the general stable economic situation of the nation shall be a decisive factor. Active work of investment and pension funds investing in those securities can also have an influence on the development of the mortgage bonds’ market. Thanks to taking up the operational activity by HypoVereinsbank Bank Hipoteczny SA, Polish, German, as well as international investors gained a competent and strong partner in Poland. The report has been made according to accountancy records of the Bank. Principles of grouping economic operations result from the company’s plan of accounts specified by the bank, adopted to its own needs and terms and conditions. The internal plan of accounts has been worked out based upon principles specified in a sample plan of accounts, implemented regulation No 4/95 of the President of NBP dated February 22nd, 1995 (Official Journal of NBP, No 6, item 11 with later alternations). I ACCOUNTANCY PRINCIPLES 1. Applied principles of the evaluation of assets and liabilities Methods and principles of evaluation of certain elements of assets and liabilities of the Bank are presented in the table No 1. 2. In the year 2000 there were no changes in the principles of accountancy and evaluation.
