Increase in share capital of a subsidiary
Legal basis: Art. 56.1.2 of the Act on Public Offering – current and periodical information
The Management Board of LC Corp S.A. (the Issuer) hereby reports that, pursuant to Art. 5.1.9
of the Regulation of the Minister of Finance dated October 19th 2005 on current and periodical
information disclosed by issuers of securities, LC Corp S.A. was notified today that on January
15th 2008, the District Court for the Capital City of Warsaw, 13th Commercial Division of the
National Court Register, registered a change of the name of the Issuer’s subsidiary Europlan
Projekt III Sp. z o.o., a change of its registered office and an increase in the share capital of the
Issuer’s subsidiary, from PLN 50,000 to PLN 4,500,000 i.e. by a total amount of PLN 4,450,000
(four million four hundred fifty thousand zloty). The new name of Europlan Projekt III Sp. z o.o.
is Warszawa Rezydencja Kaliska Sp. z o.o. and its new seat is in Wrocław.
Following the registration, the share capital of Warszawa Rezydencja Kaliska Sp. z o.o. is PLN
4,500,000 and is divided into 45,000 shares with a par value of PLN 100 per share. Following
the increase, the Issuer now holds 45,000 shares of Warszawa Rezydencja Kaliska Sp. z o.o.,
representing 100% of the Company’s share capital, enabling the holder to exercise 100% (i.e.
45,000) votes at the General Meeting of that Company.
