Public disclosure of the confidential information regarding negotiations

The Management Board of Mediatel S.A., acting based on art. 57 section 3 of the Act dated,

July 29 , 2005, on Public Offering and Trading in Financial Instruments and Public Companies
(Journal of Law 2005, No. 184, pos. 1539) (the Act), publishes confidential information which

was referred to in Current Report No.1/2011/T, dated January 14 , 2011, Current Report No.

3/2011/T, dated February 1 , 2011 and Current Report No. 4/2011/T, dated February 19 ,
2011, the disclosure of which was postponed pursuant to art. 57 section 1 of the Act and § 2
th
section 1 subsection 1 of the Decree of the Minister of Finance, dated April 13 , 2006, regarding
type of information which may violate legitimate interest of the issuer and procedure of the
issuer in connection with the postponement of public disclosure of the confidential information.
With reference to the aforesaid, the Management Board of the Issuer inform that, on January

14 , 2011 they conducted negotiations with Innova Investments LLC with its seat in
Charlestown (West Indies) ("Innova"), regarding participation of Mediatel S.A. in obtaining
financing from the public market for acquisition of a telecommunications company. As a result of
the Innova’s decision on not to make the transaction via the public market, the parties agreed to

finalize negotiations in this project on February 24 .
Accordingly, at the Extraordinary General Meeting which will be held tomorrow, the
Management Board of Mediatel S.A. shall request to withdraw from voting resolutions on the
initial capital increase and also to approve the divestiture of an organized part of the company.
