Dear Sirs,
You are invited to submit your written, bidding offer, without any commitment for us, in
the currency of your manufacturing site based on the enclosed specifications and technical
documents.
Your offer should be worked out according to our specifications. We retain the right to
exclude your offer from consideration upon failure to observe the same.
Due to critical timing reasons for this program we expect your utmost, final and fixed prices
up to completion of all works, including cost for installation ready for operation, excluding
value added tax (VAT).
Provided that supplier shall meet all technical requirements as listed in this RFQ, the sole
basis for selecting supplier shall be price.
Incoterms: Delivery Duty Unpaid – installation/execution site.
In addition to the elaboration of the basic offer content, you’re encouraged to also offer
your own alternatives, which will receive our special and exclusive consideration if they
bear cost, quality or other tangible advantages.
We take it for granted that no agreements concerning pricing or any other conditions of the
offer are made with competitors.
If you possess production facilities abroad (branch offices, affiliates or parent company) we
ask you to take the capacities of these facilities into consideration as well. Where applicable,
we ask you to have such facilities forward an offer to us by the indicated deadline.
Your offer shall be subject to an option period of 90 days.

The invoice will be paid 100 % on the 2 day of the 2 month, following receipt date/final
acceptance.
Payment will be net (including VAT if necessary).
Delivery date/completion date: as defined in the specifications
Deadline for submission of the offer: November 8th, 2014
We reserve the right to exclude from consideration any offers that are received later than
the above mentioned time as well as offers that are corrected after-the-fact without having
to specify our reasons for such exclusion.

BASIS FOR ELABORATION OF THE OFFER

General Terms and Conditions (as attached to the inquiry-package submitted together
with this Inquiry-Letter).

Complete data specified in the inquiry-package submitted together with this Inquiry-Letter.

RIGHT TO AUDIT CLAUSE
Seller shall grant to Buyer the right to audit and inspect at Seller's premises all documents
directly or indirectly related to the business of the parties and grant access to his records
and books to verify the correctness of the charges invoiced and their compliance with the
contractual agreements. Seller shall comply with these obligations at all times during
regular business hours. Seller shall guarantee that his subcontractors shall grant for "time
and material" type contracts to Buyer the same right to audit their records and books at
their premises.

PENALTY CLAUSE
Seller is liable - without prejudice to Buyer’s right to claim for damages in an unlimited
amount - to pay a penalty of 0,5 % of the amount of the contract for every commenced
week of late fulfillment, particularly delivery, commissioning completion of readiness for
operation according to the agreed and guaranteed figures, up to the maximum rate of 5 %
of the amount of the contract. Buyer reserves the right to claim the penalty for breach of
the contract until the final invoice has been settled.

SUB-CONTRACTOR INVOLVEMENT
If Seller intends to pass on portions of this inquiry or the complete scope to (a) subcontractor(s) Seller is obliged to name the sub-contractor(s) within the offer. Buyer reserves
the right to assess (the) nominated sub-contractor(s) and reject any without appropriate
qualifications. In case of an order placement this applies during the execution, as well.

ASTE DEPOSIT LIABILITY
With the execution of any order it is Seller’s liability to only store, transport or
recycle material, equipment, machinery etc. which has to be disassembled or assembled, if
Seller doesn’t expect any environmental damages.
Precaution measures (e.g. availability of containers, canvas
covers, etc.) are to
be taken by the Seller in time and to the necessary degree independently whether these
are contractually Seller’s or Buyer’s obligation.
In case Buyer would notice any improper waste deposit that Seller is responsible for, Buyer
will immediately secure it in containers at Seller’s costs.

RECYCLING LIABILITY
All residual material and packaging of any kind as well as dirt, rubbish, waste, empty paint
boxes etc. have to be removed/recycled by the Seller outside of Buyer’s premises.
Deliveries to the Buyer’s Scrap-Station or Waste-collecting-centers are principally forbidden.
In case Seller doesn’t comply with this instruction, the Buyer is entitled to engage a third
party to rectify this omission at Seller’s cost.

NO SILICON
Seller and it’s Sub-Contractor(s) guarantee the usage of silicon-free material by signing the
offer. This guarantee also applies for trade parts and deliveries.

CONFIDENTIALITY
Seller is obligated - even after termination of any business relation with the Buyer - to treat
any of Buyer’s inquiries and purchase orders, and all documents, facts and circumstances
pertaining to same with the strictest confidence and will obligate Seller’s suppliers
accordingly.

BUYER’S EMPLOYEES
In case of an order placement Seller is not allowed to employ Buyer’s employees for order
realization.

US EXPORT COMPLIANCE
The full adherence to and acceptance of the US Export Compliance Regulations (latest
revision) is confirmed.

MODIFICATIONS
Any change of the contract content (either in scope or price) requires a written
confirmation of Buyer’s purchasing department in advance. Seller is obliged to adhere to
Buyer’s change management process. Any service or delivery not authorized in such
manner will be rejected.

In case Seller uses alternative components or material of higher value without an order- /
contract amendment, only the amount originally accepted by the Buyer shall be invoiced.
