POSTANOWIENIA OGÓLNE
a) Każdy oferent może złożyć tylko jedną ofertę.
b) Oferta jest składana na piśmie w języku polskim,
angielskim lub niemieckim.
c) Wszystkie strony oferty winny być ponumerowane
i zszyte w sposób uniemożliwiający dekompletacje
zawartości oferty.
d) Oferent ponosi wszelkie koszty związane z
przygotowaniem i złożeniem oferty.
e) W przypadku zaistnienia okoliczności, o których
mowa w pkt. 4 i 5 Postanowień Ogólnych,
Oferentom nie przysługują żadne roszczenia w
stosunku do Inwestora.
2.
GENERAL PROVISIONS
a) Each Bidder may submit only one bid.
b) A bid is submitted in writing, in Polish, English
or German.
c) All bid pages should be numbered and sewn
together in a way that makes it impossible to the
bid contents to be disassembled.
d) The Bidder covers all costs related with the
preparation and submission of the bid.
e) In the case the circumstances mentioned in
points 4 and 5 of the General Provisions arise,
the Bidders have no claims with regard to the
Investor.

OPIS PRZEDMIOTU ZAMÓWIENIA
Przedmiotem zamówienia jest dostawa Maszyny do
produkcji rur kompozytowych z HDPE i PA w zakresie
średnic 75 – 400mm SDR 17 do 7.4, włącznie z
wewnętrznym chłodzeniem rury oraz intensywnym
chłodzeniem masy.

DESCRIPTION OF THE SUBJECT OF THE ORDER
The subject of the order is the delivery - Machine for
the manufacture of composite pipes from HDPE
and PA in the diameter scope of 75 – 400 mm, SDR
17 to 7.4, together with internal pipe cooling and
intensive mass cooling.

a) The request for proposal, along with the
remaining attachments, is drafted in Polish and
English.

OPIS SPOSOBU PRZYGOTOWANIA OFERT ORAZ
ZAŁĄCZNIKÓW
Oferta musi zawierać następujące elementy:
a) Pełne dane identyfikujące oferenta (nazwa, adres.
NIP).
b) Datę przygotowania oraz termin ważności oferty.
c) Zakres i szczegółowy opis oferowanych
usług/produktów w ramach oferty.

DESCRIPTION OF THE BID AND APPENDIX
DRAFTING METHOD
The bid has to include the following elements:
a) Full Bidder identification data (name, address,
NIP (Tax identification number)).
b) The date of preparation and the bid validity
period.
c)
The scope and the detailed description of the
offered services/products included in the bid.
d) Net price. The price should be expressed in units
of money.
In the case of any other prices in foreign
currencies, the Ordering Party calculates these
prices into PLN, in accordance with the National
Bank of Poland average exchange rate as of the
bid submission deadline date.
e) Bid subject performance date/period.
f) Information of the contact person.
g) Signature of the person authorised to submit a
bid.
h) A signed declaration should accompany the bid
and constitute an attachment thereof.
d) Cenę netto. Cenę należy wyrazić w jednostkach
pieniężnych.
W przypadku podania jakichkolwiek kwot w
walutach obcych Inwestor przeliczy te kwoty na
PLN według średniego kursu Narodowego Banku
Polskiego obowiązującego na ostatni dzień
składania ofert.
e) Datę/okres realizacji przedmiotu oferty.
f) Dane osoby do kontaktu.
g) Podpis osoby upoważnionej do wystawienia oferty.
h) Do oferty należy załączyć podpisane oświadczenie
stanowiące załącznik do Zapytania ofertowego.

INFORMACJE DOTYCZĄCE ZAKRESU
WYKLUCZENIA
1. Z przedłożonych ofert wyklucza się:
a) oferentów,
którzy
są
powiązani
z
Zamawiającym osobowo bądź kapitałowo,
b) oferentów,
wobec
których
wszczęto
postępowanie upadłościowe lub których
upadłość ogłoszono,
c) oferentów, którzy pozostawali w sporze
sądowym z Zamawiającym.
2. Przez powiązania kapitałowe lub osobowe, o którym
mowa w pkt 1 lit. a powyżej, rozumie się wzajemne
powiązania między Zamawiającym lub osobami
upoważnionymi do zaciągania zobowiązań w imieniu
Zamawiającego lub osobami wykonującymi w
imieniu Zamawiającego czynności związane z
przygotowaniem i przeprowadzaniem procedury
wyboru Wykonawcy, a Wykonawcą, polegające w
szczególności na:
a) uczestniczeniu w spółce, jako wspólnik spółki
cywilnej lub spółki osobowej,
b) posiadaniu co najmniej 10 % udziałów lub
akcji,
c) pełnieniu funkcji członka organu nadzorczego
lub zarządzającego, prokurenta, pełnomocnika,
d) pozostawaniu w związku małżeńskim, w
stosunku pokrewieństwa lub powinowactwa w
linii prostej, pokrewieństwa drugiego stopnia
lub powinowactwa drugiego stopnia w linii
bocznej lub w stosunku przysposobienia, opieki
lub kurateli.
3. Oferent
jest
zobowiązany
do
podpisania
oświadczenia o braku powiązań z Zamawiającym.
MIEJSCE ORAZ TERMIN SKŁADANIA OFERT
1. Ofertę należy złożyć w terminie do dnia 29.02.2016

2. Oferty złożone po terminie nie będą rozpatrywane i
zostaną zniszczone.
3. Wykonawca może przed upływem terminu składania
ofert zmienić lub wycofać ofertę.
4. W toku badania i oceny ofert Zamawiający może
żądać od Oferentów wyjaśnień dotyczących treści
złożonych ofert.

INFORMATION REGARDING THE EXCLUSION
SCOPE.
1. The following are excluded from the submitted
bids:
a) Bidders affiliated personally or in capital
with the Ordering Party,
b) Bidders
against
whom
bankruptcy
proceedings were initiated or who were
declared bankrupt,
c) Bidders involves in a litigation with the
Ordering Party.
2. The personal or in capital affiliations mentioned
in point 1 letter a above are understood as mutual
affiliation between the Ordering Party and
people authorised to enter obligations on behalf
of the Ordering Party or people performing on
behalf of the Ordering party the actions related
with preparation and carrying out of the
Contractor selection procedure, and the Ordering
Party, particularly:
a) participation in a company, as a civil law
partner or in a partnership,
b) owning at least 10% of shares or stock,
c) acting as a member of a supervision body or
a management body, a proxy or a
representative,
d) remaining in a marriage, in a parentage or
affinity relationship or a direct affinity,
second degree consanguinity or lateral
second degree affinity or in an adoptive
relationship, guardianship or custody.
3. The Bidder is obliged to sign a declaration about
lack of affinity with the Ordering Party.
8.
PLACE AND DEADLINE FOR BID SUBMISSION
1. The bid should be submitted until 29.02.2016
until 04:00 PM UTC+01:00 in: the registered
office of the SPYRA-PRIMO Poland Sp. z
o.o. company in Mikołowo or via e-mail on the
address of: [email protected]
2. Bids submitted after the deadline will not be
considered and will be destroyed.
3. Prior to the bid submission deadline, the
Contractor may change or withdraw his bid.
4. In the course of inspection and evaluation of the
bids, the Ordering Party may require explanation
as to their contents.

Zamawiającego.
WYBÓR OFERTY
1. Wyboru najkorzystniejszej oferty dokonuje się
spośród oferentów, którzy złożyli w przewidzianym
terminie pisemną ofertę.
2. Inwestor przy wyborze oferty kieruje się
następującymi przesłankami:
a) zagwarantowaniem
osiągnięcia
najkorzystniejszego wyniku ekonomicznego,
b) zapewnieniem
poprawności
realizacji
inwestycji,
3. Postępowanie dotyczące wyboru najkorzystniejszej
oferty jest prowadzone trzy etapowo:
a) Etap pierwszy - otwarcie ofert wraz ze
sprawdzeniem
wymogów
formalnych
przedstawionych ofert. Do drugiego etapu
zakwalifikowane są oferty spełniające wymogi
formalne.
b) Etap drugi (fakultatywny) - negocjacje ze
wszystkimi oferentami w celu uzyskania przez
Zamawiającego korzystniejszych warunków
umownych. Do trzeciego etapu wytypowane są
trzy najkorzystniejsze oferty. W przypadku,
kiedy oferty są porównywalne lub spełniają
oczekiwania Zamawiającego, Etap drugi pomija
się.
c) Etap trzeci - kończy się wyborem
najkorzystniejszej oferty i zawarciem umowy, o
której mowa w pkt. 7 poniżej.
4. W przypadku prowadzenia negocjacji - sporządzane
są protokoły z negocjacji podpisane przez
przedstawicieli dwóch stron negocjacji.
5. Z wyboru najkorzystniejszej oferty sporządza się
protokół.
6. W przypadku złożenia tylko jednej oferty,
Zamawiający dokonuje jej oceny zgodnie z
niniejszym Zapytaniem ofertowym.
7. Zamawiający, po dokonaniu oceny nadesłanych ofert
(i ewentualnie po przeprowadzonych negocjacjach)
zaproponuje oferentowi, który uzyskał największą
ilość punktów zawarcie umowy.
8. Zamawiający nie dopuszcza możliwości składania
ofert częściowych.
9. Zamawiający
nie
dopuszcza
możliwości
powierzenia części lub całości zamówienia
podwykonawcom.
10. WARUNKI UDZIAŁU W POSTĘPOWANIU
1. Dysponowanie
odpowiednim
potencjałem
technicznym,
Zamawiający uzna warunek za
spełniony, jeżeli Wykonawca oświadczy, że będzie
dysponował, co najmniej: Dokument potwierdzający
spełnianie warunku udziału w postępowaniu oświadczenie oferenta.
2. Dysponowanie uprawnieniami niezbędnymi do
wykonania przedmiotu zamówienia:

The date and hour of the offer reaching the
Ordering Party are binding.
BID SELECTION
1. The selection of the most advantageous bid is
made from among the Bidders who submitted a
written bid within the expected deadline.
2. When selecting the bid, the Investor follows the
following premises:
a) guaranteeing the achievement of the most
advantageous economic result,
b) ensuring the correctness of the investment
performance.
3. A procedure regarding the selection of the most
favourable bid consists of three stages:
a) First stage - opening the bids and checking
the formal requirements of the presented
offers. The bids that fulfil the formal
requirements are qualified to the second
stage.
b) Secondary stage (optional) - negotiation
with all Bidders in order for the Ordering
Party to obtain more advantageous terms of
the agreement. Three most advantageous
bids are selected to the third stage. In the
case the bids are comparable, or fulfil the
expectations of the Ordering Party, the
second Stage is omitted.
c) Third stage - ends with a selection of the
most favourable bid and entering into an
agreement mentioned in point 7 below.
4. In the case of negotiations, - the negotiation
protocols are drafted and signed by the
representatives of two negotiation sides.
5. A protocol is drafted from the selection of the
most advantageous bid.
6. In the case only one bid is submitted, the
Ordering Party evaluates it in accordance with
this Request for Proposal.
7. The Ordering Part, after the evaluation of the
submitted bids (and possible negotiations) will
propose the Bidder who earned the greatest
amount of points to enter into a agreement for
the performance of the Subject of the Order.
8. The Ordering Party does not allow for partial
offers.
9. The Ordering Party does not permit to transfer
all or part of the contract to subcontractor.
10. CONDITIONS OF PARTICIPATION IN THE
PROCEDURE
1. Having the necessary technical potential The
Ordering Party considers this condition fulfilled
if the Contractor declares that he or she will
have, at least: A document confirming the
performance of this condition of participation in
the procedure - the Bidder's declaration.
2. Having the necessary permissions to perform the
subject of the order: A document confirming
the performance of this condition of participation
in the procedure - the Bidder's declaration.
3. Having available people able to perform the
Order The Ordering Party considers this

Dokument potwierdzający spełnianie warunku

11. KRYTERIA OCENY OFERT I SPOSÓB OBLICZENIA
CENY
Kryterium wyboru oferty: 100% cena (wskazana na
formularzu ofertowym cena netto). O wyborze oferty
decydowała będzie najkorzystniejsza cena.
12. INFORMACJE DOTYCZĄCE WYBORU
NAJKORZYSTNIEJSZEJ OFERTY
Jeżeli oferent, którego oferta została wybrana uchyla się
od zawarcia umowy. Zamawiający może podpisać umowę
z kolejnym oferentem, który uzyskał kolejną najwyższą
liczbę punktów.
O wyborze najkorzystniejszej oferty, każdy oferent
zostanie poinformowany drogą elektroniczną lub
telefonicznie.

11. BID ASSESSMENT CRITERIA AND
METHOD OF CALCULATING THE PRICE
The selection criteria: 100% price (net price
indicated on the offer). The best price will
determine the selection of the offer.

OF THE MOST ADVANTAGEOUS BID.
If the Bidder whose bid was selected refuses to enter
into the agreement. The Ordering Party may sign an
agreement with another Bidder who obtained the next
highest number of points.
Each Bidder will be informed about the selection of the
most advantageous bid via e-mail or via phone.
