Appointing a New member of the Supervisory Board Podstawa prawna: Art. 56 ust. 1 pkt 2 Ustawy o ofercie – informacje bieżące i okresowe In accordance with Par. 5.1.22 of the Regulation of the Minister of Finance dated February 19th 2009 on current and periodic information to be published by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state (Journal of Laws No. 33 dated 28 February 2009, item 259), the Management Board of PETROLINVEST S.A. (the “Company”) announces that The Annual General Meeting of the Company held on 30 June 2009 appointed Mr. Marek Modecki to the Supervisory Board. At the same time, pursuant to Par. 17.4 of the Statutes of the Company, the Annual General Meeting set the number of members of the Supervisory Board at five. Furthermore, on 30 June 2009, pursuant to Par. 17.4 of the Statutes of the Company, PROKOM Investments S.A., in exercise of its personal rights, appointed Mr. Tomasz Buzuk as member of the Company’s Supervisory Board. Mr Modecki graduated from Warsaw University - Master's degree in law. He also studied International Law at Max Planck Institute and law at University in Hamburg. Mr. Marek Modecki has been Partner in Concordia since 1997. He managed negotiations in the sale of Agros S.A. to Pernod Ricard, sale of Warta Insurance to KBC, purchase of Multivita by Coca-Cola Company, sale of Bank Pocztowy to PKO BP. In 2006-2008 he worked as Senior Banker for Concordia Espirito Santo Investment, a joint venture between Concordia and the portuguese Espirito Santo Group. In 1992-1998 he worked as Proxy for Hilfer GmbH in Hamburgu advising among other Stinnes AG on financing investments for Huta Zawiercie. Quelle AG on establishment of its Polish subsidiary and negotiating on behalf of Schweizerische Creditanstalt and Stinnes to reduce liabilities to London Club. In 1990-1996 he created with Wojciech Fibak a group of companies purchasing and managing newspapers publishers in Poland, advising on purchase of and then supervising newspapers such as: Gazeta Poznańska, Sport, Express Wieczorny, Sztandar Młodych, etc. After sale of the group in 19941996 on behalf of Socpresse S.A. he supervised purchase process of majority shareholding and then sale of Prespublica S.A., publishers of Rzeczpospolita newspaper. Marek Modecki was in the past Member of Supervisory Board of Agros S.A., Clif S.A., Atlantis S.A., Metalexport S.A., Prokom Software S.A., Concordia Espirito Santo Investment Ltd. He is a Supervisory Board Member of Pegas Nonwovens S.A. and Director of TIGA International Holding S.A. Mr. Marek Modecki’s activities outside the Company’s business are not competitive with the Company. Mr. Marek Modecki does not participate in any competitor company to PETROLINVEST S.A. as a partner or a civil law partner or a member of any governing bodies in a capital company or in any other competitive legal entity. Mr. Marek Modecki is not listed in the Register of Insolvent Debtors kept in accordance with the act on the National Court Register. Mr. Tomasz Buzuk, 32, has a degree in Law and Administration from Gdańsk University. He completed Investment Advice Studies in 2001 and Business Management at Gdańsk University in 2002. Legal advisor, member of the District Chamber of Legal Advisors in Gdańsk. He joined PROKOM Software S.A. in 2000 to move to PROKOM Investments S.A. He has been legal advisor from 2006. While working for the companies of PROKOM Software S.A. group and PROKOM Investments S.A. group, he was involved in providing legal services for complex IT and equity projects and participated in obtaining finance for investment projects. He is currently Member of the Management Board of PROKOM Investments S.A. and Member of the Supervisory Board of Agro Jazowa S.A., TPG GAZ S.A., and Bioton S.A. Mr. Tomasz Buzuk’s activities outside the Company’s business are not competitive with the Company. Mr. Tomasz Buzuk does not participate in any competitor company to PETROLINVEST S.A. as a partner or a civil law partner or a member of any governing bodies in a capital company or in any other competitive legal entity.
