Kancelaria Prawna stowarzyszona z KPMG w Polsce Legal Alert Zatwierdzenie roku 2015 – wspólnicy powinni pamiętać o przedłużeniu mandatu członkom zarządu 2015 financial year approval – shareholders should remember to extend appointment of the management board members Czerwiec 2016 / June 2016 KPMG.pl LEGAL ALERT | 2 Zatwierdzenie roku 2015 – wspólnicy powinni pamiętać o przedłużeniu mandatu członkom zarządu Trwa obecnie czas zatwierdzania roku finansowego 2015 (zwyczajne zgromadzenie wspólników powinno odbyć się w terminie sześciu miesięcy od zakończenia roku obrotowego, który w większości spółek pokrywa się z rokiem kalendarzowym). Podejmując uchwały w tym przedmiocie wspólnicy zobligowani są podjąć szereg decyzji, w tym m.in. powinni rozpatrzyć i zatwierdzić sprawozdanie zarządu z działalności oraz sprawozdanie finansowe za ubiegły rok obrotowy, zadecydować o sposobie podziału zysku (np. przeznaczając go na wypłatę dywidendy lub alokując go na kapitale zapasowym) lub o sposobie pokrycia straty (np. z przyszłych zysków), a także o udzieleniu członkom organów spółki absolutorium z wykonywania przez nich obowiązków w analizowanym okresie. Warto pamiętać, że sama uchwała w przedmiocie udzielenia danemu członkowi zarządu absolutorium, może nie być wystarczająca dla jego dalszego funkcjonowania w spółce. Sąd Najwyższy stanął bowiem na stanowisku, iż mandat członka zarządu wygasa z dniem odbycia zgromadzenia wspólników zatwierdzającego sprawozdanie finansowe za pierwszy pełny rok obrotowy pełnienia funkcji członka zarządu, także wtedy, gdy według uchwały wspólników powołanie nastąpiło na czas nieokreślony (kwestię tą można uregulować odmiennie w umowie spółki). Nadal panuje przekonanie, że członek zarządu powołany na czas nieokreślony pełni swoją funkcję bezterminowo, tj. do odwołania czy rezygnacji. Tymczasem powołanie na czas nieoznaczony, nie jest tożsame z powołaniem bezterminowym. Ww. stanowisko statuuje, że w przypadku braku uregulowania zasad trwania mandatu w umowie spółki, powołanie członka zarządu na czas nieokreślony oznacza, że jest on de facto powołany na okres 1 roku i po tym czasie (w praktyce musi to być pełen rok obrotowy, więc czas trwania mandatu jest dłuższy – tj. do czasu odbycia zgromadzenia wspólników zatwierdzającego sprawozdanie finansowe za pierwszy pełny rok obrotowy pełnienia funkcji) jego mandat wygasa. Przykładowo, członek zarządu powołany w dniu 15 grudnia 2014 roku – na czas nieokreślony (przy braku odmiennych uregulowań w umowie i jeśli rok obrotowy pokrywa się z kalendarzowym), zakończy swój mandat z dniem odbycia zgromadzenia wspólników zatwierdzającego rok 2015 (będzie to bowiem pierwszy pełen rok obrotowy pełnienia funkcji). © 2016 D.Dobkowski spółka komandytowa jest kancelarią prawniczą stowarzyszoną z KPMG w Polsce. Zatem jeśli w spółce powołano członków zarządu na czas nieokreślony i nie uregulowano sposobu wygaśnięcia mandatu, aby mieć pewność, że dany członek zarządu kontynuować będzie pełnienie funkcji, jego mandat powinien być rokrocznie przedłużany. Brak przedłużenia mandatu może oznaczać, iż dana osoba przestała być członkiem zarządu, co może mieć bardzo kłopotliwe następstwa, zwłaszcza przy braku świadomości powyższego. Liczne są bowiem sytuacje, gdy nieświadomi powyższej zasady członkowie zarządu pełnią swoje funkcje przez lata, de facto bez mandatu. Konsekwencje powyższego mogą być niezwykle szkodliwe. Brak mandatu oznaczać może bowiem, że dany członek zarządu nie był upoważniony do reprezentowania spółki i podejmowania działań w jej imieniu – a zatem dokonane przez niego czynności mogą zostać uznane za bezwzględnie nieważne. W zbliżających się zgromadzeniach wspólników należy zatem pamiętać – jeśli taka jest wola wspólników – o przedłużeniu mandatów członkom zarządu powołanym na czas nieokreślony. When passing resolutions in that respect, the shareholders are required to make several decisions, for example they should review and approve the management board’s report on activity and financial statements for a previous financial year, take a decision on the manner of distribution of profit (e.g. designate it for the payment of a dividend or to transfer it to the supplementary capital), or the manner of coverage of a loss (e.g. from future profits), as well as on acknowledgement of performance of duties by the governing bodies’ members in the analysed period. It is worth remembering that the resolution on acknowledgement of the performance of duties by a certain member of the management board may prove insufficient for his further service for the company. The Supreme Courts presented a position – in accordance wherewith an appointment of a management board member expires on the day of holding a meeting of shareholders approving financial statements for the first full financial year, in which the member served on the management board, also in a situation where, in accordance with a resolution of shareholders, a member was appointed for an indefinite period (though the Articles of Association may include other provisions in that respect). A management board member appointed for an indefinite period is generally thought to hold his position indefinitely, i.e. until he is recalled or resigns. However, an appointment for an unlimited period is not equivalent with an indefinite appointment. The abovementioned position defines that if the company’s Articles of Association do not determine the rules of the appointment validity, an appointment of a member of the management board for an indefinite period means that he, in fact, is appointed for a period of one year and after that time (in practice, it must be one full calendar year, thus the appointment lasts longer – i.e. until a meeting of shareholders approving financial statements for the first full financial year of service is held) his appointment expires. The KPMG name and logo are registered trademarks or trademarks of KPMG International. the company’s financial year equals a calendar year) will expire on the day of holding a meeting of shareholders approving the 2015 financial statements (as it will be the first full financial year when this member served at the board). Therefore, if members of the management board were appointed for an indefinite period and the appointment expiry was not provided for, in order to make sure, for a certain member of the management board to be able to continue his service, his appointment should be extended on an annual basis. A failure to extend the appointment may mean that a certain person is not a management board member anymore, which may give rise to certain problems, in particular in a situation where a person concerned is unaware of an absence of his appointment. Due to the above, there occur numerous situations where the management board members, unaware of the above principle, serve at the company’s management board, in fact, without having been appointed. Consequences of the above may be really harmful, as the absence of appointment means that a certain member of the management board was not authorised to act on its behalf, hence the actions he undertook may be found invalid. Thus, during the meetings to come, it is worth remembering that – if this is the shareholders’ intention –members of the management board appointed for unlimited period should have their appointments extended.
