Contents of the Report:
The Management Board of ES-SYSTEM S.A. announces that the Supervisory Board at a meeting held
on May 09, 2012, in accordance with Art. 14, item 2 of the Statute of ES-SYSTEM S.A., appointed for
the next 3-year term of office:
Mr. Bogusław Pilszczek - the President of the Management Board of the VI term of office
Mr. Leszek Ciupiński - the Vice-president of the Management Board of the VI term of office
Mr. Tomasz Budzyński - the Member of the Management Board (Sales and Marketing) of the VI term
of office
Mr. Mirosław Butryn - the Member of the Management Board of the VI term of office
Mr. Bogusław Pilszczek, born in 1951, in 1973 graduated from the University of Science and
Technology in Kraków, Faculty of Electrical Engineering, and later completed Post-graduate Studies at
the same university in the field of microcomputer technology (1983-1985). Mr. Bogusław Pilszczek has
the right to perform as an independent designer in building (no. GP.IV-8888/182/77).
The course of Mr. Bogusław Pilszczek’s professional carrier:
1969 - 1977: Designer’s Assistant and Designer in Miejskie Biuro Projektów in Kraków;
1977 - 1984: Designer, then the Chief of the Office and Manager of the Project Group
of Biuro Rozwoju Krakowa;
1983 - 1990: Manager of the Project Group in "Inwestprojekt" Kraków;
1989 - 1991: Co-owner of "Gambit" Design & Implementation Informatics Company
sp. z o.o. in Kraków;
1990 - 1999: Plenipotentiary of ES SYSTEM CTO s.c.;
1992 - 1999: Partner of the partnership ES-SYSTEM Warszawa s.c.;
1995 - 2006: Vice-president of the Management Board of ES-SYSTEM Rzeszów sp. z o.o.;
from 1999: Founder and the President of the Management Board of ES-SYSTEM S.A. in Kraków.
Mr. Bogusław Pilszczek performs a function of the Management Board Member of Bowen Investments
S.A.R.L. with its seat in Luxemburg, in which he holds 100% shares. Mr. Bogusław Pilszczek is a
shareholder of ES-SYSTEM S.A.
Mr. Bogusław Pilszczek is not engaged in any business competitive to ES-SYSTEM S.A. and is not
registered in the Insolvent Debtors Register run pursuant to the KRS (National Court Register) Act.
Mr. Leszek Ciupiński, born in 1957, in 1981 graduated from the College of Communication in Żylin,
Faculty of Exploitation and Economics of Rail Transport. The course of Mr. Leszek Ciupiński’s
professional carrier:
1981 - 1985: PKP – Trade-Transport Chief Deputy to the Stationmaster in Kraków – Płaszów;
1985 - 1987: Supply Specialist in Przedsiębiorstwo Produkcji Różnej Handlu i Usług Dempol
sp. z o.o. in Kraków;
1987 - 1993: business activities - "Wyrób Podobrazi Malarskich Marek Sułkowski Leszek Ciupiński";
1993 - 1999: Proxy, General Accountant of ES-SYSTEM Centrum Techniki Oświetleniowej s.c.;
2004 - 2006: President of the Supervisory Board of ES-SYSTEM Central Europe A.S in Prague;
from 1999: Vice-president of the Management Board of ES-SYSTEM S.A. in Kraków.
Mr. Leszek Ciupiński is a shareholder of ES-SYSTEM S.A. Mr. Leszek Ciupiński is not engaged in any
business competitive to ES-SYSTEM S.A. and is not registered in the Insolvent Debtors Register run
pursuant to the KRS (National Court Register) Act.
Mr. Tomasz Budzyński was born in 1968. In 1993 he finished the Faculty of Environmental
Engineering and Land Surveying at the University of Agriculture in Cracow. Next in 1995 he finished
the Faculty of Management at the Cracow University of Economics. Additionally Mr. Budzyński

finished in 2001 Postgraduate Studies, specialization Human Resources Management at the
University of Science and Technology in Cracow and in 2007 MBA at the Polish Open University in
Cracow. In 2011 he passed an exam for candidates for supervisory boards in companies of the
Treasury.

registered in the Insolvent Debtors Register run pursuant to the KRS (National Court Register) Act.
Mr. Mirosław Butryn was born in 1957. In 1983 he finished the University of Science and Technology
(AGH), Faculty Mechanics. During his career Mr. Butryn completed many courses for Internal Auditors
of Integrated Management System according to standards ISO 9001:2008, ISO 14001:2004 and
OHSAS 18001:2007 and trainings on lighting technics.
In 2009 he finished a course for candidates for supervisory boards in companies of the Treasury.
