nieograniczonego, na dostawę detektorów działających w temperaturach helowych w zakresie
średniej i dalekiej podczerwieni.

invites tenders for a public procurement contract, following the procedure of an unlimited tender for:
The delivery of two detectors working at helium temperature in infrared range.

LEGAL BASIS AND TYPE OF THE PROCEDURE

Ustawa z dnia 29 stycznia 2004 r. Prawo zamówień publicznych, opublikowana w Dz. U. z 2010 r.

Postępowanie prowadzone jest w trybie przetargu nieograniczonego o wartości szacunkowej poniżej
progów określonych w przepisach wydanych na podstawie art. 11 ust. 8 Prawa zamówień
publicznych.
2. The procedure is carried out in the form of unlimited tendering whose estimated value does not
exceed the thresholds specified in the art. 11 par. 8 of the Public Procurement Law.
3.
Zamówienie realizowane jest w ramach projektu „Charakteryzacja epitaksjalnego grafenu do
zastosowań w tranzystorach nowej generacji” PS40 realizowanego w ramach projektu “Epitaxial

Graphene Transistor” (EPIGRAT), koordynowanego przez European Science Foundation w ramach
EUROCORES Programme: EuroGRAPHENE.
3.
The order will be executed as a part of the program „Charakteryzacja epitaksjalnego grafenu do
zastosowań w tranzystorach nowej generacji” PS40 in the frame of “Epitaxial Graphene
Transistor” (EPIGRAT) project coordinated by European Science Foundation in EUROCORES
Programme: EuroGRAPHENE.
4.
Postępowanie prowadzone jest przez komisję przetargową powołaną do przeprowadzenia niniejszego
postępowania o udzielenie zamówienia publicznego.

This procedure is carried out by the tender committee appointed in order to conduct the contract
award procedure.
art. 3.
OPIS PRZEDMIOTU ZAMÓWIENIA
DESCRIPTION OF THE SUBJECT OF THE ORDER
§1
1. Przedmiotem zamówienia jest dostawa detektorów działających w temperaturach helowych
działających w zakresie spektralnym podczerwieni.
1. Subject matter of the order is the delivery of detectors working at helium temperature in infrared
spectral range.
2. Wszystkie podane przez Zamawiającego parametry techniczne są parametrami minimalnymi.
Wykonawca może zaproponować sprzęt o parametrach technicznych minimalnych lub
wyższych, lecz nie gorszych od wskazanych przez Zamawiającego w poniższej tabeli.
2. All technical parameters specified by the Awarding Entity are minimal ones. The Contractor may
offer equipment whose technical characteristics are equal or better, but not worse than those
specified by the Awarding Entity in the table below.
3. W skład zamówienia wchodzą dwa detektory:
3.1. bolometr pracujący w temperaturze 4,2K w obudowie hermetycznej o średnicy nie większej niż
25 mm przystosowany do zamocowania na rurze o średnicy zewnętrznej 12 mm;
3.2. bolometr pracujący w temperaturze 1,6K w obudowie hermetycznej o średnicy nie większej niż
25 mm przystosowany do zamocowania na rurze o średnicy zewnętrznej 12 mm;
3. The order include two detektors:
3.1 4.2K bolometer in hermetically sealed enclosure with diameter not larger than 25 mm to be
mounted at the end of light pipe with external diameter 12 mm.
3.2 1.6K bolometer in hermetically sealed enclosure with diameter not larger than 25 mm to be mounted
at the end of light pipe with external diameter 12 mm.

4. Opis innych wymagań
4. Description of other requirements
4.1. Sprzęt musi spełniać wymagania Komisji Europejskiej dotyczące warunków bezpieczeństwa
i ochrony środowiska oraz procedur utylizacji.
4.1. The equipment must fulfill EU requirements concerning safety, environmental conditions and
utilization procedures.
4.2. Oferowany sprzęt musi być fabrycznie nowy (nieużywany).
4.2. The offered equipment must be brand new (not previously used).
4.3. Wykonawca jest odpowiedzialny za jakość, zgodność z warunkami technicznymi i jakościowymi
opisanymi dla przedmiotu zamówienia,
4.3. The Contractor bears responsibility for the quality and compliance of the equipment with the
technical and qualitative conditions of the object of the order.
4.4. W cenie należy zawrzeć wszystkie koszty związane z realizacją zamówienia – takie jak: koszt
ubezpieczenia, koszt pakowania i koszty dostawy.
4.4. The price shall comprise all the costs that may occur in accordance with the completion of the
order such as: insurance costs, packaging costs and delivery costs.
4.5. Zamawiający nie dopuszcza składania ofert częściowych.
4.5. The Awarding Entity does not allow partial tenders.
4.6. Zamawiający nie dopuszcza składania ofert wariantowych.
4.6. The Awarding Entity does not allow variant tenders.
4.7. Miejsce dostawy przedmiotu zamówienia: Wydział Fizyki Uniwersytetu Warszawskiego przy ul. Hożej
69, 00-681 Warszawa.
4.7. The place of delivery: Wydział Fizyki Uniwersytetu Warszawskiego, Hoża 69 street, 00-681 Warsaw.
§ 2.
Termin wykonania zamówienia
Deadline for completion of the order
1.
Wymagany termin realizacji zamówienia: 12 tygodni od daty podpisania umowy.

The requested deadline for completion of the order: within 12 weeks counted from the date of signing
the contract.
2.
Wykonawcy nie mogą zaproponować w ofertach dłuższego terminu (okresu) realizacji zamówienia,
niż wyznaczony przez Zamawiającego. Oferty proponujące dłuższy termin realizacji zamówienia
zostaną odrzucone.
2.
The Contractors may not offer a time of completion of the order longer than the time limit specified
by the Awarding Entity. Tenders offering a longer time of completion of the order will be rejected.
§ 3.
Warunki gwarancji i rękojmi
Guarantee and warranty terms
1.
Wykonawcy spełnią następujące warunki:
1.
The Contractors will meet the following conditions:
1.1. Oferowane urządzenie musi być objęte bezpłatną gwarancją na okres minimum 12 miesięcy
w miejscu użytkowania sprzętu oraz rękojmią na okres 12 miesięcy.
1.1 The offered equipment must be covered by a free of charge guarantee for a period of minimum 12
months in the place of running of the equipment and warranty for a period of 12 months.
1.2. Gwarancja liczona jest od dnia odbioru całości przedmiotu zamówienia. Odbiór całości
przedmiotu zamówienia zostanie udokumentowany podpisanym przez przedstawiciela
Zamawiającego protokołem odbioru.
1.2. The guarantee’s length will be counted starting from the date of the receipt of the complete
subject matter of the order. The receipt of the object of the order will be documented/evidenced
by the protocol of receipt, signed by the (representative of the) Awarding Entity. .
1.3. Wykonawca może zaproponować dłuższy okres gwarancji (niż określono w SIWZ).
1.3. The Contractor may offer a guarantee for a longer period (than specified in this SETC).
2.
W przypadku zaproponowania krótszego okresu gwarancji, oferta, jako niespełniająca wymagań
Zamawiającego zostanie odrzucona.
2.
If the offered warranty period will be shorter than the period specified in this SETC, the tender will
be rejected as it will not meet the requirements of the Awarding Entity.
3.
Czas realizacji naprawy/usunięcia awarii do 60 dni (liczony od daty dostarczenia urządzenia do
Wykonawcy). Koszty wysyłki w okresie gwarancji pokrywa Wykonawca.
3.
Time of defect’s repair - up to 60 working days (counted from the date of delivery of the equipment to
the Contractor). All dispatch expenses within the warranty period shall be borne by the Contractor.
4.
W przypadku przestoju sprzętu dłuższego niż 60 dni gwarancja na urządzenie ulega przedłużeniu
o czas przestoju.
4.
In case of down-time longer than 60 days the warranty will be prolonged by the period of downtime.
5.
W okresie gwarancyjnym Wykonawca będzie zobowiązany do zapewnienia ciągłości pracy
urządzenia.
5.
During the warranty period the Contractor obliges itself to ensure the continuity of the equipment
operation.

6.
Wykonawca zobowiązuje się do zapewnienia bieżących konsultacji z obsługą serwisową drogą
telefoniczną i internetową. Czas reakcji serwisu do 2 dni roboczych liczony od czasu powiadomienia
serwisu przez Zamawiającego. Przez dni robocze rozumie się dni od poniedziałku do piątku
włącznie, z wyłączeniem świąt państwowych w kraju gdzie swoją siedzibę ma Zamawiający oraz
kraju gdzie swoją siedzibą ma Wykonawca, z którym zostanie podpisana umowa.
6.
The Contractor obliges itself to hold runtime consultancy service by telephone and internet
communication means. The reaction time up to 2 working days counted from the date of notification
of the service by the Awarding Entity. Working days shall mean days from Monday till Friday, except
Saturdays, Sundays and public holidays.
7.
Wykonawca zapewni dostęp do części zamiennych przez okres 5 lat od daty dostawy.

The Contractor will provide access to spare parts during the period of 5 years from the delivery date
§ 4.
Zamówienia uzupełniające
Supplementary orders
Zamawiający nie planuje udzielenia zamówień uzupełniających w trybie przewidzianym w art. 67 ust. 1
pkt. 7 Prawa zamówień publicznych.
The Awarding Entity doesn’t plan to place any supplementary orders, referred to in art. 67 par. 1 item 7
of the Act – Public Procurement Law.
art.4.
WARUNKI UDZIAŁU W POSTĘPOWANIU
CONDITIONS OF PARTICIPATION IN THE CONTRACT AWARD PROCEDURE
§ 1.
1. Zgodnie z art. 22 ust. 1 ustawy o udzielenie zamówienia mogą ubiegać się Wykonawcy, którzy
spełniają następujące warunki dotyczące:
1. Pursuant to the provisions of the art. 22 par. 1 of the Act eligible to compete for a contract shall be
Contractors who meet the following conditions related to:
1.1. posiadania uprawnień do wykonywania określonej działalności lub czynności, jeżeli przepisy
prawa nakładają obowiązek ich posiadania,
1.1. authorizations to perform specific activities or actions, if such authorizations are
the law,
1.2.
required by
posiadania wiedzy i doświadczenia,
1.2. knowledge and experience,
1.3. dysponowania odpowiednim potencjałem technicznym oraz osobami zdolnymi do wykonania
zamówienia,
1.3. appropriate technical potential and personnel capable to perform the contract,
1.4. sytuacji ekonomicznej i finansowej,
1.4. economic and financial standing.
Zamawiający uzna, że wymienione w pkt. 1.1. – 1.4.warunki zostały spełnione, jeżeli Wykonawca
złoży wraz z ofertą podpisane przez uprawnioną osobę Oświadczenie o spełnianiu warunków
uczestnictwa w postępowaniu. (Załącznik nr 2 do SIWZ).

The Awarding Entity shall consider the conditions specified in items 1.1. – 1.4. as fulfilled, if the
Contractor will submit, along with the tender, the declaration of fulfillment of the required conditions
for participation in this contract award procedure (Appendix no 2 to this SETC), signed by authorized
person/persons.
2. Ocena spełnienia warunków określonych w art. 22 ust. 1 Ustawy nastąpi na podstawie
przedstawionych przez Wykonawcę dokumentów i oświadczeń, i oparta będzie na zasadzie TAK/NIE
(spełnia / nie spełnia).
2. The assessment whether the conditions, specified in art. 22 par. 1 of the Act have been met by the
Contractor will be made based on the documents submitted by the Contractor. The
principle:”meets”/”doesn’t meet” shall apply.
3. Z ubiegania się o udzielenie zamówienia publicznego zostaną wykluczeni Wykonawcy, z przyczyn
określonych w art. 24 Ustawy.
3. Excluded from contract award procedures shall be Contractors to whom apply reasons
art. 24 of the Act.

Ofertę Wykonawcy wykluczonego uznaje się za odrzuconą.
The tender of an excluded Contractor shall be considered rejected.
§ 2.
Dokumenty potwierdzające spełnienie warunków udziału
w postępowaniu o udzielenie zamówienia publicznego
Documents to be submitted by the Contractors in order to prove that
they satisfy the conditions of participation in the procedure
1. W celu wykazania spełniania przez Wykonawcę warunków, o których mowa w art. 22 ust. 1 ustawy,
Zamawiający żąda od każdego z Wykonawców, biorących udział w postępowaniu, przedstawienia
następujących dokumentów:
1. In order to demonstrate that the conditions of participation in the contract award procedure, specified
in art. 22 par. 1 have been met, each of the Contractors must enclose the following documents to its
tender:
1.1. oświadczenie o spełnieniu warunków udziału w postępowaniu, o których mowa w art. 22 ust. 1
ustawy. Wzór oświadczenia stanowi Załącznik Nr 2 niniejszej SIWZ.
1.1. declaration of fulfillment of the required conditions for participation in the contract award
procedure, referred to in art 22 par. 1 of the Act.
Declaration of fulfillment of the required conditions for participation in this contract award
procedure constitutes Appendix no 2 to this SETC.
2. Ponadto każdy Wykonawca biorący udział w postępowaniu złoży:
2. Additionally each of the Contractors taking part in the procedure shall submit:
2.1. W przypadku Wykonawców ubiegających się o udzielenie zamówienia wspólnie, jako
konsorcjum, Zamawiający będzie żądał przedstawienia pełnomocnictwa do reprezentowania
Wykonawcy w niniejszym postępowaniu oraz do podpisania umowy (o ile nie wynika
z dokumentów rejestracyjnych). Pełnomocnictwo musi być podpisane przez osoby uprawnione
do reprezentowania Wykonawcy (podpisy i pieczęcie oryginalne) lub mieć postać aktu
notarialnego albo notarialnie potwierdzonej kopii oraz posiadać termin ważności, z którego
wynika, że jest obowiązujące dla niniejszego postępowania i zapis, z którego wynika,
że obejmuje niniejsze postępowanie.

2.1. In case of Contractors competing for the contract jointly, as consortium, the Awarding Entity
will demand presentation of the authorization to represent the Contractor in this procedure and
to sign the contract (unless it stems from the registration documents). The authorization must be
signed by the persons authorized to represent the Contractor (original signatures and stamps) or
to be in the form of a notary deed or a copy confirmed by the notary with the validation date that
proves that the document is binding for this procedure and a note confirming that it is related to
this procedure.
2.2. Formularz Nr 4 - informacja o zakresie zamówienia, który Wykonawca zamierza powierzyć
podwykonawcom (Wykonawca wykonujący zamówienie wyłącznie siłami własnymi nie dołącza
do oferty niniejszego formularza).
2.2. Form no 4 - information on the part of the order that will be entrusted by the Contractor to
subcontractors (the Contractor completing the order itself doesn’t enclose this form to the
tender).
2.3. W celu potwierdzenia, że oferowana dostawa odpowiada wymaganiom określonym przez
Zamawiającego Wykonawca przedstawi:
2.3. In order to confirm that the offered supply meets the conditions laid down by the Awarding
Entity the Contractors shall present:
2.3.1. Szczegółowy opis parametrów technicznych oferowanego sprzętu.
2.3.1. The detailed technical Specification of the offered equipment.
2.3.2. Szczegółowy opis warunków gwarancji i serwisu.
2.3.2. The detailed description of guarantee and service conditions.
3.
Zaleca się dołączenie do ofert niżej wymienionych dokumentów i oświadczeń:

It is recommended to enclose the following documents and declarations to the tender:
3.1. Zaakceptowany (podpisany) wstępnie przez osoby/osobę uprawnione/na do reprezentowania
Wykonawcy wzór umowy.
3.1. The contract template - initially accepted (signed) by the person/persons authorized to represent
the Contractor.
4.
Dokumenty, których aktualność (dzień wystawienia) nie została określona szczegółowo
w niniejszym paragrafie muszą być ważne (aktualne) na dzień składania ofert.
4. Document whose validity (date of issue) has not been described in detail in this paragraph must be
valid on the date of submission of tenders.
§ 3.
Oświadczenia i dokumenty wykazujące brak podstaw do
wykluczenia z postępowania o udzielenie zamówienia publicznego
Statements and documents confirming the lack of the grounds for
exclusion from the contract award procedure
1. W celu wykazania braku podstaw do wykluczenia z postępowania o udzielenie zamówienia
Wykonawcy w okolicznościach, o których mowa w art. 24 ust. 1 ustawy Zamawiający żąda od
Wykonawcy przedstawienia następujących dokumentów:
1.
In order to demonstrate the lack of grounds for exclusion under Article 24 par. 1 the Awarding Entity
requests that the Contractor presents:

1.1. oświadczenia o braku podstaw do wykluczenia – oświadczenie są zobowiązani złożyć wszyscy
Wykonawcy biorący udział w postępowaniu.
Oświadczenie o braku podstaw do wykluczenia stanowi Załącznik Nr 3 niniejszej SIWZ.
1.1. declaration that there are no grounds for the exclusion – this declaration shall be presented by all
Contractors who submit their tenders.
Declaration that there are no grounds for the exclusion constitutes Appendix No 3 to this SETC.
1.2. aktualnego odpisu z właściwego rejestru, jeżeli odrębne przepisy wymagają wpisu do rejestru, w celu
wykazania braku podstaw do wykluczenia w oparciu o art. 24 ust. 1 pkt. 2 ustawy, wystawionego nie
wcześniej niż 6 miesięcy przed upływem terminu składania ofert, a w stosunku do osób fizycznych
oświadczenia w zakresie art. 24 ust. 1 pkt. 2 ustawy.
1.2. current excerpt from relevant register, if separate legal provisions require an entry in the register, in
order to show lack of grounds for exclusion under Article 24 par.1 item 2 of the Act issued not earlier
than 6 months before the expiry of the time limit for submission of tenders, and with reference to
natural persons – statement within the scope of Article 24 par.1 item 2 of the Act.
§ 4.
Dokumenty składane przez Wykonawców z siedzibą poza terytorium Rzeczypospolitej Polskiej
Documents submitted by Contractors having their seat or place of residence outside the Republic of
Poland
1. Jeżeli Wykonawca ma siedzibę lub miejsce zamieszkania poza terytorium Rzeczypospolitej Polskiej,
jest zobowiązany złożyć zamiast dokumentów o których jest mowa w § 3 ust. 1 pkt. 1.2. - dokument
lub dokumenty wystawione w kraju, w którym ma siedzibę lub miejsce zamieszkania, potwierdzające
odpowiednio że:
1.1. nie otwarto jego likwidacji ani nie ogłoszono upadłości;
1. If the Contractor has the seat or place of residence outside the Republic of Poland, instead of
documents referred to in § 3 item 1.2. - the Contractor shall submit a document or documents issued
in the country in which the Contractor has the seat or place of residence, confirming respectively
that:
1.1. neither winding up procedure was commenced nor bankruptcy declared with respect to the
Contractor;
Wymienione wyżej dokumenty powinny być wystawione nie wcześniej niż 6 miesięcy przed
upływem terminu składania ofert.
The documents specified above ought to be issued not earlier than 6 months before the expiry of the
time limit for submission of tenders.
2. Jeżeli w kraju pochodzenia osoby lub w kraju, w którym Wykonawca ma siedzibę lub miejsce
zamieszkania, nie wydaje się dokumentów, o których mowa w ust. 1, zastępuje się je dokumentem
zawierającym oświadczenie złożone przed notariuszem, właściwym organem sądowym,
administracyjnym albo organem samorządu zawodowego lub gospodarczego odpowiednio kraju
pochodzenia osoby lub kraju, w którym Wykonawca ma siedzibę lub miejsce zamieszkania,
wystawionym nie wcześniej niż 6 miesięcy przed upływem terminu składania ofert.
2. If in place of residence of a person or the country in which the Contractor has the seat or place of
residence, the documents, referred to in par. 1, are not issued, they shall be replaced by a document
containing a declaration made before a notary, a competent judicial or administrative authority or a
competent professional or trade body in the place or residence of a person or the country in which the

Contractor has the seat or place of residence, respectively, issued not earlier than 6 months prior to
the time limit for submission of tenders.
3. W przypadku wątpliwości co do treści dokumentu złożonego przez wykonawcę mającego siedzibę lub
miejsce zamieszkania poza terytorium Rzeczypospolitej Polskiej, Zamawiający może zwrócić się do
właściwych organów odpowiednio miejsca zamieszkania osoby lub kraju, w którym Wykonawca ma
siedzibę lub miejsce zamieszkania, z wnioskiem o udzielenie niezbędnych informacji dotyczących
przedłożonego dokumentu.
3. In case of doubts as to document submitted by the Contractor, whose seat or place of residence is
outside the Republic of Poland, the Awarding Entity may ask the competent authority in the place or
residence of a person or the country in which the Contractor has the seat or place of residence,
respectively to provide a necessary information referring to the submitted document.
§ 5.
Wykonawcy wspólnie ubiegający się o udzielenie zamówienia
Contractors who compete for a contract jointly
1. Wykonawcy mogą wspólnie ubiegać się o udzielenie zamówienia (podmioty występujące wspólnie
zwane są dalej „konsorcjami”).
1. Contractors may compete for a contract jointly (economic operators acting jointly, are hereinafter
referred to as „consortia”).
2. W przypadku, o którym mowa w ust. 1, Wykonawcy ustanawiają pełnomocnika do reprezentowania
ich w postępowaniu o udzielenie zamówienia albo reprezentowania w postępowaniu i zawarcia
umowy w sprawie zamówienia publicznego.
2. In the event referred to in paragraph 1, Contractors shall appoint a plenipotentiary to represent them
in the contract award procedure or in the procedure and conclusion of a public procurement contract.
3. Przepisy dotyczące Wykonawcy stosuje się odpowiednio do Wykonawców, o których mowa w ust. 1.
3. The provisions related to Contractors shall apply respectively to the Contractors referred to in
paragraph 1.
4. Jeżeli oferta Wykonawców, o których mowa w ust. 1, została wybrana, Zamawiający może żądać
przed zawarciem umowy w sprawie zamówienia publicznego umowy regulującej współpracę tych
Wykonawców.
4. If a tender submitted by Contractors, referred to in paragraph 1, has been selected, the Awarding
Entity may request prior to the conclusion of a public procurement contracts, an agreement resolving
cooperation between those Contractors.
5. Do oferty należy dołączyć pełnomocnictwo dla pełnomocnika do reprezentowania Wykonawców
występujących wspólnie w postępowaniu o udzielenie zamówienia albo reprezentowania w
postępowaniu i do zawarcia umowy w sprawie zamówienia publicznego. Pełnomocnictwo musi być
załączone w oryginale i podpisane przez uprawnionych w świetle dokumentów rejestracyjnych
przedstawicieli Wykonawców lub mieć postać aktu notarialnego albo notarialnie potwierdzonej kopii.
Wszelka korespondencja prowadzona będzie z pełnomocnikiem.
Spółka cywilna dołącza ww. pełnomocnictwo lub dokument, z którego wynika ww. pełnomocnictwo:
poświadczone za zgodność z oryginałem kopię umowy spółki cywilnej lub uchwałę.

5. The tender should be accompanied by an authorization for the plenipotentiary to represent
Contractors jointly competing for the order or to represent them in the contract award procedure or in
the procedure and conclusion of a public procurement contract.
The attached authorization must be original and signed by the representatives of the Contractors
authorized in the light of the registration documents. It may also be in a form of a Notary Deed or a
copy confirmed by a notary public. The whole correspondence will be conducted with the
plenipotentiary.
A partnership shall attach the said authorization or a document in which the said authorization is
provided – a copy of the Memorandum of Association of the partnership or a resolution whose
consistency with the original has been confirmed.
A consortium shall attach the said authorization or a copy of the contract governing the cooperation of
the consortium whose consistency with the original has been confirmed, in which the established
authorization is specified.
6. Wykonawcy występujący wspólnie ponoszą solidarną odpowiedzialność za niewykonanie lub
nienależyte wykonanie zamówienia.

Contractors acting jointly shall be jointly and severally responsible for the non completion or
inadequate completion of the order.
7.
Dla uznania ważności oferta złożona przez konsorcjum musi zawierać dokumenty wymienione
w art. 4 § 2, § 3 lub w § 4 niniejszej SIWZ.

In order to be valid the tender, submitted by a consortium must enclose documents specified in art. 4
§ 2, § 3 or in § 4 of this SETC.
8.
Oferta złożona przez konsorcjum musi spełniać następujące dodatkowe wymogi:

8.1. Należy załączyć pełnomocnictwo do reprezentowania konsorcjum, zgodnie z § 5 pkt. 5
niniejszego artykułu; pełnomocnictwo musi w swej treści zawierać wskazanie niniejszego
postępowania;
8.1. An authorization to represent the consortium should be attached, in accordance with §
5 item 5 of this art.; the contents of the authorization must contain information on this
procurement procedure.
8.2. Oferta podpisana przez pełnomocnika musi być prawnie wiążąca, łącznie i z osobna dla
wszystkich podmiotów składających ofertę, spełniać wszystkie wymagania odnośnie uprawnień
do uczestnictwa w przetargu, oraz zawierać wszystkie informacje dla każdego z podmiotów oraz
dla konsorcjum, zgodnie ze Specyfikacją.
8.2. The tender signed by the plenipotentiary must be legally binding, jointly and severally
for all the entities that are jointly submitting the tender, it has to meet all the conditions
regarding the rights to participate in the tender procedure, and to include all information for
each of the entities and for the consortium, according to this Specification.
8.3. Pełnomocnik będzie upoważniony do zaciągania zobowiązań w imieniu i na rzecz każdego i
wszystkich podmiotów składających wspólną ofertę.
8.3. The plenipotentiary shall be authorized to incur liabilities on behalf of and for each entity and
for all entities submitting a joint tender.

8.4. Realizacja całości kontraktu łącznie z płatnościami będzie dokonywana wyłącznie przez
pełnomocnika reprezentującego podmioty występujące wspólnie.
8.4. The entire contract, including payments, shall be executed exclusively by the plenipotentiary
representing the entities acting jointly.
8.5. Wszystkie podmioty składającą wspólną ofertę będą odpowiedzialne na zasadach określonych w
Kodeksie Cywilnym.
8.5. All the entities jointly submitting the tender shall be responsible on terms and conditions defined
in the Civil Code.
9. W przypadku gdy ofertę składa konsorcjum:

9.1. Formularz oferty podpisuje pełnomocnik lub wszyscy członkowie konsorcjum. Na pierwszej stronie
formularza oferty należy wpisać informacje dotyczące wszystkich członków konsorcjum.

concerning all members of the consortium should be provided on the first page.
9.2. Każdy z Wykonawców występujących wspólnie, oddzielnie musi udokumentować, że nie podlega
wykluczeniu na podstawie art. 24 ust. 1 Ustawy, oraz że konsorcjum spełnia warunki określone w art.
22 ust. 1 Ustawy (oświadczenie o spełnieniu warunków udziału w postępowaniu – Formularz nr 2 podpisuje pełnomocnik lub wszyscy członkowie konsorcjum, natomiast oświadczenie o braku
podstaw do wykluczenia – Formularz nr 3 podpisuje każdy członek konsorcjum oddzielnie.
9.2. Each of the Contractors acting jointly, must separately prove the lack of the grounds for
exclusion from the contract award procedure under the art. 24 par. 1 of the Act, and that the
consortium meets the requirements specified in art. 22 par. 1 of the Act.(Declaration of fulfillment of
the required conditions – Form no 2 – shall be signed by the plenipotentiary or all the members of
the consortium, and declaration on the lack of ground for exclusion – Form no 3 - shall be signed by
each separate member of the consortium.
9.3. Dokumenty wymienione w art. 4 § 3 pkt 1 ppkt 1.2 SIWZ obowiązują każdego z członków
konsorcjum oddzielnie – należy złożyć odpowiednią do liczby członków konsorcjum liczbę
dokumentów podpisaną przez pełnomocnika lub wszystkich członków konsorcjum.
9.3. Documents specified in art. 4 par. 3 p. 1 item 1.2. of the SETC shall apply to each member of the
consortium separately – an appropriate number thereof, corresponding to the number of members of
the consortium, signed by the plenipotentiary or all the members of the consortium shall be
submitted.
9.4. Wzór umowy, oraz inne nie wymienione dokumenty, oświadczenia i formularze podpisuje (lub
parafuje) pełnomocnik konsorcjum lub wszyscy członkowie konsorcjum i dotyczą one całego
konsorcjum.
9.4. Contract template and other documents, declarations and forms, not listed (herein), shall be signed
(initialed) by the plenipotentiary or all members of the consortium. They apply to the whole
consortium.

§ 6.
Forma dokumentów

Dokumenty są składane w formie oryginału lub kopii poświadczonej za zgodność z oryginałem przez
Wykonawcę, z zastrzeżeniem pełnomocnictw określonych w niniejszej SIWZ, których treść i forma
muszą być zgodne z odpowiednimi zapisami niniejszego artykułu.

Documents shall be submitted in a form of originals or copies authenticated by the Contractor as to
their conformity to the original with exceptions defined in this SETC. The essence and form of
authorization shall comply with the provisions of this paragraph.
2.
Zamawiający może żądać przedstawienia oryginału lub notarialnie poświadczonej kopii dokumentu
jeśli złożona przez Wykonawcę kopia dokumentu jest nieczytelna lub budzi wątpliwości co do jej
prawdziwości.
2.
The Awarding Entity may demand that the originals or that the notarially authenticated copies of
documents be shown if the photocopies submitted will be indecipherable or if they raise doubts as to
their authenticity.
3.
Wszystkie dokumenty sporządzone w języku innym niż polski są składane wraz z tłumaczeniem na
język polski, poświadczone przez Wykonawcę za „zgodność z oryginałem”. Wyjątek stanowią
zwroty techniczne oraz dokumenty wymienione w art. 4 §2 pkt. 2 ppkt. 2.3, które mogą być pisane
w języku polskim lub angielskim oraz formularz ofertowy, który może być złożone w języku polskim
lub języku angielskim.

All documents prepared in language other than Polish, shall be submitted with Polish translation,
whose compliance with the original has been attested by the Contractor, except the technical
expressions and documents listed in art 4 par. 2 p. 2 item 2.3, which can be prepared either in Polish
or in English.
4.
W razie rozbieżności pomiędzy polską i angielską wersją dokumentów opracowanych przez
Zamawiającego wersją obowiązująca jest wersja polskojęzyczna.

In case of discrepancies between Polish and English versions of the documents prepared by the
Awarding Entity the applicable version shall be the Polish version.

1. Niniejsze postępowanie o udzielenie zamówienia będzie prowadzone z zachowaniem formy pisemnej oświadczenia, wnioski, zawiadomienia oraz informacje Zamawiający i Wykonawcy przekazują

1. In this award procedure the Awarding Entity and the Contractors shall provide statements,
requests, notifications and information in writing, by fax or by electronic means.

Wyjaśnienie treści oraz zmiany w SIWZ
Explanation of the contents and amendments of the SETC
1.
Wyjaśnienia dotyczące Specyfikacji.

Explanations regarding the Specification.
1.2. Wykonawca może zwrócić się do Zamawiającego o wyjaśnienie treści Specyfikacji Istotnych
Warunków Zamówienia. Wnioski powinien kierować na piśmie drogą elektroniczną, pocztą lub
faksem na adres Zamawiającego podany w art. 5 § 2 ust. 2.
1.2. The Contractor may request the Awarding Entity to explain the contents of the SETC. The
request shall be submitted in writing via e-mail, post, fax or directly to the address of the
Awarding Entity, indicated in art. 5 § 2 par. 2.

1.3. Zamawiający niezwłocznie udzieli wyjaśnień na wnioski Wykonawców, które otrzyma
w określonej w SIWZ formie, jednak nie później niż na 2 dni przed upływem składania ofert pod
warunkiem, że wniosek o wyjaśnienie treści Specyfikacji wpłynął do Zamawiającego nie później
niż do końca dnia, w którym upływa połowa wyznaczonego terminu składania ofert.
1.3. The Awarding Entity shall immediately provide explanations to queries of the Contractors, that
were submitted in the form specified in the SETC, not later than 2 days before the expiry of the
time limit for submission of tenders, provided, that the request for explanation of the contents of
the SETC was received by the Awarding Entity not later than by the end of the day, on which
passes half of the time limit allowed for submission of tenders.
1.4. Jeśli wniosek o wyjaśnienie treści Specyfikacji wpłynął po upływie terminu składania wniosku,
o którym mowa w pkt. 1.3. lub dotyczy udzielonych wyjaśnień, Zamawiający może udzielić
wyjaśnień albo pozostawić wniosek bez rozpoznania.
1.4. If the request for explanation of the contents of the SETC was received after the end of the time
limit for such requests, as referred to in clause 1.3, or when the request pertains to clarifications
already given, the Awarding Entity can either give clarifications or disregard the request.
1.5. Przedłużenie terminu składania ofert nie wpływa na bieg terminu składania wniosku, o którym
mowa w pkt. 1.2.
1.5. The extension of the time limit for submission of tenders shall not affect the run of the time limit
for requests as referred to in clause 1.2.
1.6. Treść zapytań wraz z wyjaśnieniami Zamawiającego zostanie przekazana Wykonawcom, którym
Zamawiający przekazał Specyfikację, bez ujawniania źródła zapytania i zamieszczona na stronie
internetowej, na której jest udostępniona Specyfikacja.
1.6. The Awarding Entity shall provide the text of the queries along with the explanations at the same
time to all Contractors who have received the SETC, without disclosing the source of the query,
and shall post it on its website on which the SETC is available.
2.
Zmiana treści Specyfikacji.

Modification of the content of the Specification.
2.1. W uzasadnionych przypadkach Zamawiający może przed upływem terminu składania ofert
zmienić treść Specyfikacji. Dokonaną zmianę Specyfikacji Zamawiający przekaże niezwłocznie
wszystkim Wykonawcom, którym przekazano SIWZ i zamieści na stronie internetowej, na której
jest udostępniona Specyfikacja.
2.1. In justified cases, the Awarding Entity may, prior to the expiry of the time limit for the
submission of tenders, modify the content of the SETC. This modification shall be immediately
provided to all the Contractors who have received the SETC, and it shall be posted on the
website of the Awarding Entity on which the Specification is available.
2.2. Każda taka zmiana będzie stanowić treść Specyfikacji, zgodnie z zapisami niniejszego paragrafu.
2.2. Each modification shall constitute the contents of the SETC, according to the provisions of this
paragraph.
2.3. Jeżeli zmiana treści Specyfikacji prowadzi do zmiany treści ogłoszenia o zamówieniu,
Zamawiający zamieści ogłoszenie o zmianie w Biuletynie Zamówień Publicznych.
2.3. If the modification of the content of the SETC leads to modification of the contract notice, the
Awarding Entity shall place the notice on the modification of the notice in the Public
Procurement Bulletin.

2.4. Zamawiający niezwłocznie po zamieszczeniu ogłoszenia o zmianie w Biuletynie Zamówień
Publicznych zamieści informację o zmianach w swojej siedzibie - na tablicy ogłoszeń oraz na

2.4. After the modification of the contract notice is dispatched to the Public Procurement Bulletin the
Awarding Entity shall forthwith place the information on the modification in its seat – on the
information board and the website: www.fuw.edu.pl

Jeżeli w wyniku zmiany treści SIWZ nieprowadzącej do zmiany treści ogłoszenia o zamówieniu jest
niezbędny dodatkowy czas na wprowadzenie zmian w ofertach, Zamawiający przedłuży termin
składania ofert i poinformuje o tym Wykonawców, którym przekazał SIWZ, oraz na stronie
internetowej, na której jest udostępniona Specyfikacja.
3.
If due to the modification of the content of the SETC which does not lead to the modification of the
content of the contract notice an additional time is necessary to make changes to the tenders, the
Awarding Entity shall extend the time limit for the submission of tenders, and shall notify it to the
Contractors who have received the SETC, and shall likewise post this information on its website on
which the Specification is available.
4.
Zamawiający nie przewiduje zebrania Wykonawców.

TERMIN ZWIĄZANIA OFERTĄ

§ 1.
Opis sposobu obliczenia ceny oferty

Cena oferty, z zastrzeżeniem ust. 8, musi zawierać należny podatek VAT. Ceną oferty jest cena
brutto zawarta w Formularzu oferty (zał. Nr 1).

A tender should specify the price including the due VAT amount, with exception of par.8. The price
of the tender is the gross value specified in the tender form (app. No 1).
2.
Podana w ofercie cena musi być wyrażona w „PLN”, lub „EURO” lub „USD”.

The price of the tender shall be given in „PLN” or „EURO” or „USD”.
3.
Cena przedstawiona przez Wykonawcę zawiera całkowite wynagrodzenie ze wszystkimi jego
składnikami i dopłatami, które jest niezmienne do końca realizacji zamówienia objętego niniejszym
przetargiem.

The price presented in the tender includes the total amount of the remuneration with all its
components and additional payments. The amount of the remuneration may not undergo any changes
until the final completion of the order under the tender procedure.
4.
Cena oferty musi zawierać wszystkie przewidywane koszty kompletnego wykonania zadania, musi
uwzględniać wszystkie wymagania niniejszej SIWZ oraz obejmować wszelkie koszty, jakie poniesie
Wykonawca z tytułu należytej oraz zgodnej z obowiązującymi przepisami realizacji przedmiotu
zamówienia (cenę sprzętu, pakowanie, dostawę do Instytutu Fizyki UW, niezbędne ubezpieczenia itp.) .
4.
The price must include all the expected costs of completing the order, must meet all the conditions of
this SETC and must cover all cost that the Contractor will bear in accordance with realization of the
contract (cost of the equipment, packaging, delivery to the Faculty of Physics of the Warsaw
University, insurance cost etc.).
5.
Wszelkie przyszłe rozliczenia między Zamawiającym a Wykonawcą dokonywane będą w „PLN” lub
„EURO” lub „USD”.

All future settlements between the Awarding Entity and the Contractor will be made in „PLN” or
„EURO” or „USD”.
6.
Skutki finansowe jakichkolwiek błędów w dokumentacji obciążają Wykonawcę zamówienia – musi
on przewidzieć wszystkie okoliczności, które mogą wpłynąć na cenę zamówienia.

The financial implications of any errors shall be borne by the Contractor – the Contractor shall
foresee all the circumstances that may affect the tender price.
7.
Do oceny ofert Zamawiający przyjmie cenę brutto z formularza oferty.

The evaluation of tenders will be based on the gross price presented in tender form.
8.
Wykonawcy zagraniczni biorący udział w niniejszym postępowaniu winni wpisać na formularzu
oferty wartość netto. W przypadku podania wartości w EUR lub USD zostanie ona przeliczona przez
Zamawiającego na PLN zgodnie z średnim kursem NBP z dnia otwarcia ofert. Wyłącznie do oceny i
porównania ofert Zamawiający doliczy kwotę należnego podatku VAT. Umowa zostanie podpisana
na kwotę netto, podatek VAT Zamawiający odprowadzi we własnym zakresie.
Polscy Wykonawcy wskazują w formularzu oferty wartość brutto zamówienia.
8.
Foreign Contractors taking part in this contract award procedure shall indicate in the tender form
the net value. Shall the value be given in EURO or USD the Awarding Entity will convert it into
“PLN” on the basis of the average rate of exchange published by the NBP on the date of opening
of tenders. The Awarding Entity will add the due VAT amount exclusively for the purpose of
evaluation and comparison of the tenders. The contract will be signed for the net amount, the VAT
amount will be paid by the Awarding Entity.
Polish Contractors indicate in their tenders the gross value of the order.
9.
Nie jest dopuszczalne określenie ceny oferty przez zastosowanie rabatów, upustów itp. w stosunku
do kwoty “OGÓŁEM”.

§ 2.

Kryterium temu zostaje przypisana maksymalna liczba 100 punktów. Ilość punktów przyznawana będzie

1. The criterion of evaluation of tenders is: the price
This criterion will be given maximum 100 points. The points will be given to the Contractors in
accordance with the following algorithm:
The tender with the lowest price will be given 100 points.
Other tenders – the number of points shall be calculated using the following formula:
Pi = the lowest price x 100 points
price of the evaluated tender
where:
i - number of the evaluated tender
Pi - number of points/the score for „the price” criterion (of the evaluated tender)
Price of the tender is the gross price from the tender form
2. Zamawiający udzieli zamówienia Wykonawcy, którego oferta spełnia wymagania określone w ustawie,
w SIWZ, oraz uzyska największą liczbę punktów.
2. The Awarding Entity will place the order with the Contractor whose tender will meet the conditions
specified in the Act and the SETC and will be given the highest score.

OPIS SPOSOBU PRZYGOTOWANIA OFERT
DESCRIPTION OF PREPARATION OF TENDERS
§ 1.
Przygotowanie ofert
Preparation of tenders
1.
Oferta (Formularz oferty), wraz z załączonymi dokumentami, oświadczeniami itd. musi być
sporządzona z zachowaniem formy pisemnej, czytelnie, w języku polskim (z wyjątkiem opisu
technicznego oferowanego sprzętu lub kart katalogowych oraz dokumentów wymienionych w art. 4 §
2 pkt. 2 ppkt. 2.3, które mogą być złożone w języku angielskim) na maszynie, komputerze lub
nieścieralnym atramentem, oraz podpisana przez osobę/osoby upoważnione do reprezentowania
Wykonawcy.
1.
A tender (tender form), together with the appendices - documents, declarations, etc., must be
prepared in writing, legibly, in Polish language (except the technical notes and documents listed in
art 4 par. 2 p. 2 item 2.3, which can be prepared in English), using a type-writer, computer or
indelible ink and signed by the person/persons authorized to represent the Contractor.
2.
Jeżeli z załączonych dokumentów, określających sposób reprezentowania Wykonawcy wynika, że do
reprezentowania Wykonawcy, konieczne są podpisy łącznie dwóch lub więcej osób, brak jednego z
tych podpisów spowoduje odrzucenie oferty.
2.
If the attached documents, specifying the way of representing of the Contractor, contain information
according to which 2 or more signatures of 2 or more persons are required on the tender documents,
lack of one of the signatures will effect in the rejection of the tender.
3.
Jeżeli w niniejszej SIWZ zamieszczony został zapis o konieczności złożenia podpisu (parafy) przez
osoby upoważnione do reprezentowania Wykonawcy, należy składać podpisy zgodnie z zapisem ust.
2, w sposób umożliwiający identyfikację podpisującego, np. pieczęcie imienne.
3.
If this SETC contains a provision according to which the persons authorized to represent the
Contractor should put their signatures (initials), this must be done in such a way as to enable the
person signing to be identified, e.g. by using a name stamp.
4.
Wykonawca ma prawo złożyć tylko jedną ofertę. W przypadku złożenia większej liczby, wszystkie
oferty tego Wykonawcy zostaną odrzucone.
4.
A Contractor shall have the right to submit one tender only. Should a greater number of tenders be
submitted, all the tenders of that Contractor shall be rejected.
5.
Ofertę należy sporządzić zgodnie z formularzami stanowiącymi załączniki niniejszej Specyfikacji,
stosując się do wymagań określonych w Specyfikacji.

A tender should be prepared in accordance with the presented forms following the requirements
specified in this SETC,
6.
Do formularza oferty należy załączyć wszystkie oświadczenia oraz dokumenty wymagane
postanowieniami Specyfikacji - w formie określonej w Specyfikacji.

The tender form should be accompanied by all the statements and documents required by the
provisions of the SETC – in the form specified in the SETC.
7.
W przypadku, gdy Wykonawca do oferty załączy kopię jakiegoś dokumentu, musi być ona
potwierdzona (podpisana) „za zgodność z oryginałem” przez osoby upoważnione do reprezentowania

Wykonawcy, zgodnie z zapisami ust. 2 i ust. 3 niniejszego paragrafu, w sposób umożliwiający
identyfikację podpisującego przez użycie pieczęci imiennej.
Pełnomocnictwa należy załączyć do oferty wyłącznie w formie określonej w art. 4 niniejszej SIWZ.
7.
Should a Contractor enclose a copy of any document to his tender, the last written page of that copy
must be confirmed (signed) “for consistency with the original” by the persons authorized to
represent the Contractor, in accordance with item 2 and item 3 of this paragraph in such a way as to
enable the signing person to be identified by using a name stamp.
The authorizations shall be attached to the SETC in the form described in art. 4 of the
SETC

Załączona kopia dokumentu powinna być czytelna.
Zamawiający może zażądać przedstawienia oryginału lub notarialnie poświadczonej kopii
dokumentu wtedy, gdy złożona przez Wykonawcę kopia dokumentu jest nieczytelna lub budzi
wątpliwości co do jej prawdziwości.
8.
The attached copy of the document should be legible.
The Awarding Entity may demand presentation of the original or a copy of the document
certified by a notary public when the copy of the document submitted by the Contractor is
illegible or raises doubts as to its authenticity.
9.
Zaleca się, aby wszystkie strony/kartki oferty były parafowane przez osoby upoważnione do
reprezentowania Wykonawcy, z zastrzeżeniem ust. 12 niniejszego paragrafu – parafa obligatoryjna.

It is recommended that all the pages/sheets of a tender be signed by the persons authorized to
represent the Contractor, in recognition of clause 12 of this paragraph – the initialing.
10. Zaleca się, aby każda strona lub kartka oferty była ponumerowana – z zachowaniem ciągłości
numeracji.

11. Wszelkie poprawki lub zmiany dokonane w ofercie wraz ze wszystkimi załącznikami muszą być
datowane i parafowane (parafa obligatoryjna) przez osoby upoważnione do reprezentowania
Wykonawcy, zgodnie z zapisami ust. 2 i ust. 3 niniejszego paragrafu w sposób umożliwiający
identyfikację podpisującego przez użycie pieczęci imiennej.
11. All the corrections or changes made to a tender and to all the appendices must be dated and initialed
by the persons authorized to represent the Contractor, in accordance with item 2 and 3 of this
paragraph in such a way as to enable the person signing to be identified by using a name stamp.
12. Wykonawcy ponoszą wszelkie koszty związane z przygotowaniem i złożeniem ofert niezależnie od
wyniku postępowania.
12. The Contractors shall incur all the costs associated with preparation and submission of the tenders
irrespective of the outcome of the procedure.
13. Zaleca się, aby oferta była trwale zespolona (zszyta lub zbindowana).

14. Informacje stanowiące tajemnicę przedsiębiorstwa Wykonawcy, w rozumieniu przepisów o
zwalczaniu nieuczciwej konkurencji, nie będą ujawniane innym uczestnikom postępowania, jeżeli
Wykonawca, nie później niż w terminie składania ofert, zastrzeże, że nie mogą one być udostępniane
- art. 8 ust. 3 Ustawy. Wykonawca nie może zastrzec informacji, o których mowa w art. 86 ust. 4
Ustawy (tj. - nazwy (firmy), adresu Wykonawcy, informacji dotyczących ceny, terminu wykonania
zamówienia, okresu gwarancji i warunków płatności).

15. Information, which is regarded as a business secret, within the meaning of the provisions concerning
the combating of unfair competition, shall not be disclosed, if not later than within the time limit for
the submission of tenders a Contractor made a reservation as to their nondisclosure – art. 8 par. 3 of
the Act. The Contractor may not stipulate that the information referred to in art. 86 par. 4 should not
be disclosed (i.e. – (company) name and address, information concerning the price, time limit
for the completion of the contract, period of guarantee and terms of payment).
15. Dokumenty stanowiące tajemnicę przedsiębiorstwa winny być umieszczone na końcu oferty i
oznaczone „TAJEMNICA PRZEDSIEBIORSTWA” lub stanowić odrębną część oznaczoną
„TAJEMNICA PRZEDSIĘBIORSTWA”.
15. Documents regarded as a business secret should be enclosed at the end of the tender and marked as
“BUSINESS SECRET”. They may also be a separate part of the tender, marked as “BUSINESS
SECRET”.
§ 2.
Zmiana lub wycofanie ofert
Modification or withdrawal of tenders
1. Wykonawca może, przed upływem terminu do składania ofert, zmienić lub wycofać ofertę.
1. A Contractor may modify or withdraw its tender in any moment prior to the expiry of the time limit for
submission of tenders
2. Powiadomienie o zmianie lub wycofaniu oferty powinno być złożone na piśmie w sposób określony w
art. 10 § 1. Powiadomienie o wprowadzeniu zmian lub wycofaniu oferty musi być złożone według
takich samych zasad jak składana oferta, tj. w odpowiednio oznakowanej kopercie lub opakowaniu. W
takich przypadkach koperty lub opakowania powinny być opatrzone napisami "ZMIANA OFERTY" lub
"WYCOFANIE OFERTY "
2. Notification of a modification or withdrawal of a tender shall be delivered to the Awarding Entity in
writing in the form specified in art. 10 § 1. Notification of a modification or withdrawal of a tender
must be submitted on the same terms as tenders are submitted, i.e. – in a sealed and marked envelope
or other package. In such cases the Contractor shall put annotation: “MODIFICATION” or
“WITHDRAWAL” on the envelope or package.

Protokół z otwarcia ofert (Zbiorcze zestawienie ofert) przekazuje się Wykonawcom, na ich
pisemny wniosek.

the Contractors at their written request.

SPOSÓB OCENY OFERT
METHOD OF EVALUATION OF TENDERS
§ 1.
Zasady korekty omyłek oraz wyjaśnienia dotyczące treści złożonych ofert.
Rules for correcting errors
1.
Zamawiający poprawia w ofercie:
1.1. oczywiste omyłki pisarskie,
1.2. oczywiste omyłki rachunkowe, z uwzględnieniem konsekwencji rachunkowych dokonanych
poprawek.

1.3. inne omyłki polegające na niezgodności oferty ze Specyfikacją istotnych warunków zamówienia,
niepowodujące istotnych zmian w treści oferty

niezwłocznie zawiadamiając o tym Wykonawcę, którego oferta została poprawiona.
The Awarding Entity shall correct in the text of the tender:
1.1. obvious misprints,
1.2. obvious computational errors considering the calculation consequences of the introduced
modifications,
1.3. other errors which result in inconsistency with Specification of essential terms of contract but do
not cause essential modifications of the tender
– and shall forthwith inform the Contractor whose tender has been corrected.
15 Zamawiający odrzuca ofertę, jeżeli Wykonawca w terminie 3 dni od dnia doręczenia zawiadomienia
nie zgodził się na poprawienie omyłki, o której mowa w ust. 1 pkt. 1.3 niniejszego paragrafu.
2.
The Awarding Entity shall reject a tender, if the Contractor within 3 days from the submission of
notification, did not agree to correct an error, referred to in par. 1 item 1.3 of this paragraph.
3.
W toku badania i oceny ofert Zamawiający może żądać od Wykonawców wyjaśnień dotyczących
treści złożonych ofert.

During examination and evaluation of tenders the Awarding Entity may require from the Contractors
to submit explanations of the tenders’ contents.
§ 2.
Odrzucenie oferty
Rejection of a tender
1. Zamawiający odrzuci ofertę w przypadkach określonych w art. 89 ust. 1 Ustawy.
1. The Awarding Entity shall reject a tender, in the cases referred to in art. 89 par. 1 of the Act.
2. O odrzuceniu ofert Zamawiający zawiadomi równocześnie wszystkich Wykonawców, podając
uzasadnienie faktyczne i prawne.
2. The Awarding Entity shall notify simultaneously all Contractors, providing factual and legal grounds.
§ 3.
Unieważnienie postępowania
Cancellation of a contract award procedure

Zamawiający unieważni postępowanie o udzielenie zamówienia w przypadkach określonych w art.
93 ust. 1 i 1a Ustawy.
The Awarding Entity shall cancel the contract award procedure in the cases, referred to in art. 93
par. 1 and 1a of the Act.
O unieważnieniu postępowania o udzielenie zamówienia Zamawiający zawiadamia równocześnie
wszystkich Wykonawców, którzy:
2.1. ubiegali się o udzielenie zamówienia – w przypadku unieważnienia postępowania przed
upływem terminu składania ofert,
2.2. złożyli oferty – w przypadku unieważnienia postępowania po upływie terminu składania ofert
- podając uzasadnienie faktyczne i prawne.
2.
About the cancellation of the procedure, the Awarding Entity shall notify simultaneously all
Contractors who:

submission of tenders,
2.2. submitted tenders - in the case of cancellation of a procedure after the final date for
submission of tenders
- providing factual and legal grounds.
§ 4.
Wybór najkorzystniejszej oferty
Selection of the most advantageous tender
Zamawiający udzieli zamówienia Wykonawcy, którego oferta odpowiada wszystkim wymaganiom
przedstawionym w Ustawie, w SIWZ i została oceniona jako najkorzystniejsza w oparciu o podane
kryteria wyboru – wskaźnik oceny oferty będzie najwyższy, z zastrzeżeniem okoliczności określonych w
art. 93 ust. 1 Ustawy.
The Awarding Entity shall place the order with the Contractor whose tender meets all the requirements
presented in the Act and SETC, and was evaluated as the most advantageous according to the given
evaluation criteria – the highest score of tender’s evaluation, subject to circumstances referred to in art.
93 par. 1 of the Act.
Art. 12.
ZABEZPIECZENIE NALEŻYTEGO WYKONANIA UMOWY
SECURITY ON DUE PERFORMANCE OF THE CONTRACT
Zamawiający nie będzie żądać od Wykonawcy, którego oferta zostanie wybrana jako najkorzystniejsza,
wniesienia przed podpisaniem umowy zabezpieczenia należytego wykonania umowy.
The Awarding Entity will not request the Contractor, whose tender was evaluated as the most
advantageous, to provide security on due performance of the contract.
Art. 13.
ZAWIADOMIENIE O WYNIKACH POSTĘPOWANIA I ZAWARCIE UMOWY
INFORMATION ABOUT THE RESULTS OF THE PROCEDURE AND CONCLUSION
OF THE CONTRACT.
§ 1.
Powiadomienie o wynikach postępowania
Information of the results of the procedure
1.
Niezwłocznie po wyborze najkorzystniejszej oferty Zamawiający jednocześnie zawiadamia
Wykonawców, którzy złożyli oferty, o:
1.1. wyborze najkorzystniejszej oferty, podając nazwę (firmę) albo imię i nazwisko, siedzibę albo
miejsce zamieszkania i adres Wykonawcy, którego ofertę wybrano, uzasadnienie jej wyboru oraz
nazwy (firmy) albo imiona i nazwiska, siedziby albo miejsce zamieszkania i adresy
Wykonawców, którzy złożyli oferty a także punktację przyznaną ofertom w każdym kryterium
oceny ofert i łączną punktację,
1.2. Wykonawcach, których oferty zostały odrzucone, podając uzasadnienie faktyczne i prawne,
1.3. Wykonawcach, którzy zostali wykluczeni z postępowania o udzielenie zamówienia, podając
uzasadnienie faktyczne i prawne,

1.4. terminie, określonym zgodnie z art. 94 ust. 1 lub 2 Ustawy, po którego upływie umowa w
sprawie zamówienia publicznego może być zawarta.

After selection of the most advantageous tender, the Awarding Entity shall forthwith
inform the Contractors who submitted tenders about:
1.1. the selection of the most advantageous tender, stating the name (company name) or name and
surname, seat or place of residence and address of the Contractor, whose tender was selected,
justification for its selection, as well as names (company names) or names and surnames, seats
or places of residence and addresses of the Contractors who submitted their tenders, as well as
the scoring of tenders in every tender evaluation criterion and the total score,
1.2. the Contractors whose tenders were rejected stating factual and legal grounds,
1.3. the Contractors who were excluded from the contract award procedure stating factual and legal
grounds,
1.4. the time limit, set in accordance with Article 94 par. 1 or par. 2 of the Act, after which the public
contract can be concluded.
2. Niezwłocznie po wyborze najkorzystniejszej oferty Zamawiający zamieści informacje, o których
mowa w ust. 1 pkt. 1.1. na stronie internetowej www.fuw.edu.pl oraz w miejscu publicznie
dostępnym w swojej siedzibie.
2.
Immediately after the selection of the most advantageous tender, the Awarding Entity shall post the
information referred to in paragraph 1 item 1.1, on its website and in a publicly accessible location
in its own seat.
3.
Niezwłocznie po zawarciu umowy w sprawie zamówienia publicznego Zamawiający zamieści
ogłoszenie o udzieleniu zamówienia w Biuletynie Zamówień Publicznych.
3. The Awarding Entity shall immediately, after the conclusion of the public procurement contract or
the framework agreement, place a contract award notice in the Public Procurement Bulletin.
§ 2.
Zawarcie umowy
Conclusion of the contract
1.
Zamawiający zawiera umowę w sprawie zamówienia publicznego, z zastrzeżeniem art. 183 w
terminie nie krótszym niż 5 dni od dnia przesłania zawiadomienia o wyborze najkorzystniejszej
oferty.
1. The Awarding Entity executes the agreement on public contract, subject to Article 183 of the Act,
after at least 5 days from the day on which the information on the selection of the most advantageous
tender was dispatched.
2.
Zamawiający może zawrzeć umowę w sprawie zamówienia publicznego przed upływem terminów, o
których mowa w ust. 1, jeżeli w postępowaniu o udzielenie zamówienia złożono tylko jedną ofertę.
2.
The Awarding Entity shall conclude a public procurement contract prior to the expiry of the time
limits, referred to in paragraph 1, if under open tendering only one tender was submitted.
3. Jeżeli Wykonawca, którego oferta została wybrana, uchyla się od zawarcia umowy w sprawie
zamówienia publicznego Zamawiający może wybrać ofertę najkorzystniejszą spośród pozostałych
ofert, bez przeprowadzania ich ponownego badania i oceny, chyba że zachodzą przesłanki
unieważnienia postępowania, o których mowa w art. 93 ust 1 Ustawy.

3.
If the Contractor whose tender was selected refuses to conclude a contract, the Awarding Entity may
select the best tender from among the remaining tenders without their reevaluation unless the
circumstances, referred to in Article 93 paragraph 1 of the Act, occur.
4.
Wybranemu Wykonawcy Zamawiający wskaże termin i miejsce podpisania umowy.

The Awarding Entity shall indicate the date and place of signing the contract to the chosen
Contractor.
§ 3.
Istotne warunki umowy
Significant terms of the contract
1. Istotne postanowienia, które będą wprowadzone do treści umowy, określa wzór umowy, który
stanowi załącznik nr 5 niniejszej SIWZ.
1. The essential provisions that will be introduced into the contents of the public procurement are
described in the contract template that constitutes the Appendix 6 of the SETC.
2.
Wykonawca po zapoznaniu się z treścią wzoru umowy, może zwrócić się do Zamawiającego
(zgodnie z zapisami art. 5 § 1), z zapytaniem dotyczącym tych postanowień umowy, co do których
ma wątpliwości lub z którymi się nie zgadza.
2.
After becoming familiar with the SETC the Contractor may turn to the Awarding Entity (pursuant to
the regulations of art. 5 § 1 of this SECT) for explanations concerning all doubts connected with the
essence of the public procurement contract, if it raises any doubts or questions.
§ 4.

1. Należności Wykonawcy będą regulowane w formie polecenia przelewu z rachunku Zamawiającego na
rachunek Wykonawcy w ciągu 30 dni od daty otrzymania faktury z załączonym podpisanym
protokołem odbioru końcowego.
1. The payment of the Contractor will be made by the Awarding Entity in the form of a bank transfer from
the account of the Awarding Entity to the account of the Contractor within 30 days from the date of
receiving of the invoice along with the final reception protocol.
2. Zamawiający oświadcza, że środki na sfinansowanie zamówienia pochodzą z projektu
„Charakteryzacja epitaksjalnego grafenu do zastosowań w tranzystorach nowej generacji”
realizowanego w ramach projektu “Epitaxial Graphene Transistor” (EPIGRAT), koordynowanego przez
European Science Foundation w ramach EUROCORES Programme: EuroGRAPHENE. Na podstawie
art. 4 pkt. 3 lit. c ustawy z dnia 12 czerwca 2003 r. o terminach zapłaty w transakcjach handlowych (Dz.
U. Nr 139 poz. 1323 z późn. zm.), w/w ustawy nie stosuje się.
2. The Awarding Entity states that the means for financing of the order come from the „Charakteryzacja
epitaksjalnego grafenu do zastosowań w tranzystorach nowej generacji” in the frame of “Epitaxial
Graphene Transistor” (EPIGRAT) project coordinated by European Science Foundation in

internetową. Czas reakcji serwisu (rozumiany jako kontakt e-mailowy lub telefoniczny serwisu z

powiadomienia serwisu przez Zamawiającego. Przez dni robocze rozumie się dni od poniedziałku do

The offered equipment will be covered by a free of charge guarantee for a period of …. months in

The guarantee shall cover all the defects revealed and resulting from a correct exploitation of the
equipment within the time limit of the warranty.

The guarantee’s length will be counted starting from the date of receipt of the complete object of the
order. The receipt of the object of the order will be documented by the protocol of receipt, signed by
the representative of the Awarding Entity.
7.
The time of defect’s repair/breakdown elimination – will not exceed 60 days (counted from the date
of a day of delivery of the equipment to the Contractor's seat). Costs of repairs and dispatches shall
entirely be borne by the Contractor.

We oblige ourselves to hold runtime consultancy service by telephone and internet communication
means. The service reaction time (understood as an e-mail or telephone contact of the service with
the Contracting Authority) within 2 working days counted from the date of notification of the service
station. Working days shall mean days from Monday till Friday, except Saturdays, Sundays and
public holidays.
10. During the guarantee period we assure full and free of charge guarantee service, without additional
travel costs and costs of the stay of the service staff (in the country of the Awarding Entity).
11. We oblige ourselves to provide access to spare parts during the period of …. years from the delivery

12. We assure, that the offered equipment meets European requirements regarding safety conditions, that
it is brand new and that it has not been previously used.

Przedmiot zamówienia jest częścią projektu „Charakteryzacja epitaksjalnego grafenu do zastosowań
w tranzystorach nowej generacji” PS40 realizowanego w ramach projektu “Epitaxial Graphene
Transistor” (EPIGRAT), koordynowanego przez European Science Foundation w ramach EUROCORES
Programme: EuroGRAPHENE.
The subject matter of the order constitutes a part of the project „Charakteryzacja epitaksjalnego grafenu
do zastosowań w tranzystorach nowej generacji” PS40 in the frame of “Epitaxial Graphene Transistor”
(EPIGRAT) project coordinated by European Science Foundation in EUROCORES Programme:
EuroGRAPHENE.
§3
Strony ustalają następujący termin (okres) realizacji umowy:
The parties to the contract appoint the following time limit (period) for execution of the contract:
1) realizacja całości zamówienia winna nastąpić w terminie 12 tygodni od daty podpisania
niniejszej umowy;
1) completion of the whole order shall take place within the time limit of 12 weeks from the date of
signing of this contract;
2) za termin zakończenia realizacji zamówienia uważa się dzień, w którym nastąpiło wydanie
całości urządzeń, zgodnie z warunkami określonymi w ofercie Sprzedawcy. Wydanie ma być
potwierdzone protokołem odbioru przez przedstawiciela Kupującego.
2) The date of order completion shall be the date of delivery of the equipment, according to the
conditions specified in the tender of the Contractor. Handing over shall be confirmed by the
acceptance protocol by a representative of the Contracting Authority.
§4
Do obowiązków Kupującego należy:
1) przystąpienie do komisyjnego odbioru urządzenia w terminie 7 dni, licząc od daty zgłoszenia
gotowości przez Sprzedawcę,

2) terminowe dokonanie zapłaty za wykonanie umowy, zgodnie z zasadami określonymi w § 6
niniejszej umowy,
3) wyznaczenie osoby odpowiedzialnej do kontaktów z przedstawicielem Sprzedawcy.
The responsibilities of the Contracting Authority are:
1) starting the procedure of the receipt of the equipment in the presence of the commission within 7
days from the date of notification of readiness to deliver the equipment from the Contractor,
2) to pay in a timely manner for the execution of the contract, according to provisions of
§ 6 of this contract,
3) appointing a person responsible for contacts with the Contractor’s representative.
§5
Do obowiązków Sprzedawcy należy:
1) zrealizowanie zamówienia zgodnie ze szczegółowym opisem urządzeń i z obowiązującymi
przepisami prawa oraz przeprowadzenie testu poprawności działania urządzeń,
2) wyznaczenie osoby odpowiedzialnej za prawidłowy tok realizowanej umowy,
3) Sprzedawca zobowiązuje się do bieżącej konserwacji, naprawy urządzeń i ich elementów w
okresie gwarancyjnym, obejmującym całość urządzeń oraz elementów wchodzących w ich
skład.
The responsibilities of the Contractor are:
1) completion of the order according to the detailed description of the equipment with the
consideration of valid legal norms, and verification of the equipment functioning,
2) appointing the person who will be responsible for the correct execution of the contract,
3) the Contractor obliges itself to maintain and repair the equipment and its parts during the
warranty period, that covers the whole equipment and its parts.
§6

Cena zawiera całkowite wynagrodzenie ze wszystkimi jego składnikami i dopłatami (zgodnie z
zapisami art. 8 SIWZ), które jest niezmienne do końca realizacji zamówienia objętego niniejszym
przetargiem.

The parties to the contract fix the Contractor’s remuneration for accomplishing the object of the
Contract on the basis of the Contractor’s tender as follows:

The price includes the total amount of the remuneration with all its components and additional
payments (in accordance with art. 8 of the SETC). The amount of the remuneration may not undergo
any changes until the final completion of the order under the tender procedure.
2.
Sprzedawca otrzyma wynagrodzenie w wysokości 100% ceny po ostatecznym odbiorze urządzeń
przez Kupującego (potwierdzonym protokołem odbioru).
2. The Contractor shall receive a remuneration in the amount of 100% of the price after the final receipt
of the equipment by the Contracting Authority (confirmed by a receipt protocol).
3.
Płatność nastąpi w formie przelewu z rachunku Kupującego na rachunek Sprzedawcy w terminie 30
dni po dostarczeniu przez Sprzedawcę prawidłowo wystawionej faktury.
3.
Payment will be made in the form of a bank transfer from the account of the Awarding Entity to the
account of the Contractor within 30 days counted from the date of receiving a correctly prepared
invoice by the Contracting Authority.
4.
Faktura winna być wystawiona w języku polskim lub angielskim, w „PLN” lub „EURO” lub „USD”.

Invoice shall be prepared in Polish or English language, in one of the following currencies: „PLN”
or „EURO” or „USD”.
5.
Cena jest płatna przelewem z rachunku Kupującego na konto Sprzedawcy wskazane na fakturze.

The price shall be paid by means of a bank transfer from the Contracting Authority`s bank account to
the Contractor`s bank account indicated in the invoice.
6.
Za datę wykonania zapłaty ceny strony przyjmują datę obciążenia rachunku Kupującego kwotą
płatności.

The date on which the remuneration amount is credited to the account of the Contractor shall be
deemed to be the day on which the Contracting Authority’s bank account is debited with the transfer
order.
7.
W przypadku nieterminowej płatności Sprzedawca ma prawo naliczyć Kupującemu odsetki
ustawowe za każdy dzień zwłoki.
7.
In the event of a late payment of the invoices the Seller has the right to charge statutory interest to
the Contracting Authority.
8. Kupujący oświadcza, że środki na sfinansowanie zamówienia pochodzą z projektu „”. Na podstawie
art. 4 pkt. 3 lit. c ustawy z dnia 12 czerwca 2003 r. o terminach zapłaty w transakcjach handlowych
(Dz. U. Nr 139 poz. 1323 z późn. zm.), w/w ustawy nie stosuje się.
8. The Contracting Authority states that the means for financing of the order come from the”. On the
basis of art 4.item 3 letter c of the Act of 12 June 2003 - Payment Dates in Commercial Transactions

(Journal of Laws no 139 pos. 1323 with further amendments) the above mentioned act should not be
applied.
§7
1. Sprzedawca zapłaci Kupującemu karę umowną:
1. The Contractor will pay the Contracting Authority a conventional penalty:
1) w przypadku zwłoki w terminowej realizacji umowy - w wysokości 0,1% ceny za każdy dzień
zwłoki, nie więcej niż 5% ceny,
1)
for a delay in a timely completion of the contract – the penalty shall amount to 0.1% of the gross
value of the Contract for each day of delay, not more than 5% of the price,
2) w przypadku zwłoki w usunięciu wad przedmiotu umowy stwierdzonych przy odbiorze (w
szczególności nie dotrzymania/naruszenia warunków gwarancji) – karę umowną w wysokości
0,1% ceny za każdy dzień zwłoki od dnia wyznaczonego na usunięcie wad, nie więcej niż 5%
ceny,
2) for a delay in elimination of defects of the equipment discovered upon the delivery (in particular
those concerning violation of the warranty conditions) – the penalty shall amount to 0.1% of the
gross value of the Contract for each day of delay starting from the next day after the lapse of
time limit agreed by the parties to eliminate the defect, not more than 5% of the price,
3) za zwłokę w usunięciu wad ujawnionych w okresie gwarancji i rękojmi w wysokości 0,1% ceny
za każdy dzień zwłoki od dnia wyznaczonego na usunięcie wad, nie więcej niż 5 % ceny,
3) for a delay in elimination of defects discovered during the warranty period - the penalty shall
amount to 0.1% of the gross value of the Contract for each day of delay starting from the next
day after the lapse of time limit agreed by the parties to eliminate the defect, not more than 5%
of the price,
4) za odstąpienie od umowy przez Kupującego z przyczyn leżących po stronie Sprzedawcy - w
wysokości 5% ceny.
4) The Contractor will pay a penalty to the Contracting Authority if the Contracting Authority
withdraws from the Contract owing to circumstances within the control or those caused by the
Contractor – the penalty shall amount to 5 % of the price.
2.
Kupujący zapłaci karę umowną Sprzedawcy za odstąpienie od umowy przez Sprzedawcę z przyczyn
leżących po stronie Kupującego w wysokości 5 % ceny.
2.
The Contracting Authority will pay a penalty to the Contractor if the Contractor withdraws from the
Contract owing to circumstances within the control or those caused by the Contracting Authority –
the penalty shall amount to 5 % of the price.
3.
Kupujący zastrzega sobie prawo do odszkodowania uzupełniającego na zasadach ogólnych Kodeksu
Cywilnego, łącznie z utraconymi korzyściami.

The Contracting Authority reserves itself the right to demand and pursue the supplementary
compensation up to the amount of the loss actually incurred according to the actual roles of the Civil
Code

Kupujący zastrzega sobie prawo odstąpienia od umowy, jeżeli Sprzedawca:

The Contracting Authority reserves itself the right to withdraw from the contract if:
1) pozostaje w zwłoce z wykonaniem całości zamówienia trwającej dłużej niż 30 dni
kalendarzowych, liczonych od dnia określonego w § 3 pkt. 1 niniejszej umowy,

1) the Contractor ceases the completion of the subject matter of the Contract, that is it persistently
fails to carry the object out for more than 30 calendar days, counted from the date specified in §
3 item 1 of the contract.
2) urządzenie nie spełnia zadeklarowanych w ofercie warunków technicznych,
2) the equipment is not compatible with its technical specification in the tender,
3) wszczęto w stosunku do Sprzedawcy postępowanie upadłościowe, likwidacyjne, układowe lub
egzekucyjne,
3) the winding up procedure has been started against the Contractor or its bankruptcy has been
declared,
4) Kupujący może odstąpić od umowy w razie wystąpienia istotnej zmiany okoliczności
powodującej, że wykonanie umowy nie leży w interesie publicznym, czego nie można było
stwierdzić w chwili jej zawarcia. Kupujący zawiadamia o tym Sprzedawcę na piśmie w terminie
natychmiastowym od powzięcia wiadomości o powyższych okolicznościach.
4) the Contracting Authority may withdraw from the present Contract in the event of a material
change of circumstances which causes that the execution of the procurement Contract is no
longer in the public interest, and which could not have been foreseen at the time of concluding
the Contract. The Contracting Authority immediately informs the Contractor in writing after it
has become aware of these circumstances.
5) W przypadku nieterminowej płatności Sprzedawca ma prawo naliczyć Kupującemu odsetki
ustawowe za każdy dzień zwłoki.
5) In the event of late payment of the invoice by the Contracting Authority the Contractor will have
the right to charge statutory interest rates per each day of the delay.
5.
Łączna wysokość kar umownych nie może przekroczyć łącznie 5% ceny określonej w określonej w §
6 niniejszej umowy.
5.
The total amount of the contractual penalties may not exceed 5 % of the price specified in § 6 of this
Contract.
6.
Kary płatne są w terminie 14 dni od daty otrzymania przez Sprzedawcę wezwania do ich zapłaty.
6.
The contractual penalties shall be paid within 14 days from the date of receiving the payment
demand by the Contractor.
7.
Sprzedawca wyraża zgodę na potrącanie kar umownych z należności Sprzedawcy.

The Contractor agrees that the contractual penalties will be deducted from the Contractor’s
receivables.
§8
1.
Sprzedawca udziela rękojmi na urządzenie na okres 12 miesięcy liczony od dnia realizacji całości
zamówienia określonego w § 3 niniejszej umowy.

The Contractor provides the Contracting Authority with the warranty for the equipment for a period
of 12 months starting from the day of completion of the order as referred to in § 3 of this Contract.
2.
Sprzedawca udziela gwarancji na urządzenie na okres 12 miesięcy liczony od dnia odbioru całości
zamówienia określonego w § 3 niniejszej umowy.
2.
The Contractor provides the Contracting Authority with the guarantee for the offered equipment for
a period of 12 months starting from the day of completion of the order as referred to in § 3 of this
contract.

3.
Odbiór całości przedmiotu zamówienia zostanie udokumentowany podpisanym przez przedstawiciela
Kupującego protokołem odbioru.
3.
The receipt of the object of the order will be documented by the protocol of receipt, signed by the
representative of the Contracting Authority.
4.
Gwarancja obejmuje wszystkie wykryte podczas eksploatacji sprzętu usterki i wady oraz uszkodzenia
powstałe w czasie poprawnego, zgodnego z instrukcją ich użytkowania.
4.
The guarantee shall cover all the defects revealed and resulting from a correct exploitation of the
equipment within the time limit of the warranty.
5.
Sprzedawca zapewni czas realizacji naprawy/usunięcia awarii do 60 dni (liczony od daty
dostarczenia sprzętu do Sprzedawcy). Koszty naprawy i wysyłki w okresie gwarancji pokrywa
Sprzedawca.
5.
The Contractor will provide that the time of defect’s repair/breakdown elimination – will not exceed
60 days (counted from the date of a day of delivery of the equipment to the Contractor's seat). Costs
of repairs and dispatches shall entirely be borne by the Contractor.
6.
W przypadku przestoju sprzętu dłuższego niż 60 dni gwarancja na urządzenie ulega przedłużeniu o
czas przestoju.

7.
Sprzedawca jest odpowiedzialny z tytułu rękojmi za usunięcie wad fizycznych urządzenia
istniejących w czasie dokonywania czynności odbioru oraz wady powstałe po odbiorze.
7.
The Contractor bears the responsibility for elimination of physical defects, revealed during and after
the delivery.
8.
Kupujący może dochodzić roszczeń z tytułu rękojmi za wady także po upływie terminu rękojmi,
jeżeli zgłosi wadę przed upływem tego terminu.
8.
The Contracting Authority may pursue claims in virtue of defects after expiration of the warranty, on
condition that the defects were reported before the end of the validity period of the warranty.
9.
W okresie gwarancyjnym Sprzedawca będzie zobowiązany do zapewnienia ciągłości pracy
urządzenia.
9.
During the warranty period the Contractor obliges itself to ensure the continuity of the equipment
operation.
10. Sprzedawca zapewni dostęp do części zamiennych przez okres 5 lat od daty dostawy.
10. The Contractor will provide access to spare/replacement parts during the period of 5 years from the
delivery date.
11. Sprzedawca zobowiązuje się do zapewnienia bieżących konsultacji z obsługą serwisową drogą
telefoniczną i internetową. Czas reakcji serwisu (rozumiany jako kontakt e-mailowy lub telefoniczny
serwisu z Kupującym po zgłoszeniu) do 2 dni roboczych liczony od czasu powiadomienia serwisu
przez Zamawiającego. Przez dni robocze rozumie się dni od poniedziałku do piątku włącznie, z
wyłączeniem świąt państwowych.
11. The Contractor obliges himself to hold runtime consultancy service by telephone and internet
communication means. The service reaction time (understood as an e-mail or telephone contact of
the service with the Contracting Authority) within 2 working days counted from the date of
notification of the service station. Working days shall mean days from Monday till Friday, except
Saturdays, Sundays and public holidays.

§9
Odstąpienie od umowy wymaga zachowania formy pisemnej z podaniem uzasadnienia, pod rygorem
nieważności.
Renouncing the Contract requires explanation in writing, otherwise been null and void.
§ 10
Sprzedawca może odstąpić od umowy, w przypadku gdy Kupujący bez uzasadnionej na piśmie
przyczyny, odmawia dokonania odbioru działającego urządzenia.
The Contractor may withdraw from the Contract in case when the Contracting Authority refuses to
accept the equipment without giving reasons in writing.
§ 11
Sprzedawca ponosi pełną odpowiedzialność za naruszenie praw autorskich, patentowych, znaków
ochronnych itp., odnoszących się do zastosowanych rozwiązań, przedmiotu zamówienia, technologii i
materiałów potrzebnych przy realizacji przedmiotu umowy.
The Contractor is solely responsible for violation of copyrights, patent rights, protective signs etc., with
regard to the applied technical arrangements, object of the order, Technologies and materials used for
accomplishment of the order
§ 12
1.
Wszelkie zmiany niniejszej umowy wymagają formy pisemnej w postaci aneksu pod rygorem
nieważności.
2.
Wszelkie spory wynikłe na tle niniejszej umowy będą rozstrzygały właściwe sądy dla siedziby
Kupującego.
3.
W sprawach nieuregulowanych umową mają zastosowanie przepisy Kodeksu Cywilnego.
4.
Umowę sporządzono w dwóch jednobrzmiących egzemplarzach, po jednym dla każdej ze stron.
1.
This contract may only be amended in writing, in the form of an annex, otherwise being null and
void.
All disputes arising out of the execution of this contract shall be resolved by the Court appropriate
for the seat of the Purchaser.

Matters not covered in this contract shall be governed by the Polish Civil Code.
4.
This contract has been prepared in two identical copies, one for each Party.
