RB 20/2014 – New structure of BOŚ S.A. Supervisory Board – released 30 April 2014 In fulfilment of provisions of § 5 subpara. 1 points 12 and 22 of the Regulation of the Minister of Finance of 19 February 2009 on current and interim reports published by issuers of securities and on the conditions under which such information is recognised as equivalent to information required under regulations of a non-member state, the Management Board of Bank Ochrony Środowiska S.A. with seat in Warsaw hereby informs that on 30 April 2012 the Annual General Meeting of BOŚ S.A. decided, by resolution, to dismiss Mr Michał Jacek Wysocki as member of the Supervisory Board. - to dismiss Mr Jacek Maciej Bajorek and Mr Michał Juliusz Machlejd as members of the Supervisory Board; - to appoint Mr Jacek Czesław Ciepluch and Mr Mariusz Roman Karpiński members of the Supervisory Board. On 30 April 2012, the Supervisory Board resolved to appoint Mr Piotr Bogdan Kaczyński Deputy Chairman to replace Mr Jacek Maciej Bajorek who was dismissed from the Supervisory Board. Mariusz Roman Karpiński Education: college level: Gdańsk University Foreign Trade Economics and Organisation. Higher-level managerial personnel training course completed at General Electric in the USA. Career path: February 1988 to August 1992 – University Gdański Assistant to Finance Group Chair October 1991 to December 2007 GE Money Bank S.A. (from 1995 under the designation Solidarność Chase DT Bank S.A., from 1995 to 2004 under the designation GE Capital Bank S.A.). Managerial posts held: - October 1991 to July 1992 – head of Economic Analysis and Marketing Group in charge of marketing, promotion, design and analysis of banking products; - April 1992 to August 1993 – director, Operating Division overseeing cash and treasury operations, client instructions, transfers, settlements and retail lending operations; - January to August 1993 – member, Bank Management Board, overseeing Operations and Administration Departments and the Information Technology Office; - August 1993 to May 1994 – vice-president, acting president of the Bank Management Board, overseeing the running operations, accounting, financial operations, information technology and human resource areas; - May 1994 to December 2007 – president of the Management Board of GE Money Bank S.A. and, along with that, from May to December 2004, president of the Management Board of GE Bank Mieszkaniowy; - January 2008 to April 2009 – president of the Management Board of Meritum Bank ICB S.A. (from January 2009 operating as Bank Współpracy Europejskiej S.A.); - from May 2009 – own business firm, in consultancy. Mr Mariusz Roman Karpiński performs no activity beyond those described above. None of his activities is competitive against the Bank business.
