ABC Data has acquired iSource S.A.
ABC Data S.A. today announced that the Management Board for the company have
entered into a transaction, whereby ABC Data will purchase 100% of iSource shares.
iSource is the distributor of Apple and other well known brands providing
accessories dedicated to Apple products. The transction is subject to approval by
the Polish Office of Fair Trading.
ABC Data will purchase iSource for PLN 15.5 million. Upon fullifilling certain business
aims by the Management Board for iSource S.A., as defined in the agreement, ABC
Data will pay additional PLN 2,5 million. A part of the transaction will be settled in
Company’s own shares.
The transaction will bring to the ABC Group the company which possesses rights to
distribute Apple products. For us, this is the most important business event in the
year of 2013. Apple devices constitute an essential part of the market. Thanks to this,
our consumers will have a direct access to all Apple products through our offer. The
transaction is also very important for us. We intend to create a complex and
complete offer for our consumers. Since Apple is a Premium brand, the comissions

earned from the sales of Apple products exceeds the average in the whole industry.
For the above reason, this is very good news not only for us and our consumers, but
also for our shareholders, says Norbert Biedrzycki, the President of the ABC Data
Management Board.
The full integration of business processes and the inclusion of Apple products in the
ABC Data offer will be available to the ABC Data business partners immediately after
the transaction has been approved by the Office of Fair Trading (UOKiK). Both parties
will perform business activities targeted at ABC Data consumers from the date of
closing the transaction.
The financial, tax and legal consultancy for the ABC Data Management Board was
provided by KPMG, throughout the preparation process. The Fairness Opinion issued
by KPMG for the ABC Data Management Board proves that price terms of the
transaction are fair and equitable for the ABC Data best interests.
