Gospodarczy) is not necessary, pursuant to art. 500 par. 2(1) of the Code of Commercial
Companies.
Due to the fact that the Acquiring Company holds all the shares of the Companies Being
Acquired, the merger will be executed according to art. 515 of the Code of Commercial
Companies,ie.withoutincreasingthesharecapitaloftheAcquiringCompany,onthebasis
of the so-called simplified procedure, under which the statements of the management
boards of the merging companies justyfing the merger are not prepared, and the merger
planisnotsubjecttoreviewbyacourtexpert.
TheshareholdersoftheAcquiringCompanywillbeabletofamiliarizewiththedocuments
reffered to in art. 505 par. 1 in conjunction with art. 516 of the Commercial Companies
Code,attheAcquiringCompany’sregisteredofficeinKatowice(40-172),Grabowa1,inthe
periodfromthedateofpublicationofthefirstnoticeonintentionofmergertillthedateof
adoptionoftheresolutiononmerger,from12:00pmto2:00pm.
