Subject: Changes in composition of PBG Management Board
The Management Board of PBG S.A. (in company voluntary arrangement) reports the
following changes in the composition of the PBG Management Board, which were effected at
the Company's Supervisory Board meeting on October 28th 2012:
- removal of Mr Wiesław Mariusz Różacki from the position of President of the Management
Board as of October 28th 2012;
- appointment of Mr Paweł Mortas to the position of President of the Management Board as of
October 28th 2012;
- appointment of Ms Kinga Banaszak-Filipiak to the position of Vice-President of the
Management Board as of October 28th 2012.
Information on the newly appointed members of the Management Board:
1) Mr Paweł Mortas:
Mr Paweł Mortas holds an MA degree in economics, he graduated in 1997 from the
Faculty of Economics of the Łódź University, specialising in industrial economics. Since
2009, Mr Mortas has participated in the Executive MBA programme of the Institute of
Economics of the Polish Academy of Sciences in Warsaw (Instytut Nauk Ekonomicznych
Polskiej Akademii Nauk w Warszawie). Since 2011, Mr Mortas has participated in the
Executive DBA programme of the Institute of Economics of the Polish Academy of
Sciences in Warsaw. Further, in 1998-1999, Mr Mortas completed an accounting course
for candidate chief accountants, at the Foundation for Development of Accounting in
Poland (Fundacja Rozwoju Rachunkowości w Polsce). In 2007, Mr Mortas completed a
preparatory course for investment advisers, at the Post-Graduate School for Investment
Advisers and Securities Analysts (Studium dla Doradców Inwestycyjnych i Analityków
Papierów Wartościowych). Mr Paweł Mortas is qualified to sit on supervisory boards of
state-owned companies.

Mr Paweł Mortas does not conduct any activity competitive to PBG S.A. (in company
voluntary arrangement). He is not a partner in any partnership under civil law or another
type of partnership, or a member of a governing body of an incorporated company or
a member of the governing body of any other legal entity competing with PBG S.A. He
is not entered in the Register of Insolvent Debtors maintained pursuant to the Act on the
National Court Register.
2) Ms Kinga Banaszak-Filipiak:
Ms Kinga Banaszak-Filipiak holds an MA degree in economics. She graduated in 2003
from the Poznan School of Banking (Wyższa Szkoła Bankowa w Poznaniu) with a major in
Finance and Banking, International Finance. Further, in 2003, Ms Banaszak-Filipiak
completed supplementary MA studies at the Poznan University of Economics
(Uniwersytet Ekonomiczny w Poznaniu), Faculty of Management, International Relations.
In 2006, Ms Banaszak-Filipiak completed postgraduate studies in Controlling at the
Poznan School of Banking. In 2010, Ms Banaszak-Filipiak completed a joint Executive
MBA programme of the Poznan School of Banking and the Helsinki School of Economics
(currently Aalto University School of Economics). In 2011, Ms Banaszak-Filipiak completed
postgraduate studies in Equity Investments at the Poznan School of Banking. Ms Kinga
Banaszak-Filipiak is a licensed and registered insurance agent (the licence was issued in
2000 by the State Insurance Supervisory Authority (Państwowy Urząd Nadzoru
Ubezpieczeń)), and holds a London Chamber of Commerce and Industry certificate.

Ms Banaszak-Filipiak does not conduct any activity competitive to PBG S.A. (in
company voluntary arrangement). She is not a partner in any partnership under civil
law or another type of partnership, or a member of a governing body of an
incorporated company or a member of the governing body of any other legal entity
competing with PBG S.A. She is not entered in the Register of Insolvent Debtors
maintained pursuant to the Act on the National Court Register.
The PBG Management Board further reports that today, i.e. October 29th 2012, the Company
received the resignation of Mr Wiesław Mariusz Różacki from the position of President of the
Management Board, which is ineffective in light of the resolution adopted on October 28th
2012 by the PBG Supervisory Board on removal of Mr Wiesław Mariusz Różacki from the
Management Board as of October 28th 2012.

Par. 5.1.21 and 22 of the Minister of Finance’s Regulation on current and periodic information
to be published by issuers of securities and conditions for recognition as equivalent of
information whose disclosure is required under the laws of a non-member state, dated
February 19th 2009.
